B. Cargo Particulars: The goods are received in apparent good order and condition, except as noted herein, and are described by the Shipper as follows:

3.2 Freight Charges, Compensation & Payment Terms

Carrier may enforce this lien through public or private sale in accordance with applicable commercial law.
3.3 Term, Transit Schedule & Operational Interruption
A. Duration of Contract: This contract of carriage commences upon the physical receipt and acceptance of the cargo by Carrier at the Origin and terminates upon proper delivery of the cargo to the Consignee at the Destination or the legal disposition of the cargo pursuant to this Bill of Lading.
B. Estimated Transit Times: Any transit times, delivery dates, or schedules provided by Carrier are estimates only and do not constitute a binding guarantee of delivery by a specific time, unless explicitly agreed to in a separate, signed "Time-Guaranteed Service Agreement."

A. Confidential Information: The Parties acknowledge that commercial terms, shipping volumes, routing data, pricing schedules, and proprietary business information exchanged pursuant to this transport operation constitute confidential information ("Confidential Information").
B. Non-Disclosure Obligations: Each Party agrees to protect the Confidential Information of the other Party with the same degree of care it uses for its own proprietary information, and shall not disclose such information to any third party except as required for transport execution, customs clearance, or by binding order of a court of competent jurisdiction.

- All vehicles, vessels, and equipment utilized are in safe, serviceable, and compliant operating condition.
3.7 Limitation of Liability & Indemnification
A. Limitation of Carrier Liability: Unless a higher valuation is explicitly declared by Shipper in writing prior to pickup and an ad valorem surcharge is paid, Carrier’s maximum liability for loss, damage, destruction, or misdelivery of the cargo shall be strictly limited to the lesser of:
- The actual replacement cost or documented invoice value of the lost or damaged goods; or
- [Amount in USD, e.g., $0.50 per pound / $5,000 per shipment] maximum liability cap.
B. Exclusion of Consequential Damages: In no event shall Carrier, its directors, officers, employees, or agents be liable to Shipper, Consignee, or any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of market, business interruption, or overhead expenses, regardless of whether such liability is asserted on the basis of contract, tort (including negligence), strict liability, or otherwise.
C. Shipper Indemnification: Shipper shall defend, indemnify, and hold harmless Carrier, its affiliates, and transport personnel from and against any and all claims, liabilities, losses, damages, fines, penalties, and expenses (including reasonable attorney fees) arising out of or resulting from:
- Shipper’s breach of any representation, warranty, or covenant contained herein;

B. Arbitration Mandate: If the dispute remains unresolved following the negotiation period, it shall be settled by binding arbitration administered by [Arbitration Body, e.g., the American Arbitration Association (AAA)] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State/Country], and the proceedings shall be conducted in the English language before a single neutral arbitrator.
C. Waiver of Class Actions: To the fullest extent permitted by law, any dispute resolution proceeding shall be conducted on an individual basis, and the Parties expressly waive any right to litigate or arbitrate any claim as a class action, representative action, or collective proceeding.
3.9 Governing Law & Jurisdiction
A. Choice of Law: This Bill of Lading, and all claims or causes of action arising out of or relating hereto, shall be governed by, construed, and enforced in accordance with the laws of [Jurisdiction State/Country], without regard to its conflict of laws principles, and, where applicable, federal transportation law.
B. Judicial Forum: Subject to the arbitration provisions herein, each Party irrevocably submits to the exclusive personal jurisdiction and venue of the state and federal courts located within [County, State/Country] for any auxiliary legal proceedings, injunctions, or enforcement of arbitral awards.
3.10 Miscellaneous Provisions
A. Severability: If any provision of this Bill of Lading is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
B. Entire Agreement & Integration: This Bill of Lading, together with any referenced rate sheets, manifests, and operating tariffs, constitutes the entire agreement between Carrier and Shipper regarding the subject matter hereof, superseding all prior oral or written negotiations, commitments, or understandings.
C. Amendments & Waivers: No modification, amendment, or waiver of any provision of this Bill of Lading shall be effective unless set forth in a written document executed by an authorized representative of both Carrier and Shipper. No failure or delay by either Party in exercising any right or power hereunder shall operate as a waiver thereof.
D. Counterparts & Electronic Execution: This Document may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
