3. Substantive Terms & Obligations

3.1 Compliance with Data Protection Laws

The Data Processor covenants, warrants, and represents that it shall comply fully with all applicable requirements of Data Protection Laws. Nothing within this Policy relieves the Data Processor of its own direct responsibilities and liabilities under the UK GDPR.

3.2 Processing Instructions

  1. The Data Processor shall process Personal Data only on documented instructions from the Data Controller, including with regard to transfers of Personal Data to a third country or an international organisation, unless required to do so by Union or UK law to which the Processor is subject. In such a case, the Processor shall inform the Data Controller of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest.
  2. The Principal Agreement, together with this Policy, constitutes the Data Controller's complete and final instructions to the Data Processor. Any additional or alternative instructions must be issued in writing by an authorized representative of the Data Controller.

3.3 Security of Processing (Technical and Organisational Measures)

  1. Taking into account the state of the art, the costs of implementation and the nature, scope, context and purposes of processing as well as the risk of varying likelihood and severity for the rights and freedoms of natural persons, the Data Processor shall implement and maintain appropriate technical and organisational measures to ensure a level of security appropriate to the risk, including, as appropriate:
    • The pseudonymisation and encryption of Personal Data;
    • The ability to ensure the ongoing confidentiality, integrity, availability and resilience of processing systems and services;
    • The ability to restore the availability and access to Personal Data in a timely manner in the event of a physical or technical incident;
    • A process for regularly testing, assessing and evaluating the effectiveness of technical and organisational measures for ensuring the security of the processing.
  2. The specific technical and organisational security measures implemented by the Data Processor are set forth in Schedule A of this Policy.

3.4 Confidentiality of Processing

The Data Processor shall ensure that any person authorised by the Data Processor to process Personal Data has committed themselves to confidentiality or is under an appropriate statutory obligation of confidentiality. Access to Personal Data shall be strictly limited to those personnel who require such access to perform the obligations under the Principal Agreement.

3.5 Engagement of Sub-processors

  1. The Data Processor shall not engage any Sub-processor to carry out its data processing obligations under this Policy or the Principal Agreement without the prior specific or general written authorisation of the Data Controller.
  2. Where the Data Processor engages a Sub-processor under general written authorisation, the Data Processor shall inform the Data Controller of any intended changes concerning the addition or replacement of Sub-processors, thereby giving the Data Controller the opportunity to object to such changes.
  3. Where the Data Processor engages a Sub-processor for carrying out specific processing activities on behalf of the Data Controller, the same data protection obligations as set out in this Policy shall be imposed on that Sub-processor by way of a contract or other legal act under UK law, in particular providing sufficient guarantees to implement appropriate technical and organisational measures in such a manner that the processing will meet the requirements of the UK GDPR. Where that Sub-processor fails to fulfil its data protection obligations, the initial Data Processor shall remain fully liable to the Data Controller for the performance of that Sub-processor's obligations.

3.6 Data Subjects' Rights

  1. The Data Processor shall assist the Data Controller by appropriate technical and organisational measures, insofar as this is possible, for the fulfilment of the Data Controller's obligation to respond to requests for exercising the Data Subject's rights laid down in Chapter III of the UK GDPR (including access, rectification, erasure, restriction, objection, and data portability).
  2. If the Data Processor receives a request directly from a Data Subject concerning the processing of Personal Data under this Policy, the Data Processor shall promptly redirect the Data Subject to the Data Controller, or notify the Data Controller within forty-eight (48) hours of receipt, and shall not respond directly to the Data Subject unless explicitly authorised in writing by the Data Controller.

3.7 Assistance with Data Controller Obligations

The Data Processor shall provide reasonable cooperation and assistance to the Data Controller in ensuring compliance with the Data Controller's obligations pursuant to Articles 32 to 36 of the UK GDPR (comprising security of processing, notification of a personal data breach to the supervisory authority, communication of a personal data breach to the data subject, data protection impact assessments, and prior consultation), taking into account the nature of processing and the information available to the Data Processor.

3.8 Personal Data Breach Notification

  1. The Data Processor shall notify the Data Controller without undue delay, and in any event no later than twenty-four (24) hours after becoming aware of a Personal Data Breach affecting Personal Data processed on behalf of the Data Controller.
  2. Such notification shall, at a minimum:
    • Describe the nature of the Personal Data Breach including, where possible, the categories and approximate number of Data Subjects concerned and the categories and approximate number of Personal Data records concerned;
    • Communicate the name and contact details of the Data Processor’s Data Protection Officer or other contact point where more information can be obtained;
    • Describe the likely consequences of the Personal Data Breach;
    • Describe the measures taken or proposed to be taken by the Data Processor to address the Personal Data Breach, including, where appropriate, measures to mitigate its possible adverse effects.
  3. Where, and insofar as, it is not possible to provide all information at the same time, the initial notification may be provided in phases without undue further delay, but information shall be provided as soon as practicable.

3.9 Audit and Inspection Rights

  1. The Data Processor shall make available to the Data Controller all information necessary to demonstrate compliance with the obligations laid down in Article 28 of the UK GDPR and this Policy.
  2. The Data Processor shall allow for and contribute to audits, including inspections, conducted by the Data Controller or an auditor mandated by the Data Controller. The Data Controller shall provide at least fourteen (14) business days’ prior written notice of any such audit or inspection, except in the event of an alleged or suspected Personal Data Breach, in which case immediate access may be demanded.
  3. Audits shall be conducted during normal business hours and shall be subject to reasonable security and confidentiality procedures.

3.10 Return or Destruction of Personal Data

  1. Upon termination of the Principal Agreement or this Policy for any reason, or upon the written request of the Data Controller, the Data Processor shall, at the choice of the Data Controller, securely return all Personal Data to the Data Controller or securely destroy/delete all copies of Personal Data in its possession or control (including within backup systems), unless Union or UK law requires storage of the Personal Data.
  2. The Data Processor shall provide written certification of compliance with this destruction/return obligation executed by a duly authorized corporate officer within thirty (30) calendar days of the termination date.

3.11 Cross-Border Data Transfers

The Data Processor shall not transfer, store, access, or process any Personal Data originating from the United Kingdom outside of the UK or the European Economic Area (EEA) unless the Data Processor has implemented appropriate safeguards pursuant to Chapter V of the UK GDPR, such as the UK International Data Transfer Agreement (IDTA) or the UK Addendum to the EU Commission Standard Contractual Clauses, subject to the prior written consent of the Data Controller.

4. Default, Termination, and Remedies

4.1 Material Breach

Any failure by the Data Processor, its personnel, agents, or Sub-processors to comply with the substantive terms, technical security standards, or confidentiality mandates set forth in this Policy shall constitute a material breach of this Policy and the underlying Principal Agreement.

4.2 Notice and Cure Period

Upon the occurrence of a material breach under Section 4.1, the Data Controller shall issue a formal written notice of default to the Data Processor specifying the exact nature of the breach. The Data Processor shall have a mandatory cure period of thirty (30) business days from the date of receipt of such notice to remedy the breach to the absolute satisfaction of the Data Controller.

4.3 Termination for Cause

If the Data Processor fails to remedy the material breach within the thirty (30) business day cure period, the Data Controller reserves the immediate right to terminate the Principal Agreement and this Policy for cause, without penalty, liability, or advance notice obligations beyond the cure period, and without prejudice to any other rights or remedies available at law or in equity.

4.4 Indemnification and Liability

  1. The Data Processor shall defend, indemnify, and hold harmless the Data Controller, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, losses, damages, fines, administrative penalties imposed by the ICO, regulatory enforcement actions, costs, and expenses (including reasonable legal fees) arising out of or in connection with any breach of this Policy, Data Protection Laws, or the UK GDPR by the Data Processor, its employees, subcontractors, or agents.
  2. The statutory liability caps set forth in the underlying Principal Agreement shall not apply to breaches of Data Protection Laws, confidentiality obligations, or indemnification claims arising under this Policy, unless expressly prohibited by mandatory provisions of applicable law.

5. Boilerplate Legal Provisions

5.1 Severability

If any provision of this Policy is held to be invalid, illegal, or unenforceable by a court or regulatory body of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the affected provision shall be deemed deleted. The remaining provisions of this Policy shall continue in full force and effect and shall not be affected.

5.2 Entire Agreement

This Policy, together with the Principal Agreement and any incorporated Schedules, constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior discussions, negotiations, understandings, or agreements, whether written or oral, relating to data protection and the processing of Personal Data. In the event of any express conflict or ambiguity between the terms of this Policy and the Principal Agreement, the terms of this Policy shall strictly prevail with respect to data protection compliance.

5.3 Force Majeure

Neither Party shall be in breach of this Policy nor liable for delay in performing, or failure to perform, any of its obligations under this Policy if such delay or failure result from events, circumstances, or causes beyond its reasonable control (including, but not limited to, acts of God, flood, fire, earthquake, explosion, war, terrorism, pandemic, or interruption of utility services). For the avoidance of doubt, economic hardship, failure of third-party vendors (unless amounting to a force majeure event independently), or strikes specific to the Data Processor's workforce shall not constitute a force majeure event.

5.4 Governing Law

This Policy, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, shall be governed by, and construed in accordance with, the laws of England and Wales.

5.5 Dispute Resolution and Jurisdiction

  1. In the event of any dispute, controversy, or claim arising out of or relating to this Policy, including its formation, breach, termination, or validity, the designated senior executives of each Party shall first attempt in good faith to resolve such dispute through direct negotiations within fifteen (15) business days of receiving written notice of the dispute.
  2. If the dispute is not resolved through executive negotiation, the Parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Policy or its subject matter or formation.
