1. STATUTORY & LEGAL COMPLIANCE NOTICE

This document is an institutional-grade legal instrument designed for binding execution between a philanthropic grantor or corporate funding entity and a non-profit organization (NPO). This agreement establishes strict legal, financial, and operational accountability regarding the disbursement, utilization, and reporting of philanthropic capital. Parties acknowledge that grant agreements involving tax-exempt entities are subject to applicable federal, state, and local statutory frameworks, including Internal Revenue Code (IRC) regulations governing 501(c)(3) organizations (or international equivalents). Legal counsel should review all jurisdictional variations prior to formal execution.

2. PARTIES & RECITALS

THIS INSTITUTIONAL GRANT FUNDING AND PROGRAMMATIC AGREEMENT (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:

  1. [Grantor Full Legal Name], a [State of Incorporation/Organization] [corporation/foundation/trust] having its principal place of business at [Principal Address] (hereinafter referred to as the "Grantor"), and
  2. [NPO Full Legal Name], a recognized [tax-exempt non-profit organization / 501(c)(3)] entity having its principal place of business at [Principal Address] (hereinafter referred to as the "Grantee").

WHEREAS, the Grantor desires to advance philanthropic objectives by providing financial support for specific charitable, educational, or scientific programs operated by the Grantee;

WHEREAS, the Grantee has submitted a comprehensive funding proposal and program plan, attached hereto as Exhibit A, and possesses the requisite institutional capacity, legal authority, and operational expertise to execute the Program; and

WHEREAS, the Parties intend to establish the legal terms, financial parameters, reporting obligations, and governance standards under which the Grant Funds shall be disbursed, managed, and accounted for.

NOW, THEREFORE, in consideration of the mutual covenants, promises, representations, and warranties set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby mutually acknowledged, the Parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1. SCOPE OF ENGAGEMENT AND PROGRAM EXECUTION

1.1 Program Implementation. The Grantee shall exclusively utilize the Grant Funds to execute the specific initiative, project, or programmatic framework described in the Funding Proposal attached as Exhibit A (the "Program"). Any material deviation, modification, or restructuring of the Program, its operational scope, its geographic focus, or its projected timeline requires the prior express written authorization of the Grantor. 1.2 Charitable Purpose. The Grantee explicitly represents, warrants, and covenants that the Program shall be conducted strictly in furtherance of its tax-exempt, charitable purposes. Under no circumstances shall the Grant Funds be diverted, assigned, or utilized for any private inurement, political campaign intervention, lobbying activities, or purposes inconsistent with the tax-exempt status of the Grantee and the philanthropic intent of the Grantor. 1.3 Operational Diligence. The Grantee shall maintain all necessary operational infrastructure, personnel, regulatory licenses, and institutional certifications required to execute the Program in a professional, timely, and compliant manner.

SECTION 2. COMPENSATION, PAYMENT TERMS, AND FINANCIAL MANAGEMENT

2.1 Total Grant Amount. Subject to the terms and conditions of this Agreement, the Grantor agrees to disburse to the Grantee a total financial allocation of [Amount in USD] (USD [Spelled out amount]) (the "Grant Funds"). 2.2 Disbursement Schedule. The Grant Funds shall be disbursed in accordance with the following milestone-based schedule, contingent upon the Grantor’s receipt and written approval of preceding financial and programmatic reports:

  • Initial Disbursement: [Amount in USD] upon complete execution of this Agreement and receipt of verified wire/banking instructions.
  • Second Milestone Disbursement: [Amount in USD] upon submission and approval of the Interim Progress Report detailing the successful completion of Phase I milestones.
  • Final Disbursement: [Amount in USD] upon final reconciliation and submission of the Comprehensive Final Report. 2.3 Segregation of Funds. The Grantee shall segregate the Grant Funds into a dedicated, interest-bearing or clearly identifiable restricted account. Commingling of Grant Funds with the general operating capital of the Grantee is strictly prohibited. Any interest accrued on the Grant Funds shall be retained within the restricted account and applied exclusively to the Program. 2.4 Invoicing and Payment Mechanics. The Grantee shall submit formal, itemized invoices matching the milestone schedule set forth in Section 2.2. All payments shall be remitted via Electronic Funds Transfer (EFT) or wire transfer to the designated banking coordinates provided by the Grantee in writing. 2.5 Late Payment Interest. In the event the Grantor fails to disburse undisputed funds within thirty (30) days following the approval of a milestone report, simple interest shall accrue on the outstanding balance at the lesser of one percent (1.0%) per month or the maximum rate permitted by applicable law, calculated from the due date until the date of actual payment.

SECTION 3. TERM AND TERMINATION

3.1 Term of Agreement. This Agreement shall commence on the Effective Date and shall continue in full force and effect until [Termination Date] (the "Term"), unless terminated earlier in accordance with the provisions of this Section 3. 3.2 Termination for Convenience. The Grantor reserves the right to terminate this Agreement, in whole or in part, for any reason or no reason, upon providing sixty (60) days prior written notice to the Grantee. Upon receipt of such notice, the Grantee shall immediately cease all non-essential programmatic expenditures and mitigate all outstanding financial commitments. 3.3 Termination for Cause / Breach. Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any representation, warranty, covenant, or material obligation contained herein, and fails to cure such material breach within thirty (30) days following receipt of detailed written notice specifying the nature of the breach. 3.4 Mandatory Clawback and Refund of Unexpended Funds. Upon the expiration of the Term or any termination of this Agreement pursuant to Section 3.2 or 3.3, the Grantee shall conduct a complete financial reconciliation within thirty (30) days and shall immediately refund to the Grantor:

  • Any unexpended or uncommitted Grant Funds remaining in the dedicated restricted account; and
  • Any Grant Funds determined by the Grantor, through audit or programmatic review, to have been misapplied, diverted, or expended in violation of this Agreement or applicable law.

SECTION 4. INTELLECTUAL PROPERTY OWNERSHIP AND WORK MADE FOR HIRE

4.1 Background Intellectual Property. Each Party shall retain exclusive, unencumbered ownership of all intellectual property, proprietary tools, methodologies, software, trademarks, and documentation developed, acquired, or owned prior to the Effective Date or independently of this Agreement ("Background IP"). 4.2 Program Deliverables and Work Made for Hire. All reports, data, curricula, software, research outcomes, audiovisual materials, publications, and tangible works authored, compiled, or developed by the Grantee specifically in connection with the execution of the Program (collectively, the "Deliverables") shall be deemed "works made for hire" to the extent permitted by law. To the extent that any Deliverable does not qualify as a work made for hire, the Grantee hereby irrevocably assigns, transfers, and conveys to the Grantor all worldwide right, title, and interest in and to such Deliverables, including all intellectual property rights therein. 4.3 Grant-Back License. The Grantor hereby grants to the Grantee a non-exclusive, royalty-free, revocable, worldwide license to utilize the Deliverables solely for non-commercial, educational, and internal programmatic purposes during the Term.

SECTION 5. MUTUAL CONFIDENTIALITY AND NON-DISCLOSURE

5.1 Definition of Confidential Information. "Confidential Information" shall include all non-public, proprietary, or commercially sensitive information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally or in writing, designated as confidential, or which reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including financial data, donor lists, strategic plans, proprietary research, and operational frameworks. 5.2 Obligations of Confidentiality. The Receiving Party shall:

  • Protect the Disclosing Party's Confidential Information with the same degree of care it utilizes for its own proprietary information, but no less than a reasonable standard of care;
  • Restrict disclosure of Confidential Information strictly to its directors, officers, employees, legal counsel, and financial advisors who have a direct need to know and who are bound by written confidentiality obligations at least as restrictive as those contained herein; and
  • Not utilize the Confidential Information for any purpose other than the performance of its obligations under this Agreement. 5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is required to be disclosed by applicable law, court order, or governmental regulation, provided that the Receiving Party gives prompt written notice to the Disclosing Party to enable it to seek a protective order.

  • The execution, delivery, and performance of this Agreement do not and will not violate any provision of its organizational documents, bylaws, or any contract, mortgage, or judicial order to which it is a party or by which it is bound. 6.2 Grantor Representations. The Grantor represents and warrants that it possesses the legal capacity and unencumbered financial resources to disburse the Grant Funds in accordance with the terms of this Agreement.

SECTION 7. LIMITATION OF LIABILITY AND INDEMNIFICATION

7.1 Limitation of Liability. Except for liability arising from gross negligence, willful misconduct, breach of confidentiality, or intellectual property infringement, neither Party shall be liable to the other for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of anticipated revenue or profits, arising out of or in connection with this Agreement, even if advised of the possibility of such damages. The Grantor’s total aggregate liability under this Agreement shall under no circumstances exceed the total Grant Amount actually disbursed to the Grantee. 7.2 Indemnification by Grantee. The Grantee shall defend, indemnify, and hold harmless the Grantor, its officers, directors, trustees, employees, agents, and successors from and against any and all third-party claims, liabilities, losses, damages, demands, judgments, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of, resulting from, or connected with: (a) any material breach of this Agreement by the Grantee; (b) the negligent acts, omissions, or willful misconduct of the Grantee, its employees, contractors, or agents in the execution of the Program; or (c) any violation of applicable laws, regulations, or third-party rights by the Grantee.

SECTION 8. DISPUTE RESOLUTION AND ARBITRATION

8.1 Negotiation and Escalation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, performance, breach, or termination (a "Dispute"), the designated executive representatives of the Parties shall first attempt in good faith to resolve the Dispute through informal executive negotiations for a period of thirty (30) days. 8.2 Binding Arbitration. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles. 9.2 Jurisdiction. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located within [County, State] for the purpose of enforcing any arbitration award or handling any judicial proceedings ancillary to arbitration.

SECTION 10. MISCELLANEOUS

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect. 10.2 Counterparts. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Execution and delivery of this Agreement via facsimile, PDF, or electronic signature platforms (e.g., DocuSign, Adobe Sign) shall be legally valid, binding, and enforceable. 10.3 Entire Agreement. This Agreement, including all exhibits and attachments incorporated herein by reference, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, proposals, negotiations, representations, and understandings between the Parties. 10.4 Amendments and Waivers. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument explicitly referencing this Agreement and signed by the authorized representatives of both Parties.
