INSTRUCTIONS FOR USE

• Completion: This document must be completed by the Hiring Entity’s authorized representative and the Freelancer. Ensure all annexures (Statements of Work) are finalized before signing.
• Filing/Retention: Retain the executed original in a secure digital or physical repository for a minimum of seven (7) years following the contract termination date for tax and audit compliance.
• Attachments: Mandatory attachments include Exhibit A (Scope of Services) and, if applicable, Exhibit B (Confidentiality & IP Assignment Agreement).

3. INDEPENDENT CONTRACTOR STATUS

The Contractor acknowledges they are an independent contractor and not an employee of the Company. The Contractor is solely responsible for all federal, state, and local taxes, and is not entitled to any Company benefits, including but not limited to health insurance, retirement plans, or paid time off.

4. TERM & TERMINATION

• Term: This Agreement commences on [//2026] and shall continue until [//2026] unless terminated earlier.
• Termination for Convenience: Either party may terminate this Agreement with [__________] days’ written notice.
• Termination for Cause: Company may terminate immediately for breach of contract, negligence, or failure to perform defined services.

5. OWNERSHIP & INTELLECTUAL PROPERTY

All work product, inventions, designs, and materials created by the Contractor pursuant to this Agreement (“Work Product”) shall be deemed “work made for hire” and are the sole property of the Company. Contractor hereby assigns all rights, title, and interest in the Work Product to the Company.

6. CONFIDENTIALITY

The Contractor agrees to hold all non-public information obtained during the term of this Agreement in strict confidence and shall not disclose such information to any third party without prior written consent from the Company.

7. GOVERNING LAW & DISPUTE RESOLUTION
