INSTRUCTIONS FOR USE

• Completion: This document must be completed by the Client and the Service Provider. Ensure all project specifications in Exhibit A are detailed to prevent "scope creep."
• Retention: Both parties must retain a digital or physical copy of this fully executed agreement for a minimum of seven (7) years following the project completion date for tax and audit compliance.
• Attachments: Mandatory attachments include: Exhibit A (Project Scope/Deliverables), Exhibit B (Payment Schedule/Milestones), and Exhibit C (Intellectual Property Assignment).

Upon receipt of full payment, the Provider assigns all right, title, and interest in the final deliverables to the Client. The Provider retains rights to their pre-existing tools, libraries, and source code used to create the deliverables.

6. CONFIDENTIALITY

The Provider acknowledges that they may have access to the Client’s proprietary information and agrees to maintain strict confidentiality of all non-public business information provided during the engagement.

7. LIMITATION OF LIABILITY

In no event shall the Provider’s total liability exceed the total fees paid by the Client under this Agreement. The Provider is not responsible for any third-party software, hosting providers, or malicious attacks occurring post-deployment.
