INSTRUCTIONS FOR USE

• Completion: Both the Client and the Freelancer (or Authorized Representative) must complete all bracketed fields. Ensure the "Scope of Work" annex is appended to define specific deliverables.
• Filing/Retention: Both parties must retain a digital or physical copy of this fully executed agreement for a period of seven (7) years following the completion of the project for tax and liability purposes.
• Attachments: Mandatory attachments include: (i) Exhibit A: Scope of Work, (ii) Exhibit B: Payment Schedule, and (iii) Exhibit C: Intellectual Property Rights Assignment.

1. PARTIES

This Agreement is entered into by and between:

2. SCOPE OF SERVICES

The Freelancer agrees to perform the video production services as detailed in the attached Exhibit A: Scope of Work. Any modifications to the project scope must be executed via written Change Order signed by both parties.

3. COMPENSATION & PAYMENT TERMS

• Total Project Fee: $[__________]
• Payment Schedule: As outlined in Exhibit B: Payment Schedule.
• Late Fees: Invoices not paid within [____] days of receipt shall accrue interest at a rate of [____]% per month.

4. INTELLECTUAL PROPERTY & OWNERSHIP

• Work-for-Hire: All deliverables produced under this Agreement are considered "work-for-hire." Upon full payment, Client shall own all right, title, and interest in the raw footage and final deliverables.
• License Only: Freelancer retains ownership, granting Client a non-exclusive, perpetual, worldwide license to use the deliverables.

5. PROJECT TIMELINE & DELIVERY

The Freelancer shall use commercially reasonable efforts to meet the deadlines set forth in Exhibit A. If the Client fails to provide necessary assets or feedback within [____] business days, the project delivery date shall be extended accordingly.

6. INDEPENDENT CONTRACTOR STATUS

The Freelancer is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employer-employee relationship. Freelancer is responsible for all federal, state, and local taxes.

7. TERMINATION

Either party may terminate this Agreement with [____] days' written notice. In the event of early termination, the Client shall pay the Freelancer for all hours worked and expenses incurred up to the date of termination.
