INSTRUCTIONS FOR USE

• Completion: This document must be completed in full by the Client and the Freelancer (Contractor). Ensure all fields are filled before execution.
• Filing & Retention: Both parties shall retain an executed original of this Agreement in their secure corporate records for a minimum period of seven (7) years following the termination of services.
• Attachments: Mandatory attachments include "Exhibit A: Statement of Work (SOW)" detailing specific deliverables and "Exhibit B: Fee Schedule" outlining billing increments and invoicing protocols.

3. STATUS OF CONTRACTOR

4. INTELLECTUAL PROPERTY (WORK FOR HIRE)

All work products, inventions, designs, and deliverables created by the Contractor during the term of this Agreement shall be considered "work made for hire" and shall remain the sole and exclusive property of the Client.

5. CONFIDENTIALITY

The Contractor shall maintain strict confidentiality regarding all non-public information, trade secrets, and proprietary data accessed during the engagement. This obligation survives the termination of this Agreement for a period of [__________] years.

6. TERMINATION
