INSTRUCTIONS FOR USE

• Completion: Both the Hiring Entity and the Independent Contractor must complete all bracketed fields. Ensure the "Scope of Services" is defined with sufficient granularity to avoid scope creep.
• Filing & Retention: Retain an original executed copy in a secure digital or physical archive. Per SARS requirements, maintain all records related to this engagement for a minimum period of 7 years.
• Mandatory Attachments: Ensure Annexure A (Scope of Services) and Annexure B (Fee Schedule/Payment Terms) are physically attached and initialed by both parties at the time of signing.

2. SERVICES

The Contractor agrees to provide the services described in Annexure A. Performance Standards: The Contractor shall perform the services with due care, skill, and in accordance with industry best practices applicable in South Africa.

3. TERM & TERMINATION

• Termination Notice: Either party may terminate this agreement by providing [__________] days’ written notice.
• Summary Termination: The Hiring Entity may terminate this agreement immediately for material breach or willful misconduct.

4. COMPENSATION & TAXATION

• Tax Status: The Contractor acknowledges that they are an independent contractor and not an employee. The Contractor is solely responsible for all income tax, VAT (if applicable), and UIF contributions.

5. INTELLECTUAL PROPERTY & CONFIDENTIALITY

• IP Ownership: All work product, deliverables, and materials created under this agreement shall vest exclusively in the Hiring Entity upon payment.
• Confidentiality: The Contractor shall maintain strict confidentiality regarding all proprietary information, trade secrets, and client data accessed during the engagement.

6. DISPUTE RESOLUTION

7. RELATIONSHIP OF PARTIES
