INSTRUCTIONS FOR USE

• Completion: Both the Client and the Service Provider must review, fill, and initial each page.
• Filing/Retention: Retain an executed digital copy in a secure, encrypted cloud environment for a minimum of 7 years post-termination.
• Attachments: Mandatory attachments include "Exhibit A: Statement of Work (SOW)" and "Exhibit B: Fee Schedule and Payment Terms."

1. PARTIES

2. SERVICES

Provider agrees to perform the digital marketing services described in Exhibit A (the "Services"). Provider shall perform the Services in a professional and workmanlike manner, consistent with industry standards.

3. TERM & TERMINATION

• Termination for Convenience: Either party may terminate with [__] days written notice.
• Termination for Cause: Either party may terminate immediately upon written notice if the other party commits a material breach.

6. CONFIDENTIALITY

"Confidential Information" includes all non-public business, technical, or financial data disclosed by either party. Parties agree to use the same degree of care as they use for their own confidential data, but no less than reasonable care.

7. LIMITATION OF LIABILITY

Neither party shall be liable for indirect, incidental, or consequential damages. Provider’s total aggregate liability under this Agreement shall not exceed the total fees paid by Client during the [__] month period preceding the claim.

8. INDEPENDENT CONTRACTOR

The parties acknowledge that the Provider is an independent contractor, not an employee, agent, or partner of the Client. Provider is solely responsible for all taxes, withholdings, and insurance.
