INSTRUCTIONS FOR USE

• Completion: The Client and Freelancer must populate all bracketed fields. Ensure the "Scope of Services" reflects specific deliverables and revision caps to avoid scope creep.
• Filing/Retention: Both parties shall retain a fully executed digital or physical copy of this Agreement for a minimum period of seven (7) years following the completion of services.
• Attachments: Mandatory attachments include: (A) SOW/Project Brief, (B) Fee Schedule, and (C) Non-Disclosure Agreement (if applicable).

4. INTELLECTUAL PROPERTY RIGHTS

Upon full and final payment, Freelancer assigns to Client all right, title, and interest in the Work Product created under this Agreement. Freelancer retains no rights to the final copy unless otherwise specified in an addendum.

5. INDEPENDENT CONTRACTOR STATUS

Freelancer is an independent contractor. Nothing in this Agreement creates an employer-employee relationship. Freelancer is responsible for all applicable self-employment taxes and withholdings.

6. TERMINATION

• For Cause: Either party may terminate immediately upon material breach by the other party.
• For Convenience: Either party may terminate with [__________] days' written notice. In such event, Client shall compensate Freelancer for all work performed through the date of termination.

7. CONFIDENTIALITY

Freelancer agrees to keep all non-public information regarding the Client’s business, trade secrets, and internal operations strictly confidential during and after the term of this Agreement.
