4. Intellectual Property

Unless otherwise specified in a separate written agreement, all work product, deliverables, and associated materials created by the Freelancer for the Client shall be considered "Work Made for Hire" upon receipt of full payment. All right, title, and interest shall vest exclusively in the Client.

5. Independent Contractor Status

The Freelancer is an independent contractor. Nothing in this agreement shall be construed to create a partnership, joint venture, agency, or employer-employee relationship. The Freelancer is responsible for all applicable federal, state, and local taxes.

6. Termination

• Termination for Cause: Either party may terminate this agreement immediately upon written notice if the other party breaches a material term of this agreement.
• Termination for Convenience: Either party may terminate this agreement with [____] days' written notice. In the event of such termination, the Freelancer shall be compensated for all work performed up to the termination date.
