Instructions for Use

• Completion: This document is to be completed by the Hiring Entity and the Freelancer (Independent Contractor). All brackets must be filled with specific project details.
• Retention: In accordance with the Inland Revenue Ordinance (HK), both parties should retain a copy of this executed agreement for a minimum of 7 years for tax audit purposes.
• Attachments: Mandatory attachments include: (i) Scope of Work (SOW) Specification, (ii) Freelancer’s Business Registration Certificate (if applicable), and (iii) Confidentiality Undertaking (if required).

1. PARTIES

This Agreement is entered into by and between:

2. SERVICES & PERFORMANCE

3. FEES & PAYMENT TERMS

4. INDEPENDENT CONTRACTOR STATUS

• This agreement does not create an employer-employee relationship under the Employment Ordinance (Cap. 57).
• The Freelancer is responsible for their own MPF (Mandatory Provident Fund) contributions and tax obligations to the Inland Revenue Department.

5. INTELLECTUAL PROPERTY & CONFIDENTIALITY

• Ownership: All work product created specifically for the Hiring Entity shall vest in the Hiring Entity upon full payment of fees.
• Confidentiality: The Freelancer shall not disclose any proprietary, technical, or business information obtained during the course of the project to any third party.

6. TERMINATION

• Notice Period: Either party may terminate this agreement with [__________] days' written notice.
• Termination for Cause: Either party may terminate immediately in the event of a material breach by the other party.

7. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
