4. INDEPENDENT CONTRACTOR STATUS

The parties acknowledge that the Contractor is an independent contractor, not an employee. The Contractor is solely responsible for all federal and provincial income taxes, Canada Pension Plan (CPP) contributions, and Employment Insurance (EI) premiums. The Company shall not withhold any sums for such purposes.

5. CONFIDENTIALITY & INTELLECTUAL PROPERTY

• Confidentiality: The Contractor shall maintain the confidentiality of all proprietary information disclosed during the term.
• Work Product: All deliverables produced under this Agreement are "work made for hire." Ownership of all intellectual property rights is hereby assigned to the Company upon full payment of fees.

6. TERMINATION
