Upon full payment of fees, all work products created under this Agreement shall be considered "work made for hire" and shall remain the exclusive property of the Client. The Freelancer hereby assigns all rights, title, and interest therein to the Client.

5. RELATIONSHIP OF PARTIES

The Freelancer is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship. Freelancer is responsible for all applicable self-employment taxes.

6. CONFIDENTIALITY

Freelancer agrees to keep all non-public information obtained during the course of the engagement strictly confidential and shall not disclose such information to third parties without prior written consent.

7. TERMINATION

Either party may terminate this agreement with [__________] days written notice. In the event of termination, the Client shall pay for all services satisfactorily performed up to the date of termination.
