Instructions for Use

• Completion: This form must be completed by the Lead Architect and the Client. All bracketed fields must be populated; if a section is N/A, mark as "Not Applicable."
• Retention: Fully executed copies must be retained by both parties for a minimum period of seven (7) years following project completion or termination of this agreement.
• Attachments: Mandatory attachments include: Exhibit A (Scope of Work), Exhibit B (Fee Schedule), and Exhibit C (Project Timeline/Milestones).

2. SERVICES

3. COMPENSATION & PAYMENT

The Client shall compensate the Architect as follows:

5. OWNERSHIP OF INSTRUMENTS OF SERVICE

All drawings, specifications, and other documents prepared by the Architect are "Instruments of Service." The Client is granted a non-exclusive license to use said instruments solely for the project identified in this Agreement.

6. TERMINATION

Either party may terminate this Agreement upon [__________] days’ written notice. In the event of termination, the Architect shall be compensated for all services performed and reimbursable expenses incurred up to the date of termination.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the total liability of the Architect for any claims, losses, or damages arising out of this Agreement shall be limited to the total fees paid by the Client to the Architect under this Agreement.
