1. STATUTORY & LEGAL COMPLIANCE NOTICE
CLINICAL LEGAL DISCLAIMER: This Independent Subcontractor Agreement ("Agreement") is drafted in accordance with the laws of the Republic of South Africa, including, where applicable, the Common Law of Contract, the Consumer Protection Act 68 of 2008 (CPA) (to the extent business-to-business exemptions apply), the National Credit Act 34 of 2005 (NCA), the Electronic Communications and Transactions Act 25 of 2002 (ECTA), and the Protection of Personal Information Act 4 of 2013 (POPIA).
The parties acknowledge that this document is a generalized template provided for institutional framework purposes. Engaging in independent contracting in South Africa carries specific legal, labor, and tax risks, including potential recharacterization of an independent contractor as an employee under the Labour Relations Act 66 of 1995 (LRA), the Basic Conditions of Employment Act 75 of 1997 (BCEA), and the Income Tax Act 58 of 1962 (specifically regarding the statutory presumptions of employment). The Parties are strongly advised to seek independent, localized legal and tax counsel to review this Agreement prior to execution to ensure compliance with sector-specific regulations and South African Revenue Service (SARS) interpretation notes.

NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & ENGAGEMENT
1.1 Engagement: The Principal hereby engages the Subcontractor, and the Subcontractor accepts such engagement, as an independent contractor to perform the services described in Schedule A (the "Services") attached hereto and incorporated herein by reference. 1.2 Standard of Performance: The Subcontractor shall perform the Services with promptness, diligence, and in a professional and workmanlike manner, utilizing the highest standards of skill, care, and diligence traditionally exercised by professionals in the Subcontractor’s field. 1.3 Independent Contractor Status: The Subcontractor is an independent contractor and not an employee, partner, or agent of the Principal. Nothing in this Agreement shall be construed as creating an employer-employee relationship between the Principal and the Subcontractor (or any of the Subcontractor's personnel). The Subcontractor shall have no authority to bind, obligate, or enter into any contract on behalf of the Principal. 1.4 Tax and Statutory Compliance: The Subcontractor shall be solely responsible for all tax liabilities, Value-Added Tax (VAT) registrations and filings (if applicable), contributions, insurance (including compensation for occupational injuries and diseases under COIDA), and statutory withholdings arising out of or relating to any compensation paid under this Agreement. The Subcontractor shall ensure that all personnel assigned to perform the Services are fully qualified, vetted, and bound by confidentiality and intellectual property assignment obligations no less restrictive than those contained herein.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Compensation: In consideration for the full and faithful performance of the Services, the Principal shall pay the Subcontractor the fees set forth in Schedule B (the "Compensation"). The Compensation is inclusive of all costs, overhead, travel, and expenses incurred by the Subcontractor, unless explicitly agreed otherwise in writing.
2.2 Invoicing: The Subcontractor shall submit tax invoices (compliant with the requirements of the South African Value-Added Tax Act 89 of 1991, if the Subcontractor is a registered VAT vendor) to the Principal upon the completion of milestones or on a monthly basis, as specified in Schedule B. Each invoice shall contain a detailed breakdown of the Services rendered, time expended (if applicable), and applicable VAT registration numbers.
2.3 Payment Terms: Valid and undisputed invoices shall be paid by the Principal via electronic funds transfer (EFT) within [Number, e.g., 30] days following the date of receipt of the invoice by the Principal.
2.4 Late Payment and Interest: If the Principal fails to pay any undisputed amount when due, interest shall accrue on the overdue balance at the prime lending rate charged by the Standard Bank of South Africa Limited from time to time, calculated daily and compounded monthly from the due date until the date of actual payment.
2.5 Disputed Invoices: If the Principal disputes any item on an invoice in good faith, it shall notify the Subcontractor in writing within fourteen (14) days of receipt of the invoice, detailing the specific grounds for the dispute. The Principal shall pay the undisputed portion of the invoice in accordance with Clause 2.3. The Parties shall negotiate in good faith to resolve any disputed items within ten (10) days of the notice.
SECTION 3: TERM & TERMINATION
3.1 Term: This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services or until terminated in accordance with the provisions of this Section 3 (the "Term").
3.2 Termination for Convenience: The Principal may terminate this Agreement, in whole or in part, at any time for any reason by providing not less than [Number, e.g., 14] days' prior written notice to the Subcontractor. Upon receipt of such notice, the Subcontractor shall immediately cease all work, unless the notice dictates otherwise.
3.3 Termination for Cause: Either Party may terminate this Agreement with immediate effect by giving written notice to the other Party if:

- (b) The other Party enters into liquidation (whether provisional or final, compulsory or voluntary), is placed under business rescue, commits an act of insolvency, assigns its estate for the benefit of its creditors, or compromises with its creditors; or
- (c) Any event occurs that materially and adversely affects the other Party's ability to perform its obligations under this Agreement. 3.4 Consequences of Termination: Upon termination of this Agreement for any reason:
- (a) The Subcontractor shall promptly deliver to the Principal all work product, deliverables, data, documents, and materials created or compiled in the performance of the Services, whether complete or incomplete;

- (d) Is required to be disclosed by law, regulation, or court order, provided that the Receiving Party gives prompt written notice to the Disclosing Party to enable it to seek a protective order. 5.4 POPIA Compliance: The Parties acknowledge that the processing of any Personal Information (as defined under the Protection of Personal Information Act 4 of 2013, "POPIA") under this Agreement shall be strictly governed by the statutory conditions for lawful processing, and each Party warrants that it shall implement appropriate technical and organizational measures to secure such Personal Information against unauthorized or unlawful processing.

SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Indemnification: The Subcontractor shall defend, indemnify, and hold harmless the Principal, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees on an attorney-and-client scale) arising out of or resulting from:
- (a) Any breach by the Subcontractor of any representation, warranty, or obligation under this Agreement;
- (b) Any negligent act or omission, willful misconduct, or fraud by the Subcontractor or its personnel; or
