The Agent hereby irrevocably assigns all rights, titles, and interests in such property to the Principal.
3.5 MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

5. STEP-BY-STEP EXECUTION & FILING GUIDE
- Field Completion: Open this document in Microsoft Word or Google Docs. Replace all bracketed text (e.g.,
[Principal Full Legal Name]) with the accurate legal information. Do not leave any brackets in the final printed version. - Verify Authority: Ensure the Principal is of sound mind. In Ohio, if the Principal’s capacity is questioned later, the notarization serves as prima facie evidence of execution, but it does not prove mental capacity.
- Physical Execution (Recommended): While Ohio law permits electronic signatures under ORC Chapter 1306, many financial institutions (banks) are hesitant to accept electronically signed POAs. It is highly recommended to print this document and sign it in the presence of a Notary Public.
- Notarization: The Principal must sign the document in front of a licensed Notary Public. The Agent’s signature should also be notarized to facilitate ease of use at banks.
- Record Retention:
- Original: The Agent should hold the original document, as banks often require the presentation of the original.
- County Recorder: If the Agent intends to use this POA for real estate transactions, the document MUST be recorded in the office of the County Recorder in the county where the property is located (ORC § 1337.04).
- Digital Storage: Upload a scanned high-resolution PDF of the fully executed and notarized document to a secure vault (e.g., DocuSign, Adobe Sign, or a secure cloud drive) for emergency access.
