WHEREAS, this Agreement is governed exclusively by the laws of the State of California, including the Civil Code and the Code of Civil Procedure.
NOW, THEREFORE, in consideration of the mutual covenants, obligations, and valuable consideration exchanged herein—the receipt and sufficiency of which are hereby acknowledged—the Parties agree as follows:
2. OPERATIONAL DEFINITIONS

2.6. "Default" means any material breach, failure, or refusal by either Party to timely observe, perform, or comply with any covenant, condition, or obligation imposed by this Agreement.
3. SUBSTANTIVE TERMS & OBLIGATIONS
3.1. Grant of Lease and Term. Landlord hereby leases the Premises to Tenant, and Tenant hereby takes and hires the Premises from Landlord, for the Term, subject to the terms and conditions set forth herein. Upon expiration of the Term, this Agreement shall convert to a month-to-month tenancy only upon the express written consent of Landlord; otherwise, Tenant shall surrender possession immediately.
3.2. Rent Payment Mechanics. Tenant covenants and agrees to pay Rent to Landlord in advance on or before the first (1st) day of each calendar month. Rent shall be paid via [Specify Payment Method: e.g., electronic funds transfer / ACH / cashier's check] to Landlord’s designated payment portal or address at [Landlord Payment Address]. Time is of the essence with respect to the payment of Rent.
3.3. Late Fees and Returned Payments. If Rent is not received by Landlord by the fifth (5th) day of the calendar month, Tenant shall pay a late charge of [Dollar Amount or Percentage] ($[0.00]) as liquidated damages, which the Parties agree is a reasonable estimate of the administrative costs and economic detriment incurred by Landlord due to late payment. In addition, Tenant shall pay a fee of [Dollar Amount] ($[0.00]) for any check or electronic payment returned for insufficient funds (NSF) or account closure.
3.4. Security Deposit Administration. The Security Deposit shall be held by Landlord in compliance with California Civil Code Section 1950.5. No later than twenty-one (21) calendar days after Tenant vacates the Premises, Landlord shall furnish Tenant with an itemized written statement detailing any lawful deductions made from the Security Deposit for unpaid rent, cleaning, or repair of damages exceeding normal wear and tear, accompanied by the remaining balance, if any. The Security Deposit shall not be applied by Tenant as a substitute for the final month's Rent.
3.5. Use and Occupancy. The Premises shall be used and occupied exclusively as a private residential dwelling by Tenant and the following authorized occupants only: [List Names of Authorized Occupants / Minor Children]. The Premises shall not be used for any commercial, industrial, or illegal purpose, nor in violation of any municipal ordinance or state statute.
3.6. Maintenance, Repairs, and Alterations.
- Tenant Obligations: Tenant shall maintain the Premises in a clean, sanitary, and habitable condition throughout the Term. Tenant shall promptly notify Landlord in writing of any structural defects, water leaks, or maintenance requirements. Tenant shall bear the cost of repairing any damage caused by the negligence or willful misconduct of Tenant, its guests, invitees, or pets.
- Landlord Obligations: Landlord shall maintain the structural elements, roof, plumbing, heating, and electrical systems in compliance with the implied warranty of habitability under California law.
- Alterations: Tenant shall not paint, wallpaper, remodel, or make any structural, mechanical, or electrical alterations to the Premises without the prior written consent of Landlord.
3.7. Utilities Allocation. Tenant shall be solely responsible for contracting, maintaining, and paying all charges associated with [Specify Utilities Paid by Tenant, e.g., electricity, gas, internet]. Landlord shall pay for [Specify Utilities Paid by Landlord, e.g., trash removal, HOA fees].
3.8. Right of Entry. Pursuant to California Civil Code Section 1954, Landlord or Landlord’s authorized agents may enter the Premises upon giving reasonable notice (presumed to be twenty-four (24) hours in writing) for the purpose of inspections, repairs, showings to prospective buyers or tenants, or in the event of an emergency. Notice may be personally delivered, left with a person of suitable age, or left on the property in a conspicuous manner.
3.9. Representations and Warranties. Landlord represents that Landlord is the lawful owner of the Premises with full right and authority to execute this Agreement. Tenant represents that all financial disclosures, employment details, and rental applications submitted to Landlord are true, accurate, and complete in all material respects.
4. DEFAULT, TERMINATION, AND REMEDIES
4.1. Events of Default. The occurrence of any one or more of the following shall constitute a material Default by Tenant under this Agreement:
- Failure of Tenant to pay Rent or any other monetary obligation within three (3) days after written demand or notice is served pursuant to California Code of Civil Procedure Section 1161.
- Failure of Tenant to perform or observe any non-monetary covenant, condition, or rule within thirty (30) business days after receipt of written notice from Landlord specifying the nature of the breach.
- Abandonment or vacation of the Premises by Tenant for a period exceeding seven (7) consecutive days without prior written notice to Landlord.
- Filing of a petition in bankruptcy by or against Tenant, or an assignment for the benefit of creditors.
4.2. Notice and Cure Periods. Except where state law mandates shorter statutory notice periods (such as a 3-day notice to pay or quit for non-payment of rent, or a 3-day notice to perform or quit for incurable/curable breaches under California law), the defaulting Party shall have a cure period of thirty (30) business days from the formal receipt of written notice to cure any operational default before further legal action is initiated.
4.3. Landlord Remedies upon Default. If a Default occurs and remains uncured following the applicable statutory or contractual notice period, Landlord may, at its sole discretion, exercise any and all legal and equitable remedies available under California law, including:
- Terminating this Agreement and Tenant's right to possession of the Premises by delivering a lawful notice to quit.
- Filing an unlawful detainer action in the appropriate California Superior Court to recover possession, past-due rent, damages, and legal costs.
- Pursuing damages for breach of contract, including the recovery of future rent for the remainder of the Term, subject to Landlord's statutory duty to mitigate damages.
4.4. Attorneys' Fees and Costs. In the event of any legal action, arbitration, or judicial proceeding arising out of this Agreement, the prevailing Party shall be entitled to recover from the non-prevailing Party all reasonable costs incurred, including reasonable attorneys' fees, court costs, and expert witness fees, as authorized by California law.
5. BOILERPLATE LEGAL PROVISIONS
5.1. Severability. If any provision, clause, or section of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions hereof, which shall continue in full force and effect, provided that the foundational economic and legal bargain of this Agreement remains intact.
5.2. Entire Agreement. This Agreement constitutes the complete, final, and exclusive integration of the understanding between Landlord and Tenant regarding the Premises. This Agreement supersedes all prior negotiations, representations, understandings, or agreements, whether oral or written. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless executed in writing and signed by both Parties.
5.3. Force Majeure. Neither Party shall be held liable for any failure, delay, or default in performing obligations under this Agreement if such failure arises directly or indirectly from acts of God, natural disasters, catastrophic weather events, pandemics, war, terrorism, civil unrest, or utility grid failures beyond the reasonable control of the affected Party, excluding financial inability to pay.
5.4. Governing Law and Venue. This Agreement shall be interpreted, construed, and enforced in accordance with the substantive laws of the State of California, without regard to its conflict of laws principles. Any legal action or proceeding relating to this Agreement shall be brought exclusively in the state or federal courts located within the County of [County Name, CA], where the Premises is situated.
5.5. Dispute Resolution.
- Mediation: In the event of any dispute arising out of or relating to this Agreement, the Parties agree first to attempt to settle the dispute through good-faith negotiation before a mutually agreed-upon mediator certified in the State of California.
- Binding Arbitration / Judicial Action: If mediation fails to resolve the dispute within thirty (30) days, either Party may submit the dispute to binding arbitration administered by
