3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: SCOPE OF SERVICES & ENGAGEMENT

1.1 Scope of Work. Consultant shall provide professional services related to the research, drafting, editing, financial budgeting, and final packaging of grant proposals as explicitly detailed in Schedule A (Statement of Work) attached hereto and incorporated herein by this reference (collectively, the "Services").

1.2 Standard of Performance. Consultant covenants and agrees that all Services shall be performed with the highest degree of professional care, skill, diligence, and competence practiced by recognized professionals in the grant writing and strategic non-profit consulting industry. Consultant shall execute all deliverables in strict compliance with the stated guidelines, deadlines, and technical specifications of the target funding agency or grantor specified in Schedule A.

1.3 Client Cooperation. Client acknowledges that the timely and successful execution of the Services is contingent upon Client’s full, accurate, and prompt cooperation. Client shall provide Consultant with all necessary organizational data, historical financials, programmatic metrics, IRS determination letters, board rosters, and strategic plans within [Number, e.g., five (5)] business days of a written request by Consultant. Any delays caused by Client's failure to provide required information shall equitably extend Consultant's performance deadlines.

SECTION 2: COMPENSATION & PAYMENT TERMS

2.1 Fee Structure. In consideration for the full and faithful performance of the Services, Client shall pay Consultant the total fixed fee of [Amount in USD] (the "Total Contract Price"), or alternatively, on a time-and-materials basis at the hourly rate of [Hourly Rate in USD], as expressly designated in Schedule A.

2.2 Milestone Payments & Invoicing. The Total Contract Price shall be invoiced and paid according to the following milestone schedule:

  • Advance Retainer / Execution Deposit: [Percentage, e.g., 30]% (or $ [Amount]) due upon the execution of this Agreement prior to the commencement of any Services.
  • First Draft Submission Milestone: [Percentage, e.g., 40]% (or $ [Amount]) due upon delivery of the comprehensive first draft of the grant proposal.
  • Final Submission & Completion Milestone: [Percentage, e.g., 30]% (or $ [Amount]) due upon final packaging, formatting, and electronic submission of the grant proposal to the grantor.

2.3 Payment Terms & Late Interest. All invoices issued by Consultant shall be net [Number, e.g., thirty (30)] days from the date of issuance (the "Due Date"). Any amounts remaining unpaid after the Due Date shall accrue interest at the lesser of [Percentage, e.g., 1.5]% per month or the maximum rate permitted by applicable law, calculated daily and compounded monthly until paid in full. Consultant reserves the right to suspend all ongoing Services in the event any invoice remains unpaid for more than [Number, e.g., fifteen (15)] days past the Due Date without prejudice to any other legal remedies available.

2.4 Expenses. Client shall reimburse Consultant for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred in connection with the performance of the Services, including specialized data-mining subscriptions, targeted travel, and courier fees, provided that such expenses are supported by standard itemized receipts.

SECTION 3: TERM & TERMINATION

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services or until terminated earlier in accordance with the provisions of this Section 3 (the "Term").

3.2 Termination for Convenience. Either Party may terminate this Agreement, in whole or in part, at any time without cause upon providing [Number, e.g., thirty (30)] days prior written notice to the other Party. Upon termination for convenience by Client, Client shall immediately pay Consultant for all Services satisfactorily performed and non-cancellable expenses incurred up to the effective date of termination, calculated on a pro-rata basis.

3.3 Termination for Cause (Breach). If either Party materially breaches any provision, covenant, or warranty of this Agreement, the non-breaching Party may provide written notice specifying the nature of the breach and demanding cure. If the breaching Party fails to cure such material breach within [Number, e.g., fifteen (15)] days of receipt of such written notice, this Agreement shall automatically terminate at the expiration of the cure period.

4.1 Work Made for Hire. Consultant agrees that all final customized written narratives, specific programmatic frameworks, tailored budgets, and completed grant applications drafted and delivered specifically for Client under this Agreement (collectively, the "Deliverables") shall be deemed a "work made for hire" under the copyright laws of the United States. Upon full receipt of all compensation due under this Agreement, Consultant hereby assigns to Client all right, title, and interest in and to the final Deliverables.

4.2 Consultant Pre-Existing IP & Methodologies. Notwithstanding Section 4.1, Client acknowledges and agrees that Consultant retains sole and exclusive ownership of all pre-existing intellectual property, proprietary writing templates, research models, analytical frameworks, prompt engineering algorithms, methodologies, and general know-how utilized by Consultant in creating the Deliverables (the "Consultant IP"). Consultant grants Client a perpetual, non-exclusive, royalty-free, worldwide license to use the Consultant IP solely as embedded within the final Deliverables for Client's internal grant-seeking operations.

SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

5.1 Definition of Confidential Information. "Confidential Information" shall include all information or data disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including financial records, donor lists, proprietary strategies, trade secrets, and non-public business plans.

5.2 Obligations of Confidentiality. The Receiving Party shall protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information (but not less than reasonable care), and shall not disclose such Confidential Information to any third party, except to its employees, independent contractors, and legal counsel who have a strict need to know and who are bound by written confidentiality obligations at least as restrictive as those contained herein.

5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally known to the public without breach of this Agreement; (b) was already known to the Receiving Party prior to disclosure without confidentiality restrictions; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party.

SECTION 6: REPRESENTATIONS & WARRANTIES

6.2 Client Warranties. Client represents and warrants that: (a) it possesses the full legal right, capacity, and authority to enter into this Agreement; (b) all information, historical financials, metrics, and operational descriptions provided to Consultant are true, accurate, complete, and not misleading in any material respect; and (c) the utilization of Consultant's Services does not violate any internal organizational bylaws, state non-profit regulations, or federal statutory frameworks.

6.3 Disclaimer of Grant Award Guarantees. Client expressly acknowledges and understands that grant funding decisions are made entirely at the sole discretion of third-party grantors, foundations, and governmental bodies. Consultant makes no guarantees, representations, or warranties whatsoever regarding the success of any grant proposal or the actual acquisition of grant funding.

SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF REVENUE, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Cap on Liability. Consultant's total aggregate liability arising out of or relating to this Agreement, under any and all legal theories, shall be strictly limited to and capped at the total fees actually paid by Client to Consultant under this Agreement during the twelve (12) month period immediately preceding the event giving rise to liability.

7.3 Client Indemnification. Client agrees to defend, indemnify, and hold harmless Consultant, its officers, directors, employees, agents, and independent contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or resulting from: (a) any material breach of this Agreement by Client; (b) any inaccurate, fraudulent, or misleading information provided by Client to Consultant; or (c) the negligent or willful acts or omissions of Client in connection with the execution or implementation of the grant proposal.

SECTION 8: DISPUTE RESOLUTION & ARBITRATION

8.1 Negotiation & Mediation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, performance, breach, or termination (a "Dispute"), the Parties shall first attempt in good faith to resolve the Dispute through direct negotiations between senior executives of each Party. If the Dispute is not resolved within [Number, e.g., thirty (30)] days of written notice of the Dispute, either Party may submit the Dispute to non-binding mediation administered by a mutually agreed-upon professional mediation service provider in the governing jurisdiction.

8.2 Binding Arbitration. If mediation fails to resolve the Dispute within [Number, e.g., sixty (60)] days of submission, the Dispute shall be settled by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in [City, State]. The arbitrator's award shall be final, and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction. Each Party shall bear its own legal fees and costs, provided that the arbitrator may award reasonable attorney's fees to the prevailing party.

SECTION 9: GOVERNING LAW & JURISDICTION

9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State of Jurisdiction], without regard to its conflict of laws principles.

9.2 Jurisdiction and Venue. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction and venue of the state and federal courts located within [County County, State], for any legal action, suit, or proceeding arising out of or relating to this Agreement.

SECTION 10: MISCELLANEOUS

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

10.2 Entire Agreement. This Agreement, together with any attached Schedules or Statements of Work, constitutes the final, complete, and exclusive expression of the agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous negotiations, discussions, understandings, and agreements, whether oral or written, between the Parties.

10.3 Amendments & Waivers. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument explicitly referencing this Agreement and signed by the authorized representatives of both Parties. No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof.

10.4 Force Majeure. Neither Party shall be held liable or responsible to the other Party nor be deemed to have breached this Agreement for any failure or delay in fulfilling or performing any term of this Agreement when such failure or delay is caused by or results from acts beyond the reasonable control of the affected Party, including acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, national or regional emergencies, epidemics, pandemics, government sanctions, or widespread electrical, internet, or telecommunication grid failures (each, a "Force Majeure Event"), provided that the affected Party uses diligent efforts to resume performance as soon as practicable.

10.5 Counterparts & Electronic Signatures. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. 1. Template Customization & Field Audit:

    • Download or copy this template into your designated word processing environment (Google Docs or Microsoft Word).
    • Perform a global search-and-replace or manual review for all bracketed text strings (e.g., [...]). Ensure all placeholders—including corporate legal names, state of incorporation, physical addresses, effective dates, exact financial amounts, and jurisdictional counties—are fully populated.
  2. Statement of Work (Schedule A) Attachment:

  5. Record Retention & Compliance Archiving:

    • Store the fully executed PDF, along with the digital signature certificate and Schedule A, in a secure, encrypted cloud repository or enterprise contract lifecycle management (CLM) system.
    • Retain all executed contract records for a minimum of seven (7) years, or in accordance with your organization's statutory document retention policies and federal non-profit audit requirements.
