This Notice to Vacate & Lease Termination Agreement (hereinafter the "Agreement") is entered into and made effective as of [Effective Date], by and between [Landlord/Property Manager Name], having a principal place of business or residence at [Landlord Address] (hereinafter the "Landlord"), and [Tenant Name(s)], currently residing at [Premise Address] (hereinafter the "Tenant").

WHEREAS, Landlord and Tenant entered into a residential/commercial lease agreement dated [Lease Date] (hereinafter the "Master Lease") for the real property located at [Premise Address] (hereinafter the "Premises"); and

WHEREAS, a material breach of the Master Lease has occurred, specifically concerning non-payment of rent, violation of lease covenants, or expiration of the lease term, necessitating formal legal notice and demand for possession under the laws of [Jurisdiction];

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

SECTION 1: OPERATIONAL DEFINITIONS

1.1 "Premises" means the real property and any appurtenances located at [Premise Address], including all parking spaces, storage units, and fixtures associated therewith. 1.2 "Master Lease" means the underlying binding rental agreement executed on [Lease Date] between Landlord and Tenant. 1.3 "Default" means the failure of the Tenant to perform, observe, or comply with any covenant, condition, agreement, or term of the Master Lease or this Agreement. 1.4 "Cure Period" means the exact timeframe allotted to the Tenant to rectify a remediable Default, specifically established as thirty (30) business days from the formal date of service of this Agreement. 1.5 "Vacate Date" means the absolute deadline by which the Tenant must completely remove all personal property, surrender possession, and return all keys, access cards, and security devices to the Landlord, established as [Vacate Date]. 1.6 "Holding Over" means the unauthorized retention of possession of the Premises by the Tenant after the expiration or termination of the Master Lease or this Agreement.

SECTION 2: SUBSTANTIVE TERMS & OBLIGATIONS

2.1 Notice of Termination. Landlord hereby provides formal legal notice to Tenant that the Master Lease is terminated effective as of midnight on [Termination Date]. Tenant's right to occupy the Premises ceases as of this date. 2.2 Demand for Possession. Landlord demands absolute, vacant, and unencumbered possession of the Premises be surrendered to the Landlord on or before the Vacate Date. 2.3 Outstanding Financial Obligations. Tenant acknowledges and agrees that the total outstanding balance owed to Landlord as of the effective date of this Agreement is [Dollar Amount], itemized as follows: past-due rent of [Rent Amount], late fees of [Late Fee Amount], and property damage assessments of [Damage Amount]. 2.4 Condition of Premises. Tenant is strictly obligated to surrender the Premises to the Landlord in the exact broom-clean, undamaged condition as received at the commencement of the Master Lease, ordinary wear and tear excepted. 2.5 Inspection Rights. Landlord or Landlord's designated agents reserve the right to enter the Premises with twenty-four (24) hours prior written or electronic notice to conduct a move-out inspection and verify compliance with this Agreement. 2.6 Prohibition of Encumbrances. Tenant shall not create, incur, or allow any liens, encumbrances, or security interests to attach to the Premises or Landlord’s property.

SECTION 3: DEFAULT, TERMINATION, AND REMEDIES

3.1 Classification of Default. Any failure by Tenant to fully perform any obligation under this Agreement—including failure to vacate by the Vacate Date, failure to pay outstanding financial balances, or failure to cure specified lease violations—shall constitute an immediate Event of Default without requirement of further notice. 3.2 Cure Period and Limitations. For remediable monetary or non-monetary defaults explicitly designated as curable by statute or this Agreement, Tenant is granted a strict Cure Period of thirty (30) business days following the formal service of this notice. Failure to completely cure the Default within this exact timeframe shall render the termination absolute and non-negotiable. 3.3 Legal Recourse and Eviction Proceedings. Upon the expiration of the Cure Period (if applicable) or the Vacate Date without full compliance by Tenant, Landlord shall immediately initiate formal Unlawful Detainer or eviction proceedings in a court of competent jurisdiction within [Jurisdiction]. 3.4 Liquidated Damages for Holding Over. Should Tenant fail to vacate the Premises by the Vacate Date, Tenant shall be liable for holdover damages calculated at the rate of [Dollar Amount] per diem, alongside all consequential damages suffered by Landlord, including lost rentals for subsequent tenants and storage costs. 3.5 Attorney’s Fees and Costs. In the event that Landlord initiates legal action to enforce the terms of this Agreement, recover possession, or collect outstanding financial balances, the prevailing party shall be entitled to recover all reasonable attorney’s fees, court costs, bailiff fees, and collection agency expenses.

SECTION 4: BOILERPLATE LEGAL PROVISIONS

4.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect as if the invalid provision had never been included. 4.2 Entire Agreement. This Agreement constitutes the entire understanding between the Landlord and Tenant regarding the termination of the Master Lease and supersedes all prior oral or written negotiations, representations, or agreements. 4.3 Force Majeure. Neither party shall be held liable for any failure of performance under this Agreement if such failure is caused by acts of God, war, civil unrest, natural disasters, or government-mandated public health emergencies beyond the reasonable control of the affected party, excluding financial inability to pay. 4.4 Governing Law. This Agreement shall be interpreted, construed, governed, and enforced in accordance with the internal laws of the State/Commonwealth of [Jurisdiction], without regard to its conflict of laws principles. 4.5 Dispute Resolution. Any legal action, claim, or dispute arising out of or relating to this Agreement shall be adjudicated exclusively in the state or federal courts located within [County], [Jurisdiction]. The Parties hereby consent to the personal jurisdiction of such courts and waive any objections based on forum non conveniens.
