[Date after the expiry of the 2-month notice period, e.g., 2nd day of January, 2024](hereinafter the "Possession Date"). - Continuation of Obligations: The service of this Notice does not extinguish, waive, or otherwise impair the Tenant’s ongoing covenants and obligations under the Tenancy Agreement, including, without limitation, the strict obligation to pay rent punctually as and when it falls due up to and including the date actual vacant possession is surrendered to the Landlord.
- Landlord Representations & Compliance: The Landlord formally represents and warrants that:
- a. The Deposit has been protected in an authorized scheme within thirty (30) calendar days of receipt, and the Prescribed Information has been correctly and timely served upon the Tenant.

SECTION 4: DEFAULT, TERMINATION, AND REMEDIES
- Failure to Vacate: If the Tenant fails to deliver vacant possession of the Property to the Landlord on or before the expiry of the Minimum Notice Period (being the Possession Date specified in Section 3, Clause 1), the Landlord reserves the absolute legal right to issue a claim for possession in the County Court under Section 21 and/or Section 8 of the Housing Act 1988 (accelerated possession procedure or standard procedure).
- Cure Periods and Non-Applicability: Unlike Section 8 notices predicated on contractual breaches (such as rent arrears), a Section 21 notice is a "no-fault" possession procedure. Consequently, no operational cure period applies to this Notice. The Tenant's sole recourse is the peaceful surrender of vacant possession or the challenging of the procedural validity of this Notice in a court of competent jurisdiction within thirty (30) Business Days of service.
- Legal Costs and Damages: In the event that court proceedings are necessitated by the Tenant’s failure to vacate, the Landlord shall seek an order for possession coupled with an application for legal costs, court fees, and mesne profits calculated from the Possession Date until actual vacant possession is recovered.
- Statutory Limitation: Pursuant to Section 21(4D) of the Housing Act 1988, court proceedings based upon this Notice must be commenced within the statutory validity window (typically six (6) months from the date of service of this Notice), failing which this Notice shall lapse and become null and void.
SECTION 5: BOILERPLATE LEGAL PROVISIONS
- Severability: If any provision, clause, or sub-clause of this Notice is held to be invalid, illegal, or unenforceable by any court or tribunal of competent jurisdiction, such provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect as if the invalid portion had never been included.
- Entire Agreement: This Notice, read together with the underlying Tenancy Agreement and statutory certificates referenced herein, constitutes the entire understanding between the Parties regarding the termination of the possessory right and supersedes all prior negotiations, representations, or understandings, whether written or oral.
- Force Majeure: Neither party shall be held in default or liable for any delay or failure in performance under this Notice resulting directly from acts of God, natural disasters, declared states of emergency, acts of terrorism, or mandatory legislative suspensions of court-ordered evictions enacted by the Parliament of the United Kingdom.
- Governing Law and Jurisdiction: This Notice, and any dispute or claim arising out of or in connection with it or its subject matter or formation, shall be governed by, and construed in accordance with, the laws of England and Wales. The Parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
- Service of Notices: This Notice shall be deemed to be validly served on the Tenant if delivered personally, sent by pre-paid first-class post, or left at the Property, in strict compliance with Section 196 of the Law of Property Act 1925 and the terms of the Tenancy Agreement.
