COMMERCIAL LEASE AGREEMENT

THIS COMMERCIAL LEASE AGREEMENT (the "Agreement") is entered into as of this [Day] day of [Month], [Year] (the "Effective Date"), by and between:

RECITALS

WHEREAS, the Landlord is the registered owner of the premises situated at [Physical Address of Property] (the "Premises"); WHEREAS, the Landlord desires to lease the Premises to the Tenant, and the Tenant desires to lease the Premises from the Landlord for commercial purposes, subject to the terms and conditions set forth herein.

1. OPERATIONAL DEFINITIONS

1.1 "Commencement Date" means [Date]. 1.2 "Termination Date" means [Date]. 1.3 "Monthly Rental" means the amount of [Amount in ZAR] inclusive of VAT, payable in advance on or before the [Day] of each month. 1.4 "Operating Costs" means the pro-rata share of utilities, municipal rates, levies, and maintenance costs as defined in Schedule A. 1.5 "Business Day" means any day other than a Saturday, Sunday, or official South African public holiday.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1 Grant of Lease: The Landlord hereby leases the Premises to the Tenant for the period commencing on the Commencement Date and ending on the Termination Date. 2.2 Permitted Use: The Premises shall be used exclusively for [Nature of Business Activity] and for no other purpose without the prior written consent of the Landlord. 2.3 Payment: The Tenant shall pay the Monthly Rental via electronic funds transfer (EFT) into the nominated bank account of the Landlord, free of bank charges and deduction. 2.4 Maintenance: The Landlord shall maintain the structural integrity of the Premises. The Tenant shall be responsible for the interior maintenance, fixtures, and any damage caused by the Tenant’s negligence. 2.5 Compliance: The Tenant shall comply with all applicable South African statutes, including the Occupational Health and Safety Act 85 of 1993 and the Consumer Protection Act 68 of 2008.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1 Breach: Should either Party commit a breach of any material term of this Agreement, the aggrieved Party shall provide written notice of such breach to the defaulting Party. 3.2 Cure Period: The defaulting Party shall have a period of 30 (thirty) business days from receipt of the notice to remedy said breach. 3.3 Legal Recourse: If the breach is not remedied within the stipulated period, the non-defaulting Party may, without prejudice to any other rights available at law: 3.3.1 Terminate this Agreement and claim damages; or 3.3.2 Enforce specific performance. 3.4 Interest: Any arrear payments shall bear interest at the prime rate charged by the Landlord’s bank plus 2% per annum.

4. BOILERPLATE LEGAL PROVISIONS

4.1 Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect. 4.2 Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes all prior negotiations, representations, or agreements. 4.3 Force Majeure: Neither Party shall be liable for any failure to perform its obligations where such failure results from a cause beyond their reasonable control (including acts of God, civil unrest, or government intervention). 4.4 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. 4.5 Dispute Resolution: Any dispute arising from this Agreement that cannot be resolved through negotiation shall be submitted to arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA), held in [City, Province].
