-
Review and Customise:
- Thoroughly Read: Ensure all sections of the Agreement are understood.
- Fill Blanks: Complete all bracketed
[FIELD NAME]placeholders with accurate and specific information for both the Service Provider and the Client. This includes names, addresses, registration numbers, contact details, dates, and all financial figures. - Select Options: Choose the appropriate options for Fee Structure, Payment Schedule, and Termination (e.g., Option A, B, or C under Clause 2.1 and 2.2), deleting the unselected options.
- Annexures: Populate Annexure A (Scope of Services) and Annexure B (Fee Schedule) with precise and detailed information specific to the engagement. This is critical for defining the deliverables and financial obligations. If Annexure B is redundant due to Clause 2, state "N/A - See Clause 2".
- Legal Counsel: Crucially, have a qualified legal professional in South Africa review the entire customised document to ensure it accurately reflects your specific agreement, is legally robust, and complies with all applicable South African laws (including contract law, consumer protection where applicable, and POPIA).
-
Execution (Signing):
- Authorised Signatories: Ensure that the individuals signing on behalf of the Service Provider and Client are duly authorised to bind their respective entities. Obtain board resolutions or powers of attorney if necessary.
- Physical Signatures: Both Parties must sign two original copies of the complete Agreement, including all Annexures. Digital signatures are generally permissible under South African law (ECTA), but physical ("wet ink") signatures are often preferred for critical contracts for evidentiary purposes.
- Witnesses: Each Party's signature block includes two witness lines. Witnesses must be adults, not parties to the Agreement, and should be present when the respective Party signs. They should sign and print their names.
- Dating: Ensure the exact date of signing is recorded next to each signature. This date should ideally match the "Effective Date" in the Document Header or be consistent if the effective date is set differently.
-
Filing and Record-Keeping:
- Originals: Each Party should retain one original, physically signed copy of the Agreement.
- Digital Copies: Scan the signed Agreement to create high-resolution digital copies (PDF format is recommended). Store these digital copies securely and back them up.
- Centralised System: File the Agreement in a structured, accessible contract management system or designated physical archive.
- Associated Documents: Keep all supporting documents (e.g., board resolutions, identity documents of signatories, correspondence leading to the Agreement, change orders, invoices) with the Agreement.
-
Operational Implementation:
- Internal Communication: Distribute relevant sections of the Agreement (e.g., Scope of Services, Fee Schedule, contact persons) to internal teams responsible for service delivery, billing, and project management.
- Monitoring: Regularly monitor compliance with the terms, particularly payment schedules, deliverable timelines, and confidentiality obligations.
- Invoicing: Ensure all invoices adhere to the agreed-upon fee structure, payment schedule, and include all necessary details (VAT number, invoice date, due date).
-
Enforcement:
- Breach: In case of a breach by either Party, follow the notice and cure period procedures outlined in Clause 3.3.1.
