- (c) Phase III: Final Submission Package. A fully compiled, submission-ready electronic package formatted in exact compliance with agency portals (e.g., Grants.gov, ASSIST, FastLane, Research.gov).
1.3 Client Cooperation. The Client shall provide timely access to necessary subject matter experts (SMEs), institutional data, prior funding records, budgetary inputs, and administrative clearances required for the completion of the Scope of Work. Delays caused by the Client's failure to furnish required information shall correspondingly extend all project timelines without penalty to the Provider.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Total Compensation. In consideration for the full and faithful performance of the services outlined herein, the Client shall pay to the Provider the total sum of [Amount in USD] (USD), structured in accordance with the milestone payment schedule set forth in Exhibit B.
2.2 Invoicing & Payment Schedule. The Provider shall issue invoices to the Client upon the completion and acceptance of each project milestone. All invoices are due and payable within [Number, e.g., Thirty (30)] calendar days of the invoice receipt date (Net [30]). Payments shall be remitted via wire transfer, electronic ACH, or check in United States Dollars to the bank account designated in writing by the Provider.
2.3 Late Payment Interest. Any invoice amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date such payment was due until the date of actual payment. The Provider reserves the right to suspend all ongoing services and withhold final deliverables in the event of any delinquent balance exceeding thirty (30) days past due.
2.4 Expenses. Unless otherwise explicitly agreed in writing, the compensation set forth in Section 2.1 is inclusive of all standard administrative, communication, and digital reproduction expenses. Extraordinary travel expenses or specialized third-party data acquisition costs requested by the Client shall be pre-approved in writing and reimbursed at actual cost.
SECTION 3: TERM & TERMINATION
3.1 Term of Agreement. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the complete delivery and acceptance of the final Proposal, or until [Termination Date], whichever occurs first, unless earlier terminated in accordance with this Section 3.
3.2 Termination for Convenience. The Client may terminate this Agreement for any reason, or no reason, upon providing [Number, e.g., Thirty (30)] calendar days' prior written notice to the Provider. Upon receipt of such notice, the Provider shall immediately cease all work, unless the notice dictates otherwise. The Client shall pay the Provider for all services rendered up to the effective date of termination, plus any non-cancellable commitments incurred by the Provider in reliance on this Agreement prior to notice.
3.3 Termination for Cause (Breach). Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any of its obligations hereunder and fails to cure such material breach within [Number, e.g., Fifteen (15)] calendar days following receipt of written notice detailing the specific nature of the breach.
3.4 Survival of Obligations. Termination or expiration of this Agreement shall not discharge either Party from any liability or obligation that accrued prior to such termination, nor shall it affect the survival of Sections 5 (Confidentiality), 6 (Intellectual Property), 7 (Limitation of Liability), and 9 (Governing Law).
SECTION 4: INDEPENDENT CONTRACTOR STATUS
4.1 Relationship of Parties. The Provider is an independent contractor, and nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the Parties. Neither Party possesses any authority to bind, obligate, or enter into contracts on behalf of the other Party.
4.2 Taxes & Benefits. The Provider shall be exclusively responsible for the reporting and payment of all federal, state, and local income taxes, self-employment taxes, social security contributions, unemployment insurance, and workers' compensation insurance arising out of or relating to the compensation paid under this Agreement.
SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE
5.1 Definition of Confidential Information. "Confidential Information" shall encompass any proprietary, technical, financial, or business information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") in connection with this Agreement, whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
5.2 Obligations of Non-Disclosure. The Receiving Party agrees to:
- (a) Protect and safeguard the Confidential Information using the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable standard of care;
- (b) Not disclose any Confidential Information to any third party, except to its employees, subcontractors, and legal or financial advisors who have a direct need to know such information and who are bound by written confidentiality obligations at least as restrictive as those contained herein; and
- (c) Utilize the Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement.
5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure without an obligation of confidentiality; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party to enable it to seek a protective order.
SECTION 6: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
6.1 Pre-Existing Intellectual Property. Each Party shall retain exclusive ownership of all patents, copyrights, trademarks, trade secrets, and proprietary methodologies owned or developed by such Party prior to the Effective Date or developed independently of this Agreement ("Pre-Existing IP").
6.2 Work Made for Hire & Deliverables. Upon full payment of all compensation due under Section 2, the final written Proposal deliverables specifically prepared by the Provider for the Client under this Agreement shall be deemed a "work made for hire" under United States copyright law to the extent applicable. To the extent that any deliverable does not qualify as a work made for hire, the Provider hereby irrevocably assigns, transfers, and conveys to the Client all right, title, and interest worldwide in and to such deliverables, excluding any underlying Provider Pre-Existing IP, methodologies, templates, or generalized know-how.
6.3 License to Provider Pre-Existing IP. The Provider hereby grants to the Client a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to utilize any Provider Pre-Existing IP embedded within the final Proposal deliverables solely for the internal operational and grant submission purposes of the Client.
SECTION 7: REPRESENTATIONS & WARRANTIES
7.1 Provider Representations. The Provider represents and warrants that:
- (a) It has the full legal right, power, and authority to enter into this Agreement and perform its obligations hereunder;
- (b) The services performed under this Agreement shall be executed in a professional, workmanlike manner, conforming to generally accepted industry standards for federal grant writing and technical consulting; and
- (c) The deliverables created by the Provider shall not knowingly infringe, misappropriate, or violate any third-party copyright, patent, trademark, trade secret, or other proprietary right.
7.2 Client Representations. The Client represents and warrants that:
- (a) It possesses the full legal authority to enter into this Agreement and apply for the target federal funding opportunity;
- (b) All data, technical specifications, financial figures, and background information provided to the Provider are accurate, complete, and truthful to the best of its knowledge; and
- (c) The submission of the Proposal does not violate any prior contractual commitments, non-disclosure agreements, or statutory restrictions.
SECTION 8: LIMITATION OF LIABILITY & INDEMNIFICATION
8.1 Limitation of Liability. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GRANT AWARDS, ARISING OUT OF OR RELATING TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE PROVIDER'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL EXCEED IN NO EVENT THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO THE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8.2 Client Indemnification for Grant Outcomes. The Client explicitly acknowledges and agrees that the award of federal grants is subject to complex statutory review boards, peer evaluations, Congressional appropriations, and agency discretion beyond the control of the Provider. The Provider makes no guarantee, representation, or warranty that the Proposal will be funded, selected, or awarded by the target federal agency. The Client agrees to defend, indemnify, and hold harmless the Provider, its officers, directors, employees, and agents from and against any claims, liabilities, losses, damages, or costs (including reasonable attorneys' fees) arising out of or relating to the federal agency's rejection of the Proposal, the Client's post-submission operations, or any breach of the Client's representations under Section 7.2.
8.3 Provider Indemnification. The Provider agrees to defend, indemnify, and hold harmless the Client from and against any third-party claims, liabilities, and reasonable costs arising directly from the Provider's gross negligence, willful misconduct, or proven infringement of third-party intellectual property rights by the final deliverables.
SECTION 9: DISPUTE RESOLUTION & ARBITRATION
9.1 Negotiation & Mediation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the Parties shall first attempt in good faith to resolve the matter through senior management negotiations within thirty (30) days of written notice. If the dispute remains unresolved, the Parties shall submit the matter to non-binding mediation administered by the [American Arbitration Association (AAA) / Judicial Arbitration and Mediation Services (JAMS)] prior to initiating formal legal proceedings.
9.2 Binding Arbitration. If mediation fails to resolve the dispute within sixty (60) days of commencement, the dispute shall be finally settled by binding arbitration administered by the [AAA / JAMS] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State]. The arbitrator's award shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction.
SECTION 10: GOVERNING LAW & JURISDICTION
10.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles, and applicable federal laws of the United States.
10.2 Jurisdiction. Subject to Section 9, each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located within [County, State] for any legal action, suit, or proceeding arising out of or relating to this Agreement.
SECTION 11: MISCELLANEOUS PROVISIONS
11.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
11.2 Counterparts & Electronic Signatures. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Signatures transmitted via facsimile, PDF, or electronic signature platforms (such as DocuSign or Adobe Sign) shall be deemed original signatures with full legal force and binding effect.
11.3 Entire Agreement. This Agreement, together with Exhibits A and B attached hereto, constitutes the final, complete, and exclusive statement of the agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, proposals, and agreements, whether written or oral.
11.4 Amendments & Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument executed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right, power, or privilege hereunder shall operate as a waiver thereof.
11.5 Force Majeure. Neither Party shall be held liable or responsible to the other Party nor be deemed to have defaulted under or breached this Agreement for failure or delay in fulfilling or performing any obligation under this Agreement when such failure or delay is caused by acts of God, natural disasters, floods, fire, war, terrorism, labor strikes, global pandemics, utility failures, or other catastrophic events beyond the reasonable control of the affected Party.
