4. DEFAULT, TERMINATION, AND REMEDIES

  1. Classification of Breach and Cure Periods.

    • For Non-Payment of Rent: Pursuant to RPL § 7-c and applicable New York law, Tenant is hereby provided a written demand for rent. Tenant shall have fourteen (14) calendar days from the date of service of this Notice to pay the total arrears in full.
    • For Lease Covenants / Notice to Cure: Tenant is hereby provided a period of thirty (30) business days from the date of service of this Notice to completely cure the specified non-monetary default.
    • For Undesirable Conduct / Nuisance / Holdover: No cure period is required where the tenancy has legally terminated by expiration, or where the conduct constitutes an incurable nuisance or illegal trade pursuant to New York RPAPL, and possession must be surrendered on or before [Surrender Date].
  2. Consequences of Failure to Cure or Surrender. If Tenant fails to cure the specified default within the applicable Cure Period, or fails to peaceably vacate and surrender complete, unencumbered possession of the Premises to Landlord on or before [Surrender Date], the Lease shall be deemed absolutely terminated.

  3. Legal Recourse and Summary Proceedings. Upon expiration of the timeframes set forth herein without full compliance by Tenant, Landlord reserves the absolute right to immediately commence Summary Holdover or Non-Payment Proceedings in the Civil Court of the City of New York, County of [County Name], or the appropriate local Justice/District Court within the State of New York, pursuant to Article 7 of the RPAPL.

  2. Entire Agreement. This Notice, together with the underlying Lease, constitutes the entire understanding between Landlord and Tenant regarding the subject matter herein. No oral statements, waivers, modifications, or representations shall alter, amend, or waive the terms of this Notice unless executed in writing by Landlord.
