SECTION 2: OPERATIONAL DEFINITIONS

For the purposes of this Document, the following terms shall have the meanings ascribed below, and such definitions shall be equally applicable to both the singular and plural forms of the terms herein defined:

  1. "Actionable Default" means any specific failure, omission, or violation by the Tenant of the covenants, conditions, rules, or monetary obligations established within the Lease Agreement or applicable Massachusetts statutory law.
  2. "Cure Period" means the precise, mandatory timeframe established by Massachusetts law and this Document, running consecutively from the date of formal service, during which the Tenant may rectify an Actionable Default, where such cure is legally permitted.
  3. "Damages" means all monetary losses, including but not limited to unpaid rent, utility charges, late fees expressly permitted by law, court costs, filing fees, service of process fees, and reasonable attorney's fees incurred by the Landlord as a direct or indirect consequence of the Tenant’s breach or holdover status.
  4. "Holding Over" means the unlawful retention of possession, occupancy, or control of the Premises by the Tenant or any sublessee, licensee, or occupant claiming under the Tenant after the lawful termination of the Lease Agreement or the expiration of the notice period provided herein.
  5. "Landlord" means the fee simple owner, master lessor, or authorized property management agent possessing the legal standing and authority to execute this Document and demand possession of the Premises.
  6. "Lease Agreement" means the binding contract, whether written or verbal, creating the tenancy relationship between the Landlord and the Tenant for the Premises.
  7. "Premises" means the specific real property, including any appurtenances, parking spaces, storage units, or designated grounds, located at [Street Address, Unit Number, City, MA, Zip].
  8. "Rent" means the monthly or periodic financial consideration of [Dollar Amount] payable by the Tenant to the Landlord in exchange for the use and occupancy of the Premises pursuant to the Lease Agreement.

  10. "Vacate and Surrender" means the complete removal of all personal property, debris, and human occupants from the Premises, accompanied by the physical delivery of all operational keys, access cards, and security codes to the Landlord or the Landlord's designated legal representative, leaving the Premises in broom-clean condition, subject to ordinary wear and tear.

SECTION 3: SUBSTANTIVE TERMS & OBLIGATIONS

  1. Notice of Termination. The Landlord hereby exercises its legal right to terminate the tenancy of the Tenant concerning the Premises. The tenancy shall definitively terminate upon [Expiration Date, e.g., Thirty (30) days from receipt or as statutorily required], at which point all rights of the Tenant to occupy the Premises shall cease.
  2. Statement of Default / Grounds for Eviction. (Select and complete the applicable subsection)
    • (a) Non-Payment of Rent: The Tenant has failed to tender the monthly Rent in the total amount of [Dollar Amount] for the rental period(s) of [List unpaid months/dates]. The total outstanding monetary arrearage as of the date of this notice is [Total Arrearage Amount].

  3. Duty to Vacate and Surrender. The Tenant is under a strict, non-negotiable legal obligation to completely Vacate and Surrender the Premises to the Landlord no later than 11:59 PM on the final day of the applicable notice period.
  4. Condition of Premises upon Surrender. Upon surrender, the Tenant warrants and represents that the Premises shall be free of all personal property, waste, and unauthorized occupants, and shall be returned in substantially the same clean, undamaged condition as existed on the commencement date of the Lease Agreement, normal wear and tear excepted.
  5. Reservation of Rights. The acceptance by the Landlord of any partial payment of Rent, late fees, or utility charges subsequent to the issuance or service of this Document shall not constitute a waiver of this notice, nor shall it reinstate, revive, or extend the Lease Agreement, unless explicitly agreed to in a separate, signed writing by the Landlord.

SECTION 4: DEFAULT, TERMINATION, AND REMEDIES

  1. Classification of Default. Failure by the Tenant to fully cure any monetary default within the statutory cure period (where permitted by M.G.L. c. 186, § 11 or other applicable statutes) or failure to Vacate and Surrender the Premises upon the expiration of this notice shall constitute an immediate, material, and willful default of the Tenant's legal obligations.
  2. Notice Cure Periods.
    • For non-payment of rent in a written lease, the Tenant is provided the statutory right to cure within fourteen (14) days of receipt pursuant to M.G.L. c. 186, § 11 (if applicable and unexpired).
    • For tenancies-at-will or lease expirations, the notice period shall run for [30 days / number of days equal to the interval between rent-paying days] in strict compliance with M.G.L. c. 186, § 12.
  3. Legal Recourse and Summary Process Action. In the event the Tenant fails to Vacate and Surrender the Premises on or before the expiration of the designated notice period, the Landlord shall immediately pursue all available legal remedies without further notice, including the filing of a Summary Process Summons and Complaint (Eviction Action) in the appropriate Massachusetts District Court or Housing Court division pursuant to M.G.L. c. 239.
  4. Recovery of Damages and Costs. Should the Landlord initiate judicial proceedings to regain possession of the Premises, the Landlord shall seek and is legally entitled to recover:
    • Full possession of the Premises;
    • All accrued and unpaid Rent and Use and Occupancy charges up to the date of actual physical vacating;
    • Double damages for any period the Tenant unlawfully holds over after notice, pursuant to M.G.L. c. 186, § 3;
    • All court costs, entry fees, and sheriff/constable service fees; and
    • Reasonable attorney's fees, to the extent permitted by the Lease Agreement and applicable Massachusetts law.

SECTION 5: BOILERPLATE LEGAL PROVISIONS

  1. Severability. If any provision, clause, or section of this Document is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remainder of this Document, which shall remain in full force and effect, and the offending provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.
  2. Entire Agreement. This Document constitutes the entire understanding and legal expression between the Landlord and Tenant regarding the termination of the tenancy and supersedes all prior oral or written negotiations, representations, or understandings, except for the underlying enforceable terms of the Lease Agreement.
  3. Force Majeure. Neither party shall be held liable for any failure to perform its obligations under this Document if such failure is caused by acts of God, war, civil unrest, declared public health emergencies, governmental restrictions, or other catastrophic events beyond the reasonable control of the affected party, excluding financial inability to pay rent.
  4. Governing Law and Venue. This Document, and all legal relationships, rights, and remedies arising out of or connected herewith, shall be governed, construed, and enforced exclusively in accordance with the substantive and procedural laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. 5. Binding Effect. This Document shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, legal representatives, successors, and permitted assigns.
  6. Non-Waiver. The failure of the Landlord to insist upon strict performance of any term, covenant, or condition in this Document shall not be construed as a waiver or relinquishment of any such term, covenant, or condition, but the same shall continue in full force and effect.
