This Eviction Notice and Termination Agreement (the "Agreement") is entered into as of this [Day] day of [Month], [Year] (the "Effective Date"), by and between [Landlord/Entity Name], a [State/Jurisdiction] [Entity Type, e.g., Limited Liability Company] having its principal place of business at [Address] ("Landlord"), and [Tenant/Entity Name], a [State/Jurisdiction] [Entity Type] having its principal place of business at [Address] ("Tenant"). Landlord and Tenant are collectively referred to as the "Parties."

1. PREAMBLE AND RECITALS

WHEREAS, Landlord and Tenant are parties to that certain Lease Agreement dated [Original Lease Date] (the "Lease") regarding the premises located at [Property Address] (the "Premises");

WHEREAS, Tenant is currently in default of the Lease due to [Specific Breach, e.g., Non-payment of Rent / Unauthorized Use];

WHEREAS, Landlord desires to terminate the Lease and recover possession of the Premises in accordance with the laws of [Jurisdiction];

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

2. OPERATIONAL DEFINITIONS

  1. "Default" means the failure of the Tenant to perform any obligation set forth in the Lease or this Agreement, including but not limited to the timely payment of [Dollar Amount] in outstanding rent.
  2. "Cure Period" means a period of thirty (30) business days commencing on the date of receipt of this notice, during which the Tenant may rectify the Default to avoid formal eviction proceedings.
  3. "Premises" means the real property defined in the Lease, including all fixtures, improvements, and appurtenances thereto.
  4. "Eviction" means the legal process of removing the Tenant from the Premises and restoring exclusive possession to the Landlord.
  5. "Liquidated Damages" means the pre-determined amount of [Dollar Amount] agreed upon by the Parties to compensate the Landlord for administrative costs and losses incurred due to the breach.

3. SUBSTANTIVE TERMS AND OBLIGATIONS

  1. Notice of Breach. Tenant is hereby notified that it is in material breach of the Lease. Landlord reserves all rights to initiate summary possession proceedings should the breach remain uncured after the Cure Period.
  2. Performance Metrics. Tenant shall, within the Cure Period, either (i) remit all past-due payments in the amount of [Dollar Amount], or (ii) vacate the Premises and surrender keys to the Landlord.
  3. Surrender of Possession. Upon expiration of the Cure Period, should the Default persist, Tenant shall peaceably surrender the Premises in "broom-clean" condition, normal wear and tear excepted.
  4. Representations. Tenant represents and warrants that it has the legal authority to enter into this Agreement and that no bankruptcy or insolvency proceedings are currently pending against Tenant.

4. DEFAULT, TERMINATION, AND REMEDIES

  1. Classification of Breach. Failure to perform any obligation under Section 3 of this Agreement constitutes a "Material Breach," permitting the Landlord to immediately seek a writ of possession from a court of competent jurisdiction.
  2. Cure Period. Landlord grants Tenant thirty (30) business days from the Effective Date to perform all outstanding obligations. No extension shall be granted without the express written consent of the Landlord.
  3. Legal Recourse. In the event of non-compliance, Landlord is entitled to (i) recover all outstanding rent and fees, (ii) seek legal fees and court costs, and (iii) execute the eviction through the local sheriff or relevant law enforcement authority.

5. BOILERPLATE LEGAL PROVISIONS

  1. Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
  2. Entire Agreement. This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements, written or oral.
  3. Force Majeure. Neither party shall be liable for failure to perform due to causes beyond their reasonable control, including acts of God, war, or government mandate, provided that such failure is documented within five (5) business days.
  4. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
  5. Dispute Resolution. Any disputes arising out of this Agreement shall be submitted to binding arbitration in [City, State] under the rules of the [Arbitration Association]. The prevailing party shall be entitled to reasonable attorney’s fees.
