WHEREAS, Tenant has breached the terms and conditions of the Lease and/or violated applicable provisions of Minnesota Statutes, specifically including Chapter 504B, by failing to pay rent when due, committing material lease violations, and/or holding over beyond the lawful termination of the tenancy; and

WHEREAS, Landlord intends by this instrument to formally demand compliance, cure, or surrender and delivery of possession of the Premises to the Landlord in strict accordance with the laws of the State of Minnesota;

NOW, THEREFORE, Landlord hereby provides formal legal notice and demands action as set forth herein.

SECTION 2: OPERATIONAL DEFINITIONS

For purposes of this Notice, the following terms shall have the meanings ascribed below, and such definitions shall apply to both singular and plural forms of the terms defined:

  2. "Cure Period" means the precise timeframe granted to Tenant under Minnesota law and this Notice to rectify a default prior to the commencement of formal legal proceedings.
  3. "Default" means the failure of Tenant to perform, observe, or comply with any covenant, agreement, term, provision, or condition of the Lease or statutory obligation under Minnesota Statutes Chapter 504B.
  4. "Holdover" means the unauthorized retention of possession of the Premises by Tenant after the expiration, cancellation, or termination of the Lease term.
  5. "Landlord" means the property owner, designated property manager, lessor, or authorized legal representative entitled to possession of the Premises.
  6. "Lease" means the underlying rental agreement, whether written or oral, governing the occupancy of the Premises by Tenant.
  7. "Notice" means this formal legal instrument, served in compliance with Minnesota statutory service requirements.

  9. "Rent" means the monthly financial consideration, inclusive of base rent, utility charges, and other mandatory fees, required to be paid by Tenant to Landlord pursuant to the Lease.
  10. "Tenant" means the lessee, sublessee, occupant, or any person legally obligated under the Lease or in actual physical possession of the Premises.

SECTION 3: SUBSTANTIVE TERMS & OBLIGATIONS

  1. Demand for Possession. Landlord hereby demands that Tenant peaceably vacate and surrender possession of the Premises to Landlord, removing all personal property and occupants, no later than [Exact Time, e.g., 11:59 PM] on [Termination Date] (the "Vacate Date").
  2. Nature of Default. This Notice is issued due to the following specific default(s) committed by Tenant:
    • Nonpayment of Rent: Tenant has failed to pay Rent in the total amount of [Dollar Amount] for the rental period(s) of [Applicable Months/Dates].
    • Material Lease Violation: Tenant has violated Section [Lease Section Number] of the Lease by engaging in [Description of Lease Violation, e.g., unauthorized pets, subletting, property damage].
    • Unlawful Activity/Nuisance: Tenant has engaged in behavior constituting a nuisance, illegal activity, or substantial endangerment of the health and safety of other residents or property, pursuant to Minn. Stat. § 504B.171.
  3. Financial Accounting of Arrearages. To cure the monetary default (if applicable), Tenant must remit the total outstanding sum of [Dollar Amount] in certified funds (cashier's check or electronic transfer) to Landlord at [Payment Remittance Address/Portal] prior to the expiration of the Cure Period.
  4. Representations and Warranties of Landlord. Landlord represents that it holds lawful title and/or the legal right to lease and recover possession of the Premises, and that this Notice is issued in strict compliance with all applicable municipal, county, and state statutes of the State of Minnesota.
  5. Tenant Performance Metrics. Tenant’s obligations under this Notice are strict; performance must be complete, timely, and tendered directly to Landlord. Acceptance of partial payments by Landlord shall not constitute a waiver of this Notice or a reinstatement of the Lease unless expressly agreed to in a separate writing signed by Landlord.

SECTION 4: DEFAULT, TERMINATION, AND REMEDIES

  1. Classification of Breach. Tenant’s failure to cure monetary defaults or cease lease violations constitutes a material, non-curable or un-cured breach of the Lease and statutory covenants.
  2. Notice Cure Periods.
    • For nonpayment of rent or material lease violations, Tenant is hereby provided a Cure Period of 30 business days (or such shorter/longer period as strictly mandated by Minn. Stat. § 504B.135 or specific lease terms) from the date of completed legal service of this Notice to rectify the default.
    • For violations involving illegal drugs, controlled substances, or imminent threats to safety under Minn. Stat. § 504B.171, Landlord reserves all rights to accelerate termination and pursue immediate judicial intervention without the standard cure window, as permitted by law.
  3. Legal Recourse and Eviction Action (Unlawful Detainer). If Tenant fails to fully cure the default or surrender possession of the Premises by the designated Vacate Date, Landlord shall immediately pursue all available legal remedies under Minnesota law. This includes filing an Eviction Action (Forcible Entry and Unlawful Detainer) in the District Court of [County Name] County, State of Minnesota.
  4. Recovery of Damages and Costs. In the event legal action is initiated, Landlord shall seek and is entitled to recover:
    • Restitution and repossession of the Premises;
    • All past-due Rent and accrued financial damages;
    • Holdover damages calculated at the statutory or lease rate per diem;
    • Reasonable attorney’s fees, court costs, and disbursements, to the extent authorized by the Lease and Minnesota Statutes.

SECTION 5: BOILERPLATE LEGAL PROVISIONS

  1. Severability. If any provision of this Notice is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions of this Notice shall remain in full force and effect.
  2. Entire Agreement. This Notice constitutes the entire expression of Landlord's demand for possession and supersedes all prior oral or written negotiations, representations, or understandings between the parties regarding the subject matter hereof.
  3. Force Majeure. Neither party shall be held liable for any failure or delay in performance under this Notice if such failure arises out of acts of God, war, terrorism, civil unrest, natural disasters, or other catastrophic events beyond the reasonable control of the affected party, excluding financial inability to pay rent.
  4. Governing Law and Venue. This Notice, and all legal proceedings arising out of or related hereto, shall be governed by, construed, and enforced in accordance with the substantive and procedural laws of the State of Minnesota, without regard to its conflict of laws principles. Exclusive venue for any judicial proceeding shall lie in the District Court of [County Name] County, Minnesota.
