NOW, THEREFORE, in consideration of the mutual covenants contained herein, public safety imperatives, and legal obligations, the Parties agree and are strictly bound as follows:

2. Operational Definitions

For the purposes of this Agreement, the following terms shall have the meanings ascribed below, and such definitions shall be applicable to both singular and plural forms of the defined terms:

  1. "Cure Period" means the exact duration of [Number, e.g., 30] business days commencing immediately upon the date of formal service of this Notice, during which the Occupant may rectify specific curable defaults solely where permitted by applicable law and this Agreement.
  2. "Default" means the failure of the Occupant to perform, observe, or comply with any covenant, obligation, term, or condition set forth in this Notice or the Underlying Agreement.
  3. "Effective Date of Evacuation" means precisely [Date and Time], by which time all human occupancy, personal property, and operations must be fully removed from the Premises.
  4. "Force Majeure Event" means any act of God, war, terrorism, civil unrest, natural disaster, catastrophic structural failure, utility blackout, or governmental decree that is unforeseeable, beyond the reasonable control of the Issuing Authority, and renders performance impossible.
  5. "Issuing Authority" means [Landlord/Property Manager/Entity Name] and its authorized legal representatives, agents, officers, and assigns.
  6. "Occupant" means [Tenant/Occupant/Licensee Name], together with all subtenants, invitees, agents, employees, and domestic or commercial animals under their control.
  7. "Premises" means the real property, building, suite, or land legally described as [Detailed Legal Description or Street Address].
  8. "Underlying Agreement" means the primary lease, rental agreement, license, or contractual instrument governing the initial transfer of possession of the Premises to the Occupant.

3. Substantive Terms & Obligations

  1. Mandatory Vacation of Premises: The Occupant is hereby ordered and legally obligated to completely vacate and surrender possession of the Premises to the Issuing Authority no later than [Effective Date of Evacuation]. Surrender requires the complete removal of all persons, personal property, fixtures, and trade chattels.
  2. Prohibition of Re-Entry: Upon the Effective Date of Evacuation, the Occupant, its agents, and invitees are strictly prohibited from entering, accessing, or remaining upon the Premises. Any unauthorized entry subsequent to the Effective Date of Evacuation shall constitute criminal trespass and a direct breach of this Agreement.
  3. Condition of Surrender: The Occupant shall surrender the Premises in a broom-clean condition, free of hazardous materials introduced by the Occupant, and structurally unaltered from its condition on the Effective Date of the Underlying Agreement, ordinary wear and tear excepted.
  4. Return of Access Devices: No later than the Effective Date of Evacuation, the Occupant shall return all physical keys, electronic access cards, security codes, parking passes, and gate clickers pertaining to the Premises to the Issuing Authority's designated agent at [Return Address/Location].
  5. Representations and Warranties: The Occupant expressly represents and warrants that:
    • (a) It possesses the legal capacity to execute this compliance order and bind all occupants residing within the Premises;
    • (b) No liens, encumbrances, or third-party security interests attach to any property remaining on the Premises past the evacuation deadline; and
    • (c) It shall hold harmless and indemnify the Issuing Authority from any claims asserted by sub-occupants or third parties deriving their claim of possession through the Occupant.
  6. Property Abandonment: Any personal property remaining on the Premises after the Effective Date of Evacuation shall be conclusively deemed abandoned by the Occupant. The Issuing Authority reserves the right to dispose of, store, or liquidate such property in accordance with the laws of [Jurisdiction], with all associated costs assessed directly to the Occupant.

4. Default, Termination, and Remedies

  1. Classification of Breach: Failure by the Occupant to fully comply with each and every mandate set forth in this Notice—including, without limitation, the failure to vacate by the Effective Date of Evacuation—shall constitute an immediate, material, and incurable Default of both this Notice and the Underlying Agreement.
  2. Notice Cure Periods: Where the underlying basis of this Notice permits a statutory cure under the laws of [Jurisdiction], the Occupant shall be afforded a strict Cure Period of 30 business days from the date of service to rectify said default. Notwithstanding the foregoing, where this Notice is issued pursuant to an immediate life-safety hazard, structural emergency, or un-curable material breach, no Cure Period shall apply, and immediate legal enforcement shall proceed.
  3. Legal Recourse and Judicial Remedies: In the event of a Default by the Occupant, the Issuing Authority reserves all cumulative legal and equitable remedies, including but not limited to:
    • (a) Immediate filing of an Unlawful Detainer or Summary Eviction action in a court of competent jurisdiction within [Jurisdiction];
    • (b) Immediate physical lockout and repossession of the Premises via lawful judicial process or law enforcement assistance;
    • (c) Recovery of statutory damages, holdover penalties assessed at the rate of [Dollar Amount] per diem, and actual damages incurred; and
    • (d) Recovery of all reasonable legal fees, court costs, and investigative expenses incurred by the Issuing Authority in enforcing the terms of this Notice.

5. Boilerplate Legal Provisions

  1. Severability: If any provision, clause, or section of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions of this Agreement shall remain in full force and effect and shall not be affected thereby.
  2. Entire Agreement: This Notice and the Underlying Agreement constitute the entire understanding between the Issuing Authority and the Occupant regarding the subject matter hereof. This Agreement supersedes all prior oral or written negotiations, representations, understandings, or agreements between the Parties.
  3. Force Majeure: Neither Party shall be held liable for any failure or delay in the performance of its non-monetary obligations under this Agreement if such failure arises out of a Force Majeure Event, provided that the affected Party gives prompt written notice to the other Party and uses commercially reasonable efforts to mitigate the effects of such event.
  4. Governing Law: This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State/Jurisdiction of [Jurisdiction], without regard to its conflict of laws principles.
