4.1 Work Made for Hire: To the maximum extent permitted by applicable law, all deliverables, documents, software, reports, data, and creative works authored, created, or developed by the Company specifically for the Client pursuant to this Agreement (the "Work Product") shall be deemed a "work made for hire" under the United States Copyright Act. 4.2 Assignment: To the extent that any Work Product does not qualify as a work made for hire, the Company hereby irrevocably assigns, transfers, and conveys to the Client all right, title, and interest worldwide in and to such Work Product, including all associated intellectual property rights, copyrights, patents, and trade secrets. 4.3 Company Pre-Existing IP: The Company retains all right, title, and interest in and to its pre-existing intellectual property, methodologies, tools, software, and proprietary frameworks used in the performance of the Services ("Background IP"). The Company grants the Client a perpetual, non-exclusive, royalty-free, worldwide license to use such Backgroundip solely as embedded in or necessary for the utilization of the Work Product.

5. Mutual Confidentiality & Non-Disclosure

5.1 Definition: "Confidential Information" means any proprietary, non-public information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, financial data, customer lists, and technical specifications. 5.2 Obligations: The Receiving Party shall: (a) protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but no less than a reasonable degree of care; (b) not disclose such Confidential Information to any third party, except to its employees, legal counsel, and financial advisors who have a need to know and are bound by confidentiality obligations at least as restrictive as those herein; and (c) use such Confidential Information solely for the purpose of performing its obligations under this Agreement. 5.3 Exclusions: Confidential Information does not include information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party.

6. Representations & Warranties

6.1 Authority: Each Party represents and warrants that: (a) it has the full legal power, capacity, and authority to enter into this Agreement and perform its obligations hereunder; (b) the execution and delivery of this Agreement have been duly authorized by all necessary corporate or organizational action; and (c) this Agreement constitutes a legal, valid, and binding obligation enforceable against it in accordance with its terms. 6.2 Legal Status of Promissory Notes (Advisory Integration): The Company expressly warrants that it has structured this framework in alignment with commercial standards. The Parties acknowledge that under the laws of most U.S. jurisdictions, a promissory note does not legally require notarization to be fully valid and enforceable between the original maker and payee. Notarization serves merely as an evidentiary formality that simplifies proof of execution and identity if litigation ensues, but basic enforceability is established by a valid signature, an unconditional promise to pay a sum certain, payment terms, and delivery.

7. Limitation of Liability & Indemnification

7.1 Limitation of Liability: To the maximum extent permitted by applicable law, neither Party shall be liable to the other for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, or business opportunity, arising out of or in connection with this Agreement, regardless of the theory of liability. The total aggregate liability of either Party under this Agreement shall be strictly limited to the total fees actually paid by the Client to the Company under this Agreement during the twelve (12) month period immediately preceding the event giving rise to liability. 7.2 Indemnification: Each Party (the "Indemnifying Party") agrees to defend, indemnify, and hold harmless the other Party, its officers, directors, employees, and agents (the "Indemnified Party") from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising out of or resulting from the Indemnifying Party's material breach of this Agreement, gross negligence, willful misconduct, or violation of applicable law.

8. Dispute Resolution & Arbitration

8.1 Negotiation: In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the Parties shall first attempt in good faith to resolve the matter through senior management negotiations for a period of thirty (30) calendar days. 8.2 Binding Arbitration: If the dispute is not resolved through negotiation, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in [Governing State], and judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction. 8.3 Injunctive Relief: Notwithstanding the foregoing, either Party may seek temporary injunctive relief or other equitable remedies from a court of competent jurisdiction to protect its intellectual property rights or confidential information without waiving its right to arbitration.

9. Governing Law & Jurisdiction

9.1 Choice of Law: This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [Governing State], without regard to its conflict of laws principles. 9.2 Jurisdiction: Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located within [County, Governing State], for any legal action or proceeding arising out of this Agreement.

10. Miscellaneous

10.1 Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect. 10.2 Counterparts: This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic mail (PDF) or digital signature platform shall be deemed effective as manual delivery. 10.3 Entire Agreement: This Agreement, including any attached exhibits and referenced schedules, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous understandings, negotiations, representations, and agreements, whether oral or written.

SECTION 5: STEP-BY-STEP EXECUTION & FILING GUIDE

Step 1: Document Preparation & Review

  • Open this template in Microsoft Word, Google Docs, or an equivalent word-processing environment.
  • Perform a global search and replace (or manual review) of all bracketed placeholder text enclosed in square brackets (e.g., [Company Full Legal Name], [Amount in USD], [Governing State]). Ensure every bracketed field is replaced with accurate, verified factual data.

Step 2: Verification of Signatory Authority

  • Prior to execution, verify that the individuals signing on behalf of the corporate entities possess actual or apparent authority to bind their respective organizations pursuant to corporate bylaws, operating agreements, or board resolutions.

Step 3: Execution via Digital Signature or Wet Ink

  • Digital Execution (Recommended): Upload the finalized document into an enterprise-grade digital signature platform such as DocuSign, Adobe Sign, or HelloSign. Route the document to the designated signatories for secure execution with multi-factor authentication.
  • Wet-Ink Execution: Print two identical paper copies of the finalized document. Have authorized signatories execute both copies in blue or black ink.

Step 4: Notarization Assessment (Specific to Promissory Notes)

  • As established in Section 6.2, notarization is legally optional for basic promissory note enforceability between maker and payee. However, if the note is to be recorded in public property records (e.g., if secured by real estate deed of trust/mortgage) or if the payee desires self-authenticating status under evidentiary rules, have the Maker’s signature acknowledged before a licensed Notary Public using standard statutory jurat or acknowledgment phrasing.

Step 5: Record Retention & Archival

  • Store the fully executed PDF containing all signatures and exhibits within the organization's secure, encrypted cloud-based contract repository or Document Management System (DMS).
  • Set automated calendar reminders for key milestone dates, payment due dates, and expiration intervals.
