WHEREAS, the Carrier is engaged in the business of international and domestic freight forwarding, multimodal transportation, logistics management, and supply chain solutions; and

WHEREAS, the Shipper desires to retain the Carrier to provide transportation, warehousing, customs brokerage, and associated logistics services for goods and merchandise tendered by the Shipper, and the Carrier agrees to provide such services under the terms and conditions set forth herein and in the applicable operational Bill of Lading documentation.

NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Scope of Services & Engagement

1.1 Appointment and Acceptance. The Shipper hereby retains the Carrier, and the Carrier hereby accepts engagement, to provide freight forwarding, transportation, handling, storage, and auxiliary logistics services (collectively, the "Services") for the cargo, goods, and merchandise (the "Goods") described in the operational shipping documents, waybills, and individual Bills of Lading issued pursuant to this Agreement. 1.2 Standard of Performance. The Carrier shall perform the Services in a professional, workmanlike manner in accordance with high industry standards, applicable domestic and international laws, and any specific service level agreements (SLAs) mutually executed by the parties in writing. 1.3 Subcontracting. The Carrier reserves the right to employ subcontractors, independent carriers, stevedores, warehouse operators, and agents (collectively, "Subcontractors") to perform all or any part of the Services. All limitations of liability, defenses, and immunities granted to the Carrier under this Agreement shall extend to and protect all such Subcontractors, their servants, agents, and independent contractors. 1.4 Routing and Methods of Transportation. The Carrier reserves complete freedom of choice regarding the means, routes, and procedures to be followed in the handling, stowage, transportation, and delivery of the Goods, including multimodal transport via air, ocean, rail, and motor carrier.

Section 2. Compensation & Payment Terms

2.1 Rates and Charges. The Shipper shall pay the Carrier for the Services in accordance with the rates, tariffs, and charges set forth in the applicable rate quotation, schedule, or invoice issued by the Carrier. All rates are quoted in United States Dollars ([Amount in USD]) unless expressly designated otherwise. 2.2 Invoicing and Payment Window. The Carrier shall issue invoices to the Shipper upon the tender of Goods, completion of transit milestones, or on a recurring periodic basis as agreed. Unless otherwise specified, all undisputed invoices are due and payable in full within thirty (30) days of the invoice date (Net 30). 2.3 Late Payment Interest. Any invoice amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily from the due date until the date of actual payment in full. 2.4 Disputed Invoices. If the Shipper disputes any portion of an invoice in good faith, the Shipper shall provide written notice to the Carrier within ten (10) business days of receipt, detailing the specific basis for the dispute, and shall pay any undisputed portion when due. Failure to provide timely notice shall constitute a waiver of any right to dispute the invoice. 2.5 Carrier’s Lien. The Carrier shall have a continuous, general, and specific lien upon all Goods, documents relating to Goods, and monies in its possession, custody, or control for all charges, freight, storage, demurrage, advances, and expenses past due from the Shipper, including historical debts under prior agreements. The Carrier may enforce this lien in accordance with applicable commercial law upon providing written notice to the Shipper.

Section 3. Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue for a period of one (1) year, automatically renewing for successive one-year terms unless either party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term. 3.2 Termination for Convenience. Either party may terminate this Agreement, in whole or in part, for any reason or no reason, by providing not less than ninety (90) days prior written notice to the other party. 3.3 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if: (a) the other party materially breaches any provision of this Agreement and fails to cure such material breach within thirty (30) days of receipt of written notice detailing the breach; (b) the other party files a petition for bankruptcy, is adjudicated bankrupt, makes an assignment for the benefit of creditors, or becomes subject to any insolvency or receivership proceeding; or (c) ceases or threatens to cease operations. 3.4 Post-Termination Obligations. Termination of this Agreement shall not discharge either party from any liability or obligation accrued prior to the effective date of termination, including the Shipper's obligation to pay for Services rendered and expenses incurred up to the date of termination.

Section 4. Intellectual Property Ownership & Work Made for Hire

4.1 Pre-Existing IP. Each party retains sole and exclusive ownership of all intellectual property rights owned or controlled by it prior to the Effective Date or developed independently of this Agreement. 4.2 Logistics Technology & Documentation. All software, tracking systems, proprietary algorithms, database structures, documentation, operational methodologies, and branding provided by the Carrier in connection with the Services (collectively, "Carrier IP") remain the exclusive property of the Carrier. The Shipper is granted a limited, non-exclusive, non-transferable, revocable license to use Carrier IP solely for the purpose of tracking and managing shipments during the term of this Agreement. 4.3 Work Product. Any custom reports, analytics dashboards, or operational frameworks specifically commissioned and paid for by the Shipper as a deliverable shall be governed by a separate written statement of work; absent such writing, all operational data and know-how remain the property of the Carrier, subject to confidentiality obligations.

Section 5. Mutual Confidentiality & Non-Disclosure

5.1 Definition of Confidential Information. "Confidential Information" means all non-public information, data, trade secrets, pricing schedules, operational methods, customer lists, financial data, and proprietary systems disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party"), whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. 5.2 Obligations of Confidentiality. The Receiving Party shall hold the Disclosing Party's Confidential Information in strict confidence, shall use the same degree of care it uses to protect its own confidential information (but not less than reasonable care), and shall not disclose such Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and Subcontractors who have a need to know and are bound by confidentiality obligations at least as restrictive as those contained herein. 5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally known to the public through no breach of the Receiving Party; (b) was already known to the Receiving Party prior to disclosure without confidentiality restrictions; (c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party to enable it to seek a protective order.

Section 6. Representations & Warranties

6.1 Mutual Representations. Each party represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization; (b) it has full power and authority to execute, deliver, and perform its obligations under this Agreement; (c) the execution and performance of this Agreement do not violate any law, regulation, or agreement to which it is a party; and (d) this Agreement constitutes a legal, valid, and binding obligation enforceable against it in accordance with its terms. 6.2 Shipper Warranties. Section 7. Limitation of Liability & Indemnification

7.1 Limitation of Carrier Liability.

  • (a) Default Liability Cap: Unless a higher value is declared by the Shipper in writing prior to shipment and an ad valorem freight rate surcharge is paid, the Carrier’s liability for any loss, damage, misdelivery, delay, or non-delivery of Goods shall be strictly limited to the lesser of actual documented loss, the cost of replacement, or standard statutory limitations (e.g., SDR 2.0 per kilogram of gross weight damaged or lost, or USD $500 per customary freight unit under COGSA, as applicable to the mode of transport).
  • (b) Consequential Damages Waiver: Under no circumstances shall either party be liable to the other for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of business revenue, production downtime, or loss of market opportunity, even if advised of the possibility of such damages. 7.2 Shipper Indemnification. The Shipper shall defend, indemnify, and hold harmless the Carrier, its affiliates, directors, officers, employees, agents, and Subcontractors from and against any and all claims, liabilities, losses, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) any breach of the Shipper’s representations, warranties, or obligations under this Agreement; (b) the nature, condition, improper packaging, or illegal character of the Goods; (c) the failure of the Shipper to comply with applicable customs, import, export, or hazardous materials regulations; or (d) any willful misconduct or negligence of the Shipper or its agents. 7.3 Carrier Indemnification. The Carrier shall defend, indemnify, and hold harmless the Shipper from and against direct third-party claims, liabilities, and reasonable expenses for bodily injury, death, or tangible property damage to the extent caused by the gross negligence or willful misconduct of the Carrier in the physical performance of the Services.

Section 8. Dispute Resolution & Arbitration

8.1 Negotiation and Escalation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, performance, breach, or termination (a "Dispute"), the designated senior executives of both parties shall first attempt in good faith to resolve the Dispute through informal negotiation for a period of thirty (30) days from the date of written notice by either party. 8.2 Binding Arbitration. If the Dispute is not resolved through negotiation within thirty (30) days, the Dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [Governing Jurisdiction, e.g., New York, NY]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with AAA rules. 8.3 Award and Enforcement. The arbitral award shall be final, binding, and unappealable (except as provided under the Federal Arbitration Act). Judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction. Each party shall bear its own legal fees and expenses, provided that the arbitrator may award costs and attorneys' fees to the prevailing party if deemed equitable.

Section 9. Governing Law & Jurisdiction

9.1 Governing Law. This Agreement, the interpretation of its terms, and all claims or controversies arising out of or relating to it shall be governed by, construed, and enforced in accordance with the laws of [Governing Jurisdiction, e.g., the State of New York], without regard to its conflict of laws principles, and, where applicable, federal maritime or transportation law of the United States. 9.2 Jurisdiction and Venue. Subject to Section 8, each party irrevocably submits to the exclusive personal jurisdiction and venue of the state and federal courts located within [Governing Jurisdiction, e.g., New York County, New York] for any legal action or proceeding relating to this Agreement or enforcement of an arbitral award.

Section 10. Miscellaneous

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect. 10.2 Counterparts. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Execution and delivery via electronic signature (such as DocuSign or Adobe Sign) or PDF transmission shall have the same legal force and effect as manual delivery of an original signature document. 10.3 Entire Agreement. This Agreement, together with any operational schedules, tariffs, and individual Bills of Lading issued hereunder, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, negotiations, representations, and understandings.
