[Company Name], a [Corporation / Limited Liability Company] organized and existing under the laws of the State/Country of [Jurisdiction], having its principal place of business at [Company Address] (hereinafter referred to as the "Company"),

and

[Vendor/Counterparty Name], a [Corporation / Limited Liability Company] organized and existing under the laws of the State/Country of [Jurisdiction], having its principal place of business at [Vendor Address] (hereinafter referred to as the "Vendor").

The Company and the Vendor may collectively be referred to as the "Parties" or individually as a "Party."

RECITALS

WHEREAS, the Company possesses, collects, generates, and processes certain Confidential Information and Personal Data that requires rigorous administrative, physical, and technical safeguards to ensure absolute confidentiality, integrity, and availability;

WHEREAS, the Vendor provides certain goods and/or services to the Company pursuant to an underlying master services agreement, statement of work, or commercial arrangement (the "Primary Agreement"), which necessitates the Vendor's access to, or processing of, Company Data; and

WHEREAS, the Parties intend by this Agreement to establish binding legal obligations, minimum security thresholds, incident notification protocols, and regulatory compliance standards to protect Company Data against unauthorized access, destruction, modification, or disclosure.

NOW, THEREFORE, in consideration of the mutual covenants, promises, and legal consideration set forth herein, the receipt and sufficiency of which are hereby mutually acknowledged, the Parties agree as follows:

2. OPERATIONAL DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings ascribed below. All capitalized terms not explicitly defined herein shall have the meaning assigned to them in the Primary Agreement or applicable Data Protection Laws.

  1. "Access Control" means the selective restriction of access to data, systems, or physical facilities, ensuring that only authorized personnel, devices, or processes are granted entry based on verified credentials and the principle of least privilege.
  2. "Applicable Data Protection Laws" means all international, federal, state, and local statutes, regulations, directives, and binding regulatory guidance governing the privacy, security, processing, and cross-border transfer of Personal Data, including, without limitation, the California Consumer Privacy Act (CCPA), the General Data Protection Regulation (GDPR) (EU) 2016/679, and any implementing legislation.
  3. "Company Data" means any digital, electronic, or physical information, records, documents, or data provided by the Company, generated on behalf of the Company, or accessed, stored, processed, or transmitted by the Vendor in connection with the performance of services under the Primary Agreement, including Confidential Information and Personal Data.
  4. "Confidential Information" means all non-public information, trade secrets, proprietary software, algorithms, financial data, business strategies, and technical documentation disclosed by the Company to the Vendor, whether orally, visually, or in tangible form.
  5. "Encryption" means the cryptographic transformation of plain text or data into cipher text utilizing industry-standard algorithms (e.g., AES-256 for data at rest, TLS 1.3 or higher for data in transit) to render the data unreadable by unauthorized entities.
  6. "Information Security Incident" means any suspected, attempted, or confirmed unauthorized access, acquisition, disclosure, alteration, misuse, loss, or destruction of Company Data, or any disruption, denial-of-service, or unauthorized intrusion into the Vendor's Information Systems that process Company Data.
  7. "Information Systems" means all computers, hardware, software, networks, databases, cloud environments, mobile devices, and electronic storage media owned, leased, operated, or utilized by the Vendor or its subcontractors to store, process, or transmit Company Data.
  8. "Personal Data" means any information relating to an identified or identifiable natural person ("Data Subject"); an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier, or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural, or social identity of that natural person.
  9. "Security Measures" means the technical, physical, and administrative safeguards implemented and maintained by the Vendor pursuant to Section 3 of this Agreement to protect Company Data and Information Systems.

3. SUBSTANTIVE TERMS & OBLIGATIONS

3.1 Standards of Information Security

The Vendor represents, warrants, and covenants that it shall implement, maintain, and comply with administrative, physical, and technical safeguards that meet or exceed industry best practices, including ISO/IEC 27001, SOC 2 Type II standards, or National Institute of Standards and Technology (NIST) Special Publication 800-53. The Vendor shall continuously protect Company Data against accidental, unauthorized, or unlawful destruction, loss, alteration, disclosure, or access.

3.2 Access Controls and Least Privilege

The Vendor shall restrict access to Company Data and Information Systems strictly to those employees, contractors, and agents who have a verified operational "need-to-know" to perform obligations under the Primary Agreement. The Vendor shall enforce robust identity and access management (IAM) protocols, including:

  1. Mandatory multi-factor authentication (MFA) for all administrative access and remote connections to systems containing Company Data.
  2. Immediate revocation of access credentials upon the termination of employment or contract of any authorized personnel.
  3. Regular quarterly audits and reviews of user access privileges.

3.3 Encryption Standards

The Vendor shall encrypt all Company Data:

  1. At Rest: Utilizing robust cryptographic algorithms (minimum AES-256) across all databases, backup media, mobile devices, laptops, and static storage locations.
  2. In Transit: Utilizing secure, encrypted protocols (minimum TLS 1.3 or secure SFTP) whenever Company Data is transmitted across public networks, untrusted wireless networks, or between distributed data centers.

3.4 Vulnerability Management and Penetration Testing

The Vendor shall maintain a comprehensive vulnerability management lifecycle, which shall include:

  1. Conducting automated vulnerability scans of all Information Systems processing Company Data at least monthly.
  2. Engaging an independent, accredited third-party security auditor to perform comprehensive annual penetration tests (both network-layer and application-layer).
  3. Remediation of critical vulnerabilities within fourteen (14) calendar days, and high-risk vulnerabilities within thirty (30) calendar days of discovery or notification.

3.5 Subcontractor and Third-Party Risk Management

The Vendor shall not delegate, subcontract, or outsource any processing of Company Data to any third party without the Company’s prior express written consent. Where written consent is granted, the Vendor shall:

  1. Execute a binding written agreement with the subcontractor containing data protection obligations no less restrictive than those set forth herein.
  2. Remain fully, jointly, and severally liable to the Company for any acts, omissions, breaches, or Security Incidents caused by its subcontractors.

3.6 Data Retention and Secure Deletion

Upon the expiration, termination, or completion of the Primary Agreement, or upon the Company’s earlier written request, the Vendor shall, at the Company's sole discretion:

  1. Securely return all Company Data in a structured, commonly used, and machine-readable format; or
  2. Permanently and irreversibly destroy, wipe, and purge all copies of Company Data residing in its Information Systems, backup media, and physical archives, utilizing cryptographic erasure or physical destruction standards compliant with NIST SP 800-88 Rev. 1 ("Guidelines for Media Sanitization").
  3. Provide the Company with a written certificate of destruction executed by an authorized corporate officer within thirty (30) calendar days of completion.

4. DEFAULT, TERMINATION, AND REMEDIES

4.1 Classification of Breach

Any failure by the Vendor to comply with the Security Measures, confidentiality obligations, or incident notification duties outlined in this Agreement shall constitute a Material Breach of this Agreement and the Primary Agreement. Material Breaches include, but are not limited to:

  1. The occurrence of an Information Information Incident resulting from the Vendor's gross negligence, willful misconduct, or failure to maintain stated Security Measures.
  2. The unauthorized disclosure or exfiltration of Company Personal Data or Confidential Information.
  3. Failure to remediate identified critical security vulnerabilities within the timeframes mandated in Section 3.4.

4.2 Notice and Cure Period

In the event of a Material Breach of this Agreement, the Company shall provide written notice of default to the Vendor. Except for breaches involving an active Information Security Incident or unauthorized data exfiltration—which shall be subject to immediate termination rights without a cure period—the Vendor shall have thirty (30) business days from receipt of such written notice to fully cure the specified default to the Company's reasonable satisfaction.

4.3 Termination Rights

If the Vendor fails to cure a Material Breach within the designated thirty (30) business day cure period, or if the breach involves an uncurable Information Security Incident compromising Company Data, the Company may, by providing written notice to the Vendor, immediately terminate this Agreement and the underlying Primary Agreement in whole or in part, without penalty, liability, or further obligation, effective as of the date specified in the notice.

4.4 Legal Recourse, Indemnification, and Injunctive Relief

  1. Indemnification: The Vendor shall defend, indemnify, and hold harmless the Company, its parent companies, subsidiaries, affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, losses, damages, regulatory fines, penalties, judgments, and reasonable legal fees (including attorney's fees) arising out of or relating to any Information Security Incident, data breach, or violation of Applicable Data Protection Laws attributable to the Vendor or its subcontractors.
  2. Injunctive Relief: The Vendor acknowledges and agrees that any breach or threatened breach of this Agreement by the Vendor will cause irreparable harm to the Company for which monetary damages alone would be an inadequate remedy. Accordingly, in the event of any such breach, the Company shall be entitled to seek immediate injunctive relief, specific performance, and other equitable remedies from a court of competent jurisdiction, without the necessity of posting a bond or proving actual monetary damages.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or regulatory body of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions of this Agreement shall remain in full force and effect, and the invalidity or unenforceability of any single provision shall not affect the validity of the remainder of this Agreement.

5.2 Entire Agreement

This Agreement, together with the Primary Agreement and any incorporated Data Processing Addenda, constitutes the entire, final, and exclusive agreement between the Parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous oral or written negotiations, understandings, proposals, or agreements. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless executed in writing and signed by an authorized representative of both Parties.

5.3 Force Majeure

Neither Party shall be liable for any failure or delay in the performance of its obligations under this Agreement if such failure or delay arises out of causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, widespread electrical or telecommunications outages, or government actions (each a "Force Majeure Event"); provided, however, that a Force Majeure Event shall not excuse, delay, or mitigate the Vendor's obligations regarding information security compliance, data backups, disaster recovery protocols, or incident notification duties.

5.4 Governing Law

This Agreement, and all claims, disputes, or causes of action (whether in contract, tort, or statute) arising out of, connected with, or relating to this Agreement, shall be governed by, construed, and enforced in accordance with the substantive laws of the State/Country of [Jurisdiction], without regard to its conflict of laws principles.

5.5 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, interpretation, breach, or termination, shall be resolved through good faith negotiations between senior executives of the Parties within thirty (30) days of written notice by either Party. If the dispute remains unresolved, it shall be finally settled by binding arbitration administered by [Arbitration Body, e.g., American Arbitration Association / JAMS] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State/Country], and the proceedings shall be conducted in the English language before a single neutral arbitrator. Judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction.

6. FORMAL EXECUTION BLOCK
