2. Operational Definitions

For the purposes of this Agreement, the following terms shall have the meanings ascribed below, incorporating definitions set forth under Article 4 of the GDPR:

  1. "Controller" means the natural or legal person, public authority, agency, or other body which, alone or jointly with others, determines the purposes and means of the processing of Personal Data.

  6. "Processing" means any operation or set of operations which is performed on Personal Data or on sets of Personal Data, whether or not by automated means, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure, or destruction.

3. Substantive Terms & Obligations

3.1 Scope and Instructions for Processing

The Processor shall process Personal Data exclusively on behalf of, and in accordance with, the documented instructions of the Controller, including with regard to transfers of Personal Data to a third country or an international organization, unless required to do so by Union or Member State law to which the Processor is subject. In such a case, the Processor shall inform the Controller of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest.

3.2 Processor Personnel Confidentiality

The Processor shall ensure that persons authorized to process the Personal Data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality. Access to Personal Data shall be strictly limited to personnel who require such access for the performance of this Agreement.

3.3 Security of Processing (Article 32 GDPR)

Taking into account the state of the art, the costs of implementation and the nature, scope, context and purposes of processing as well as the risk of varying likelihood and severity for the rights and freedoms of natural persons, the Processor shall implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including, as appropriate:

  1. The pseudonymization and encryption of Personal Data;
  2. The ability to ensure the ongoing confidentiality, integrity, availability, and resilience of processing systems and services;
  3. The ability to restore the availability and access to Personal Data in a timely manner in the event of a physical or technical incident;
  4. A process for regularly testing, assessing, and evaluating the effectiveness of technical and organizational measures for ensuring the security of the processing.

3.4 Sub-processors

The Processor shall not engage another sub-processor without prior specific or general written authorization of the Controller. In the case of general written authorization, the Processor shall inform the Controller of any intended changes concerning the addition or replacement of sub-processors, thereby giving the Controller the opportunity to object to such changes. Where the Processor engages a sub-processor for carrying out specific processing activities on behalf of the Controller, the same data protection obligations as set out in this Agreement shall be imposed on that sub-processor by way of a contract or other legal act under Union or Member State law.

3.5 Assistance to the Controller

The Processor shall assist the Controller by appropriate technical and organizational measures, insofar as this is possible, for the fulfilment of the Controller's obligation to respond to requests for exercising the Data Subject's rights laid down in Chapter III of the GDPR. Furthermore, the Processor shall assist the Controller in ensuring compliance with the obligations pursuant to Articles 32 to 36 of the GDPR, taking into account the nature of processing and the information available to the Processor.

3.6 Data Protection Impact Assessment (DPIA) and Prior Consultation

The Processor shall provide reasonable cooperation and assistance to the Controller in conducting any Data Protection Impact Assessment (DPIA) and prior consultation with Supervisory Authorities required under Articles 35 and 36 of the GDPR, strictly limited to the processing services provided by the Processor.

3.7 Deletion or Return of Data

At the choice of the Controller, the Processor shall delete or return all Personal Data to the Controller after the end of the provision of services relating to processing, and delete existing copies unless Union or Member State law requires storage of the Personal Data.

3.8 Audit Rights and Compliance Metrics

The Processor shall make available to the Controller all information necessary to demonstrate compliance with the obligations laid down in Article 28 of the GDPR and this Agreement. The Processor shall allow for and contribute to audits, including inspections, conducted by the Controller or another auditor mandated by the Controller, subject to a minimum of [Number, e.g., 14] days' prior written notice and execution of commercially reasonable non-disclosure agreements.

4. Default, Termination, and Remedies

4.1 Material Breach

Any failure by either Party to comply with the substantive obligations set forth in Section 3 of this Agreement, or any violation of the provisions of the GDPR directly attributable to a Party's operational conduct, shall constitute a material breach of this Agreement.

4.2 Notice and Cure Period

In the event of a material breach of this Agreement, the non-breaching Party shall provide written notice to the breaching Party detailing the precise nature of the alleged breach. The breaching Party shall have a period of thirty (30) business days from the date of receipt of such notice to cure the identified breach to the reasonable satisfaction of the non-breaching Party.

4.3 Remedies for Un-cured Breach

If the breaching Party fails to cure the material breach within the thirty (30) business day cure period, the non-breaching Party may, by delivering immediate written notice:

  2. Demand the immediate return or destruction of all Personal Data processed under this Agreement in accordance with Section 3.7;
  3. Pursue any and all available legal and equitable remedies, including injunctive relief and claims for direct damages, subject to the liability caps agreed upon in the primary commercial agreement.

4.4 Mandatory Notification of Data Breaches

In the event of a confirmed or reasonably suspected Personal Data Breach, the Processor shall notify the Controller without undue delay, and in no event later than forty-eight (48) hours after becoming aware of the breach. Such notice shall contain all necessary information required under Article 33(3) of the GDPR to enable the Controller to meet its notification obligations to the competent Supervisory Authority and Data Subjects.

If such modification is not possible, the relevant provision shall be deemed severed from this Agreement. The remaining provisions of this Agreement shall remain in full force and effect.

5.2 Entire Agreement

This Agreement, together with its recitals and any incorporated Schedules or Standard Contractual Clauses, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior negotiations, understandings, representations, and agreements, whether written or oral, between the Parties relating to data protection.

5.3 Force Majeure

Neither Party shall be liable for any failure or delay in the performance of its obligations under this Agreement if such failure or delay arises from causes beyond its reasonable control, including acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot, national state of emergency, pandemic, embargoes, or disruption of public telecommunication networks ("Force Majeure Event"). The affected Party shall promptly notify the other Party in writing upon the occurrence of a Force Majeure Event and shall use commercially reasonable efforts to resume performance as soon as practicable.
