2. Operational Definitions

For the purposes of this Agreement, except where the context expressly dictates otherwise, the following terms shall have the meanings ascribed to them below:

  1. "Applicable Data Protection Laws" means all applicable data protection and privacy legislation in force from time to time in the United Kingdom, including the UK GDPR, the DPA 2018, the Privacy and Electronic Communications (EC Directive) Regulations 2003 (SI 2003/2426) (as amended), and any binding guidance, codes of practice, or regulatory standards issued by the Information Commissioner’s Office (ICO) or any successor regulatory authority.
  2. "Data Subject" means an identified or identifiable living individual to whom Personal Data relates, as defined under Article 4(1) of the UK GDPR.
  3. "Personal Data" means any information relating to a Data Subject who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier, or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural, or social identity of that natural person.
  4. "Personal Data Breach" means a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to, Personal Data transmitted, stored, or otherwise processed.
  5. "Processing" means any operation or set of operations performed on Personal Data or on sets of Personal Data, whether or not by automated means, such as collection, recording, organisation, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure, or destruction. "Process" and "Processed" shall be construed accordingly.
  6. "Processor", "Controller", and "Supervisory Authority" shall have the respective meanings given to them under Applicable Data Protection Laws (specifically noting that the Supervisory Authority within the United Kingdom is the Information Commissioner's Office).

  8. "Sub-processor" means any third party appointed by or on behalf of the Data Processor to process Personal Data on behalf of the Data Controller in connection with this Agreement.

3. Substantive Terms & Obligations

3.1 Compliance with Applicable Laws

The Parties shall at all times comply with their respective obligations under Applicable Data Protection Laws. The Data Processor warrants and represents that it possesses the requisite technical expertise, organisational maturity, and legal capacity to process Personal Data strictly in accordance with the UK GDPR and the instructions of the Data Controller.

3.2 Documented Instructions

The Data Processor shall process Personal Data only on and in accordance with the documented, lawful instructions of the Data Controller (including with regard to transfers of Personal Data to a third country outside the United Kingdom), unless required to do so by applicable law to which the Data Processor is subject. In such a case, the Data Processor shall inform the Data Controller of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest.

3.3 Security of Processing

  1. Taking into account the state of the art, the costs of implementation and the nature, scope, context and purposes of processing as well as the risk of varying likelihood and severity for the rights and freedoms of natural persons, the Data Processor shall implement, maintain, and enforce appropriate technical and organisational measures to ensure a level of security appropriate to the risk, including, as appropriate:
    • The pseudonymisation and encryption of Personal Data;
    • The ability to ensure the ongoing confidentiality, integrity, availability, and resilience of processing systems and services;
    • The ability to restore the availability and access to Personal Data in a timely manner in the event of a physical or technical incident; and
    • A process for regularly testing, assessing, and evaluating the effectiveness of technical and organisational measures for ensuring the security of the processing.
  2. The Data Processor shall ensure that access to Personal Data is strictly limited to authorised personnel who are bound by statutory or contractual obligations of confidentiality.

3.4 Sub-processing

  1. The Data Processor shall not engage any Sub-processor to perform any of its data processing obligations under this Agreement without the prior specific or general written authorisation of the Data Controller. In the case of general written authorisation, the Data Processor shall inform the Data Controller of any intended changes concerning the addition or replacement of Sub-processors, thereby giving the Data Controller the opportunity to object to such changes.
  2. Where the Data Processor engages a Sub-processor, the Data Processor shall impose data protection obligations upon the Sub-processor by way of a binding written contract that offer at least the same level of data protection as those imposed on the Data Processor under this Agreement. The Data Processor remains fully liable to the Data Controller for the performance of the Sub-processor’s obligations.

3.5 Data Subject Rights

The Data Processor shall, by taking appropriate technical and organisational measures, assist the Data Controller in responding to requests from Data Subjects exercising their rights under Applicable Data Protection Laws (including rights of access, rectification, erasure, restriction, data portability, and objection). The Data Processor shall promptly notify the Data Controller within [24 / 48] hours if it receives any direct request or communication from a Data Subject and shall not respond to such request independently unless expressly authorised in writing by the Data Controller.

3.6 Personal Data Breach Notification

  1. The Data Processor shall notify the Data Controller without undue delay (and in any event within twenty-four (24) hours) upon becoming aware of a confirmed or suspected Personal Data Breach.
  2. Such notification shall contain, at a minimum:
    • A description of the nature of the Personal Data Breach including, where possible, the categories and approximate number of Data Subjects concerned and the categories and approximate number of Personal Data records concerned;
    • The name and contact details of the Data Protection Officer or other contact point where more information can be obtained;
    • The likely consequences of the Personal Data Breach; and
    • The measures taken or proposed to be taken by the Data Processor to address the Personal Data Breach, including, where appropriate, measures to mitigate its possible adverse effects.

3.7 Data Protection Impact Assessment and Prior Consultation

The Data Processor shall provide reasonable cooperation and assistance to the Data Controller in ensuring compliance with the Data Controller's obligations regarding Data Protection Impact Assessments (DPIAs) and prior consultation with the Supervisory Authority (ICO), taking into account the nature of processing and the information available to the Data Processor.

3.8 Deletion or Return of Personal Data

At the choice of the Data Controller, the Data Processor shall, within [30] calendar days of the termination or expiry of this Agreement, securely delete or return all Personal Data to the Data Controller, and securely delete existing copies unless Union or Member State law (or UK domestic law) requires storage of the Personal Data.

  2. The Data Processor shall allow for and contribute to audits, including inspections, conducted by the Data Controller or an auditor mandated by the Data Controller, upon providing at least [14] business days' prior written notice, during normal business hours, subject to reasonable confidentiality undertakings.

The defaulting Party shall have a strict cure period of thirty (30) business days from the date of receipt of such notice to remedy the identified breach to the reasonable satisfaction of the non-defaulting Party.

4.3 Termination for Cause

If the defaulting Party fails to cure the material breach within the thirty (30) business day cure period, or if the breach is incapable of remedy, the non-defaulting Party may terminate this Agreement and the Principal Agreement immediately upon written notice, without penalty, liability, or further obligation (save for accrued rights and surviving terms).

4.4 Indemnification and Legal Recourse

Each Party shall indemnify, defend, and hold harmless the other Party, its officers, directors, employees, and agents from and against any direct claims, losses, liabilities, fines, penalties, regulatory enforcement actions, reasonable legal fees, and expenses arising out of or resulting from any material breach of this Agreement or Applicable Data Protection Laws by the indemnifying Party. The statutory limits of liability set forth in the Principal Agreement shall [apply / not apply] to breaches of data protection obligations, up to a maximum aggregate cap of [Dollar Amount, e.g., £5,000,000 / or "an unlimited amount"].

5. Boilerplate Legal Provisions

5.1 Severability

If modification is not possible, the provision shall be deemed severed, and the remaining provisions of this Agreement shall remain in full force and effect.

5.2 Entire Agreement

This Agreement, together with the Principal Agreement and any data processing schedules incorporated by reference, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior negotiations, understandings, representations, and agreements, whether written or oral, relating to such subject matter.

Financial hardship shall explicitly not constitute a Force Majeure Event.
