Neither party shall be liable for any delay or failure in performance of its obligations hereunder (except for payment obligations) caused by acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, pandemics, or other causes beyond its reasonable control. The time for performance shall be extended by the period of such delay.
  4. Governing Law. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles.
