WHEREAS, the Client desires to engage the Company to perform specialized operational, administrative, and strategic services on behalf of the Client, and the Company is willing to perform such services for the compensation and upon the strict terms and conditions set forth herein; and
WHEREAS, the respective Boards of Directors or authorized corporate bodies of both the Company and the Client have determined that entering into this Agreement aligns with the corporate interests of each respective entity and have fully authorized the execution, delivery, and performance of this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants, representations, warranties, and agreements contained herein, and for other good and valuable consideration, the receipt and legal sufficiency of which are hereby mutually acknowledged, the Parties hereby agree as follows:
OPERATIVE PROVISIONS
SECTION 1: ENGAGEMENT AND SCOPE OF SERVICES
1.1 Engagement. Subject to the terms and conditions set forth in this Agreement, the Client hereby retains and engages the Company to provide, and the Company hereby agrees to render to the Client, the corporate operating, management, and technical services described herein and in one or more Statements of Work executed pursuant hereto (collectively, the "Services").
1.2 Statements of Work (SOW). The specific deliverables, milestones, implementation timelines, and criteria for the Services shall be set forth in individually numbered Statements of Work, each of which shall substantially conform to the template attached hereto as Exhibit A (each, a "Statement of Work" or "SOW"). Each SOW shall be executed by an authorized representative of each Party and, upon mutual execution, shall be integrated into and governed by the terms of this Agreement. In the event of any irreconcilable conflict between the terms of this Agreement and any SOW, the terms of this Agreement shall control, unless the SOW explicitly identifies a specific provision of this Agreement to be overridden for the purposes of that specific SOW only.
1.3 Standard of Performance. The Company covenants that it shall perform the Services in a diligent, workmanlike, and professional manner, using personnel of required skill, experience, and qualifications, and in compliance with generally accepted industry standards and all applicable federal, state, and local laws, statutes, and ordinances.
1.4 Personnel and Subcontracting. The Company shall maintain sole control over its employees, agents, and subcontractors. The Company shall not subcontract any material portion of the Services without the prior written consent of the Client, which consent shall not be unreasonably withheld, conditioned, or delayed. The Company remains fully responsible for the acts, omissions, defaults, and breaches of any permitted subcontractors as if they were acts or omissions of the Company itself.
1.5 Change Order Procedure. Either Party may propose changes to the scope or delivery of Services under any active SOW. No change shall become binding until memorialized in a formal written amendment (a "Change Order") detailing the adjustments to the scope, compensation, delivery schedule, and operational requirements, executed by authorized signatories of both Parties.
SECTION 2: COMPENSATION, INVOICING, AND PAYMENT TERMS
2.1 Fees and Structure. In consideration for the complete and satisfactory performance of the Services, the Client shall pay the Company the compensation set forth in the applicable SOW. Unless otherwise specified in an SOW, compensation shall be structured as:
- A fixed monthly operating retainer fee of
[Amount in USD]($[Amount]), payable in advance on the first business day of each calendar month; or - Milestone-based progress payments totaling
[Total Contract Value in USD]($[Amount]), contingent upon written acceptance of defined deliverables.
2.2 Expense Reimbursement. The Client shall reimburse the Company for all reasonable, pre-approved, documented out-of-pocket operational, travel, and material expenses incurred directly in connection with the performance of the Services. Any single expenditure exceeding [Expense Threshold in USD] ($[Amount]) requires prior written authorization from the Client.
2.3 Invoicing and Due Dates. The Company shall transmit itemized invoices to the Client on a monthly basis, detailing the Services performed, hours expended (if applicable), milestones achieved, and reimbursable expenses incurred during the preceding billing period. The Client shall pay all undisputed invoice amounts within thirty (30) calendar days from the date of receipt of the applicable invoice ("Net 30"). Payments shall be remitted via wire transfer or automated clearing house (ACH) transaction into the corporate depository account designated in writing by the Company.
2.4 Late Payment Interest. Any undisputed amount not paid by the Client by the designated due date shall accrue interest from the date due until the date paid in full at a rate equal to one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower. The Company reserves the right, without prejudice to any other rights or remedies available under this Agreement or at law, to suspend performance of Services under any or all active SOWs if any undisputed invoice remains unpaid for more than fifteen (15) calendar days following written notice of default.
2.5 Disputed Invoices. If the Client disputes any portion of an invoice in good faith, the Client must notify the Company in writing within ten (10) business days of invoice receipt, describing the precise grounds of the dispute and paying all undisputed portions in accordance with standard terms. The Parties shall promptly engage in good-faith negotiations to resolve the dispute within fifteen (15) calendar days of such notification.
2.6 Taxes. The fees payable under this Agreement are exclusive of any sales, use, excise, value-added, or other transactional taxes, duties, or governmental levies. The Client shall be responsible for all such taxes, excluding any taxes assessed against the Company’s net income, capital, or corporate franchise.
SECTION 3: TERM, RENEWAL, AND TERMINATION
3.1 Term. This Agreement shall commence on the Effective Date and shall remain in full force and effect for an initial period of [Number, e.g., three (3)] years (the "Initial Term"), unless earlier terminated pursuant to the express provisions of this Section 3.
3.2 Automatic Renewal. Following the expiration of the Initial Term, this Agreement shall automatically renew for successive terms of [Number, e.g., one (1)] year each (each a "Renewal Term", and collectively with the Initial Term, the "Term"), unless either Party provides written notice of non-renewal to the other Party at least sixty (60) calendar days prior to the expiration of the then-current Term.
3.3 Termination for Convenience. Either Party may terminate this Agreement or any individual SOW, at any time, without cause and for its sole convenience, by delivering not less than sixty (60) calendar days’ prior written notice of termination to the other Party.
3.4 Termination for Cause (Material Breach). Either Party may terminate this Agreement or any specific SOW immediately upon written notice if the other Party:
- Materially breaches any provision of this Agreement or an SOW, and fails to cure such breach within thirty (30) calendar days following receipt of written notice detailing the breach; provided, however, that the cure period for a payment default under Section 2 shall be ten (10) calendar days; or
- Commits an incurable material breach of this Agreement, including any breach of Section 4 (Intellectual Property) or Section 5 (Confidentiality).
3.5 Termination for Insolvency. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) becomes insolvent or admits in writing its inability to pay its debts as they mature; (b) makes a general assignment for the benefit of creditors; (c) has a receiver, liquidator, trustee, or custodian appointed for all or substantially all of its assets; or (d) becomes the subject of any voluntary or involuntary petition under federal or state bankruptcy or insolvency laws, which petition is not dismissed within forty-five (45) calendar days of filing.
3.6 Effect of Termination. Upon any expiration or termination of this Agreement:
- The Company shall promptly cease all performance under terminated SOWs;
- The Client shall promptly pay the Company for all Services satisfactorily rendered and non-cancelable expenses incurred through the effective date of termination;
- Each Party shall promptly return or destroy all Confidential Information of the other Party in accordance with Section 5.5; and
- The Company shall deliver to the Client all completed and partially completed deliverables and Work Product created up to the date of termination.
3.7 Survival. The provisions of Section 2 (as to accrued payment obligations), Section 4 (Intellectual Property), Section 5 (Confidentiality), Section 6 (Representations and Warranties), Section 7 (Indemnification and Liability), Section 8 (Dispute Resolution), Section 9 (Governing Law), and Section 10 (Miscellaneous), along with any other provision that by its nature should survive, shall survive any expiration or termination of this Agreement.
SECTION 4: INTELLECTUAL PROPERTY RIGHTS AND WORK MADE FOR HIRE
4.1 Background Intellectual Property. Each Party retains sole and exclusive ownership of all right, title, and interest in and to all intellectual property, proprietary data, software, methodologies, trade secrets, know-how, and works of authorship owned or developed by it prior to the Effective Date or developed independently outside the scope of this Agreement ("Background IP"). Nothing herein shall be construed as transferring ownership of Background IP between the Parties.
4.2 Work Made for Hire and Assignment. Except for the Company’s Background IP, all deliverables, technical reports, operational designs, software code, processes, documentation, and tangible or intangible creations conceived, produced, or developed by the Company, solely or collaboratively, for the Client pursuant to this Agreement or any SOW (collectively, the "Work Product") shall be deemed a "work made for hire" for the Client within the meaning of the United States Copyright Act (17 U.S.C. § 101 et seq.). If, under applicable law, any Work Product is deemed not to constitute a work made for hire, the Company hereby irrevocably assigns, transfers, and conveys to the Client, and its successors and assigns, all right, title, and interest worldwide in and to such Work Product, including all copyrights, patents, trade secrets, trademarks, moral rights, and other intellectual property rights therein.
4.3 License to Company Background IP. To the extent that any of the Company's Background IP is embedded in, required for the use of, or inextricably intertwined with any Work Product, the Company hereby grants to the Client a perpetual, irrevocable, fully paid-up, royalty-free, worldwide, non-exclusive license to use, execute, display, perform, reproduce, modify, and distribute such Background IP solely as integrated within the Work Product.
4.4 Further Assurances. The Company agrees to execute, verify, acknowledge, and deliver to the Client, at the Client's sole expense, all documentation, patent applications, copyright assignments, and other instruments reasonably requested by the Client to vest, perfect, register, or defend the Client’s absolute ownership of the Work Product.
SECTION 5: MUTUAL CONFIDENTIALITY AND NON-DISCLOSURE
5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or confidential information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally, in writing, electronically, or by inspection of tangible objects, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation: trade secrets, financial records, customer lists, business strategies, operational models, pricing models, software architecture, technical specifications, and the terms of this Agreement.
5.2 Exclusions. Confidential Information does not include information that the Receiving Party can prove by documentary evidence:
- Is or becomes publicly known without breach of this Agreement by the Receiving Party;
- Was already in the rightful possession of the Receiving Party prior to disclosure by the Disclosing Party without confidentiality restrictions;
- Is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or
- Is rightfully received from a third party having the lawful right to make such disclosure without restriction.
5.3 Standard of Care. The Receiving Party shall protect the Confidential Information of the Disclosing Party with the same degree of care it uses to protect its own confidential materials of like nature, but in no event less than a reasonable degree of care. The Receiving Party shall not disclose, copy, publish, or disseminate the Disclosing Party's Confidential Information to any third party, except to those of its directors, officers, employees, legal counsel, accountants, and permitted subcontractors who have a need to know such information for the performance of this Agreement and who are bound by confidentiality obligations at least as restrictive as those contained herein.
5.4 Compelled Disclosure. If the Receiving Party is ordered or required by subpoena, court order, or applicable law to disclose any Confidential Information of the Disclosing Party, the Receiving Party shall provide prompt written notice to the Disclosing Party (to the extent legally permissible) to enable the Disclosing Party to seek a protective order or other appropriate legal remedy. If such protective order is not obtained, the Receiving Party shall disclose only that portion of the Confidential Information which it is legally compelled to disclose and shall exercise reasonable efforts to obtain reliable assurance that confidential treatment will be accorded to the disclosed information.
5.5 Return or Destruction. Upon termination or expiration of this Agreement, or upon the written request of the Disclosing Party, the Receiving Party shall promptly return or, at the Disclosing Party’s option, securely destroy and eradicate all copies, summaries, and extracts of the Disclosing Party’s Confidential Information, certifying such destruction in writing signed by an executive officer within fourteen (14) calendar days; provided, however, that Receiving Party may retain one archival copy solely for compliance, regulatory, or legal defense purposes, subject to continued adherence to the confidentiality obligations herein.
5.6 Duration. The obligations of confidentiality under this Section 5 shall commence on the Effective Date and shall survive for a period of five (5) years following the termination or expiration of this Agreement; provided, however, that with respect to any Confidential Information constituting a trade secret under applicable law, such obligations shall survive indefinitely for as long as such information remains a trade secret.
SECTION 6: REPRESENTATIONS AND WARRANTIES
6.1 Mutual Representations and Warranties. Each Party represents and warrants to the other Party that:
- It is a corporation duly incorporated, validly existing, and in good standing under the laws of its jurisdiction of incorporation;
- It possesses full corporate power, authority, and legal right to execute, deliver, and perform its obligations under this Agreement;
- The execution, delivery, and performance of this Agreement have been duly and validly authorized by all necessary corporate action, including any required board approvals;
- This Agreement constitutes a legal, valid, and binding obligation of such Party, enforceable against it in accordance with its terms, subject to bankruptcy, insolvency, and general equitable principles; and
- The execution and performance of this Agreement do not and will not violate or conflict with its Articles of Incorporation, Bylaws, or any material agreement, judgment, decree, or applicable law by which it is bound.
6.2 Performance Warranty. The Company warrants that the Services will be performed in a professional, competent manner conforming to prevailing industry standards and will materially comply with the specifications set forth in the applicable SOW for a period of ninety (90) calendar days post-delivery (the "Warranty Period"). The Client’s sole and exclusive remedy, and the Company’s total liability, for breach of this performance warranty shall be the re-performance of the non-conforming Services by the Company at no additional charge to the Client, provided that the Client gives written notice of the non-conformance within the Warranty Period.
6.3 Non-Infringement Warranty. The Company represents and warrants that the Work Product delivered to the Client under this Agreement does not and will not infringe, misappropriate, or violate any valid patent, copyright, trademark, trade secret, or other proprietary right of any third party.
6.4 Disclaimer. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, NEITHER PARTY MAKES ANY OTHER REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR SYSTEM INTEGRATION, ALL OF WHICH ARE EXPRESSLY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
SECTION 7: LIMITATION OF LIABILITY AND INDEMNIFICATION
7.1 Indemnification by the Company. The Company agrees to indemnify, defend, and hold harmless the Client, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, and agents from and against any and all liabilities, losses, damages, claims, costs, and expenses (including reasonable attorneys' fees and litigation costs) arising out of or resulting from any third-party claim alleging:

- Material breach by the Company of its obligations under Section 5 (Confidentiality); or
- That the Work Product or Services infringe, misappropriate, or violate any third-party intellectual property or proprietary right.
7.2 Indemnification by the Client. The Client agrees to indemnify, defend, and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and agents from and against any and all liabilities, losses, damages, claims, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from any third-party claim alleging:
- Gross negligence or willful misconduct of the Client;
- Material breach by the Client of its obligations under this Agreement; or
- Any materials, specifications, or operational instructions provided by the Client to the Company that infringe or misappropriate any third-party intellectual property right.
7.3 Indemnification Procedures. The Party seeking indemnification ("Indemnified Party") shall: (a) provide prompt written notice of the claim to the other Party ("Indemnifying Party"); (b) grant the Indemnifying Party sole control over the defense and settlement of the claim (provided that the Indemnifying Party shall not settle any claim that admits fault or imposes monetary or injunctive liability upon the Indemnified Party without its prior written consent); and (c) provide reasonable assistance to the Indemnifying Party, at the Indemnifying Party's expense, in the defense thereof.
7.4 WAIVER OF CONSEQUENTIAL DAMAGES. EXCEPT FOR BREACHES OF SECTION 5 (CONFIDENTIALITY), LIABILITIES ARISING UNDER SECTION 7.1 OR 7.2 (INDEMNIFICATION), OR CLAIMS ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS REPUTATION, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.5 AGGREGATE LIABILITY CAP. EXCEPT FOR BREACHES OF SECTION 5 (CONFIDENTIALITY), INDEMNIFICATION LIABILITIES PURSUANT TO SECTIONS 7.1 AND 7.2, OR CLAIMS ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, THE TOTAL AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATED TO THIS AGREEMENT, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID OR PAYABLE BY THE CLIENT TO THE COMPANY UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
SECTION 8: DISPUTE RESOLUTION AND MANDATORY ARBITRATION
8.1 Executive Negotiation. In the event of any controversy, claim, or dispute arising out of or relating to this Agreement, its interpretation, performance, or breach (a "Dispute"), the Parties shall first endeavor to resolve the Dispute through good-faith executive escalation. Within ten (10) business days of written notice from one Party to the other describing the Dispute, designated senior corporate executives possessing settlement authority from each Party shall meet (in person or via secure videoconference) and confer to attempt an amicable resolution.
8.2 Binding Arbitration. If the Dispute is not fully resolved within thirty (30) calendar days of the initial written notice initiating executive negotiations, the Dispute shall be finally, exclusively, and conclusively settled by binding individual commercial arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect, or JAMS under its Comprehensive Arbitration Rules.
- Arbitrator Selection: The arbitration tribunal shall consist of one (1) neutral arbitrator, who shall be a retired judge or an attorney licensed to practice law in the governing jurisdiction with at least fifteen (15) years of commercial contract experience, mutually agreed upon by the Parties within thirty (30) days, or failing agreement, appointed by the administering body.

The proceedings may be conducted virtually upon mutual agreement of the Parties. - Authority of Arbitrator: The arbitrator shall issue a reasoned, written award stating findings of fact and conclusions of law. - Finality and Enforcement: Judgment upon the award rendered by the arbitrator may be entered and enforced in any court of competent jurisdiction worldwide.
8.3 Emergency Injunctive Relief. Notwithstanding the mandatory arbitration covenant in Section 8.2, either Party may seek temporary, preliminary, or emergency injunctive relief, specific performance, or other equitable remedies in any court of competent jurisdiction to prevent irreparable harm, preserve the status quo, or protect its intellectual property or Confidential Information pending the appointment and determination of the arbitrator.
8.4 WAIVER OF JURY TRIAL. EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY, INTENTIONALLY, AND IRREVOCABLY WAIVES ALL RIGHTS TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, COUNTERCLAIM, OR LITIGATION ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE TRANSACTIONS CONTEMPLATED HEREBY.
SECTION 9: GOVERNING LAW AND FORUM SELECTION
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, and enforced in accordance with, the internal substantive laws of the State of [State/Jurisdiction], without giving effect to any choice of law or conflict of law rules (whether of the State of [State/Jurisdiction] or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of [State/Jurisdiction].
9.2 Judicial Forum. Subject to the mandatory arbitration provisions of Section 8, any permitted judicial proceeding, enforcement of an arbitral award, or application for emergency equitable relief shall be instituted exclusively in the state or federal courts situated in [County], in the State of [State/Jurisdiction]. Each Party hereby irrevocably submits to the exclusive personal jurisdiction of such courts, waives any objection based on improper venue or forum non conveniens, and consents to service of process by certified mail.
SECTION 10: MISCELLANEOUS PROVISIONS
10.1 Severability. If any provision, clause, or covenant of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, illegal, or unenforceable, such determination shall not affect the validity of any remaining portions of this Agreement. The invalid or unenforceable provision shall be modified and construed to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original economic and business intentions of the Parties.
10.2 Amendments. No supplement, modification, waiver, or amendment of this Agreement or any SOW shall be binding unless executed in writing by authorized corporate officers of both Parties explicitly referencing this Agreement.
10.3 Non-Waiver. No failure or delay by either Party in exercising any right, power, or privilege under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise of any right, power, or privilege hereunder.
10.4 Force Majeure. Neither Party shall be liable or responsible to the other Party, nor deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement (excluding accrued monetary payment obligations) when and to the extent such failure or delay is caused by acts of God, natural disasters, catastrophic flood, fire, earthquake, war, invasion, terrorist acts, civil unrest, national emergencies, pandemics, utility failures, or government embargoes (each a "Force Majeure Event"). The impacted Party shall provide prompt written notice to the other Party and use diligent efforts to resume performance as soon as commercially practicable. If a Force Majeure Event persists for more than sixty (60) consecutive days, either Party may terminate this Agreement upon written notice.
10.5 Independent Contractor Status. The relationship between the Parties is strictly that of independent corporate contractors. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture, fiduciary, or employment relationship between the Parties. Neither Party possesses any authority, apparent or actual, to bind, represent, or obligate the other Party in any manner whatsoever.
10.6 Assignment and Delegation. Neither Party may assign, transfer, delegate, or subcontract its rights or obligations under this Agreement, in whole or in part, without the prior written consent of the other Party; provided, however, that either Party may assign this Agreement in its entirety without consent to an affiliate or to a successor entity pursuant to a merger, acquisition, corporate reorganization, or sale of substantially all of its assets. Nothing herein, express or implied, confers upon any other individual or corporate entity any legal or equitable right, benefit, or remedy of any nature whatsoever.
10.9 Counterparts and Electronic Execution.
