The Corporation may establish and maintain branch, subsidiary, operational, or auxiliary offices at any place or places within or outside the State of [State of Incorporation] or the United States, as the Board may determine from time to time or as the strategic business affairs of the Corporation require.

ARTICLE II: STOCKHOLDERS

Section 2.01. Place of Meetings

Meetings of the stockholders shall be held at any place within or outside the State of [State of Incorporation] designated by the Board. In the absence of any such designation by the Board, stockholder meetings shall be held at the principal executive office of the Corporation. To the extent permitted by the governing statutes of the State of [State of Incorporation], the Board may, in its sole discretion, determine that a meeting of stockholders shall not be held at any physical place, but may instead be held solely by means of remote communication, audio-visual conference, or electronic transmission.

Section 2.02. Annual Meeting

The annual meeting of stockholders shall be held on such date and at such time as may be fixed by resolution of the Board. At each annual meeting, the stockholders shall elect directors to succeed those whose terms expire and transact such other corporate business as may properly be brought before the meeting in accordance with these Bylaws.

Section 2.03. Special Meetings

Special meetings of the stockholders, for any purpose or purposes, unless otherwise prescribed by statute or by the Certificate of Incorporation, may be called only by (a) the Board pursuant to a resolution adopted by a majority of the total number of authorized directors; (b) the Chairperson of the Board; (c) the Chief Executive Officer; or (d) the holders of shares representing not less than [Twenty-Five Percent (25%)] of the total voting power of all outstanding shares entitled to vote on the matter for which the special meeting is convened. Business transacted at any special meeting shall be strictly limited to the purposes stated in the notice of the meeting.

Section 2.04. Notice of Stockholder Meetings

Except as otherwise provided by law, written or electronic notice of each meeting of stockholders, whether annual or special, stating the place (if any), date, and hour of the meeting, the means of remote communication (if any) by which stockholders and proxy holders may be deemed present and vote, and, in the case of a special meeting, the purpose or purposes for which the meeting is called, shall be given not less than ten (10) nor more than sixty (60) calendar days before the date of the meeting to each stockholder entitled to vote at such meeting as of the record date.

Section 2.05. Quorum

The holders of a majority of the voting power of the capital stock issued, outstanding, and entitled to vote at the meeting, present in person or represented by proxy, shall constitute a quorum for the transaction of business at all meetings of stockholders, except as otherwise required by statute or the Certificate of Incorporation. If a quorum is not present or represented at any meeting of stockholders, the chairperson of the meeting or the holders of a majority of the voting shares represented thereat may adjourn the meeting from time to time until a quorum is present.

Section 2.06. Adjournment of Meetings

Any meeting of stockholders, annual or special, may be adjourned from time to time by the presiding officer of the meeting or by the affirmative vote of a majority of the shares present in person or by proxy, regardless of whether a quorum is present. When a meeting is adjourned to another time or place, notice need not be given of the adjourned meeting if the time, place, and means of remote communication are announced at the meeting at which the adjournment is taken, provided that the adjournment is for not more than thirty (30) days and no new record date is fixed.

Section 2.07. Voting Rights and Proxies

Except as otherwise provided by statute or the Certificate of Incorporation:

Section 2.08. Action by Majority; Requisite Vote

When a quorum is present at any meeting, any matter brought before the meeting, other than the election of directors, shall be decided by the affirmative vote of the majority of shares present in person or represented by proxy and entitled to vote on the subject matter, unless a higher or different threshold is expressly mandated by statute, the Certificate of Incorporation, or these Bylaws. Directors shall be elected by a plurality of the votes cast by the holders of shares present in person or represented by proxy and entitled to vote on the election of directors at a meeting at which a quorum is present.

Section 2.09. Action Without a Meeting (Written Consent)

Unless otherwise restricted by the Certificate of Incorporation, any action required or permitted to be taken at any annual or special meeting of stockholders may be taken without a meeting, without prior notice, and without a vote, if a consent or consents in writing, setting forth the action so taken, shall be signed by the holders of outstanding stock having not less than the minimum number of votes that would be necessary to authorize or take such action at a meeting at which all shares entitled to vote thereon were present and voted. Prompt notice of the taking of corporate action without a meeting by less than unanimous written consent shall be given to those stockholders who have not consented in writing, in accordance with applicable corporate law.

Section 2.10. Stockholder Proposals and Nominations

Stockholders must provide timely written notice of any director nominations or other business proposals to the Secretary of the Corporation not less than ninety (90) nor more than one hundred twenty (120) days prior to the first anniversary of the preceding year's annual meeting. Section 3.04. Removal of Directors

Unless otherwise restricted by the Certificate of Incorporation or applicable statute, any director or the entire Board may be removed, with or without cause, by the affirmative vote of the holders of a majority of the issued and outstanding shares of stock then entitled to vote at an election of directors.

Section 3.05. Vacancies and Newly Created Directorships

Vacancies and newly created directorships resulting from any increase in the authorized number of directors may be filled exclusively by a majority vote of the directors then in office, although less than a quorum, or by a sole remaining director, and shall not be filled by the stockholders unless the Board fails to act within sixty (60) days or unless otherwise mandated by the Certificate of Incorporation. Each director so chosen shall hold office until the next annual election and until their successor is duly elected and qualified.

Section 3.06. Regular Meetings

Regular meetings of the Board may be held without notice at such time and place, within or outside the State of [State of Incorporation], as shall from time to time be determined by resolution of the Board.

Section 3.07. Special Meetings

The notice need not state the business to be transacted, nor the purpose of any special meeting of the Board.

Section 3.08. Quorum and Voting

At all meetings of the Board, a majority of the total number of authorized directors shall constitute a quorum for the transaction of business. The vote of a majority of the directors present at any meeting at which a quorum is present shall be the act of the Board, except as otherwise explicitly provided by statute, the Certificate of Incorporation, or these Bylaws. If a quorum is not present, the directors present may adjourn the meeting from time to time, without notice other than announcement at the meeting, until a quorum is present.

Section 3.09. Telephonic and Remote Participation

Members of the Board, or any committee thereof, may participate in a meeting of the Board or such committee by means of conference telephone, video conference, or other remote communications equipment by means of which all persons participating in the meeting can hear and communicate with each other. Participation in a meeting pursuant to this Section shall constitute physical presence in person at such meeting.

Section 3.10. Action by Unanimous Written Consent

Any action required or permitted to be taken at any meeting of the Board or of any committee thereof may be taken without a meeting if all members of the Board or committee, as the case may be, consent thereto in writing or by electronic transmission, and the writing or writings or electronic transmissions are filed with the minutes of proceedings of the Board or committee. Such filing shall be in paper form if the minutes are maintained in paper form and shall be in electronic form if the minutes are maintained in electronic form.

Section 3.11. Committees of Directors

Directors shall also be entitled to reimbursement for reasonable and documented out-of-pocket expenses incurred in attending Board and committee meetings or in conducting corporate business. Nothing herein contained shall be construed to preclude any director from serving the Corporation in any other capacity—as an officer, agent, employee, or otherwise—and receiving legal compensation therefor.

ARTICLE V: INTELLECTUAL PROPERTY & WORK MADE FOR HIRE

Section 5.01. Scope and Applicability

This Article V establishes the Corporation’s rights regarding intellectual property created by any officer, employee, contractor, or director of the Corporation (each, an "Active Contributor") in the course of their engagement, governance duties, or employment with the Corporation.

Section 5.02. Work Made for Hire

The Corporation shall be the sole and exclusive owner of all rights, title, and interest throughout the world in and to all works of authorship, software, code, algorithms, documentation, designs, inventions, discoveries, improvements, trade secrets, know-how, and other proprietary materials (collectively, "Inventions") created, conceived, reduced to practice, or developed by any Active Contributor, solely or jointly with others, within the scope of their engagement or employment, or utilizing corporate property, time, facilities, or funds. All copyrightable aspects of such Inventions shall be deemed "works made for hire" under the United States Copyright Act (17 U.S.C. § 101 et seq.) and any corresponding foreign doctrine.

Section 5.03. Absolute Assignment of Intellectual Property

To the extent that any Invention does not qualify by operation of law as a "work made for hire," each Active Contributor, as a condition of their election, appointment, retention, or service as an officer, director, or employee of the Corporation, hereby irrevocably transfers, conveys, and assigns to the Corporation and its successors and assigns, without additional compensation, the entire right, title, and interest throughout the universe in and to such Inventions, including all patent, copyright, trademark, trade secret, and moral rights therein, for the full term of such rights and any renewals or extensions thereof.

Section 5.04. Power of Attorney and Further Assurances

Each officer, director, and employee shall execute, acknowledge, and deliver to the Corporation all such further instruments, assignments, patent applications, and documents as the Corporation may reasonably deem necessary to perfect, register, prosecute, and enforce the Corporation’s ownership of said Inventions. If the Corporation is unable for any reason to secure an Active Contributor's signature to apply for or pursue any patent, copyright, or trademark registration, each Active Contributor irrevocably designates and appoints the Corporation and its duly authorized officers as their lawful agent and attorney-in-fact to act for and on their behalf to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of proprietary protections with the same legal force and effect as if executed by the Active Contributor.

ARTICLE VI: CONFIDENTIALITY, NON-DISCLOSURE & CORPORATE OPPORTUNITIES

Section 6.01. Duty of Confidentiality

Each director, officer, employee, and agent of the Corporation shall preserve the confidentiality of all non-public, proprietary, or competitively sensitive information concerning the Corporation, including, without limitation, financial data, business plans, software architecture, technical data, customer lists, pricing strategies, operational methodologies, and minutes of proceedings of the Board and stockholders (collectively, "Confidential Information").

Section 6.02. Non-Disclosure and Use Restrictions

No director or officer shall, during their service with the Corporation or at any time thereafter, disclose, disseminate, publish, or use any Confidential Information for their own benefit, for the benefit of any third party, or for any purpose other than the legitimate performance of their fiduciary, oversight, and managerial duties for the Corporation, unless:

  1. Such disclosure is expressly authorized in advance by the Board;
  2. Such disclosure is required by a valid order of a court of competent jurisdiction or lawful subpoena, provided that prompt written notice is delivered to the Corporation to permit the Corporation to seek a protective order; or

Directors and officers of the Corporation owe an unyielding fiduciary duty of loyalty to the Corporation and shall not appropriate, divert, or exploit for their personal benefit, or for the benefit of any third-party business entity, any business opportunity that is within the Corporation's line of business, that the Corporation has an expectancy or interest in pursuing, or where the opportunity was discovered or obtained through the use of corporate facilities, property, or positional authority.
  2. If a corporate opportunity is presented to or discovered by a director or officer, such person must make full, unredacted disclosure of the material facts of such opportunity to the Board. The director or officer may pursue such opportunity only after the Board has formally reviewed, evaluated, and declined the opportunity by a majority vote of the disinterested directors.

ARTICLE VII: SHARES OF STOCK

Section 7.03. Lost, Stolen, or Destroyed Certificates

The Board may direct a new certificate or uncertificated shares to be issued in place of any certificate previously issued by the Corporation alleged to have been lost, stolen, or destroyed, upon the making of an affidavit of that fact by the person claiming the certificate to be lost, stolen, or destroyed. When authorizing such issue of a new certificate or uncertificated shares, the Board may, in its discretion and as a condition precedent to the issuance thereof, require the owner of such lost, stolen, or destroyed certificate, or their legal representative, to advertise the same in such manner as the Board shall require and/or to give the Corporation a bond in such sum as it may direct as indemnity against any claim that may be made against the Corporation with respect to the certificate alleged to have been lost, stolen, or destroyed.

Section 7.04. Fixing Record Date

In order that the Corporation may determine the stockholders entitled to notice of or to vote at any meeting of stockholders or any adjournment thereof, or entitled to receive payment of any dividend or other distribution or allotment of any rights, or entitled to exercise any rights in respect of any change, conversion, or exchange of stock, or for the purpose of any other lawful action, the Board may fix, in advance, a record date. Such record date shall not precede the date upon which the resolution fixing the record date is adopted by the Board, and:

  1. In the case of determination of stockholders entitled to notice of or to vote at any meeting of stockholders, shall not be more than sixty (60) nor less than ten (10) days before the date of such meeting; and

Section 8.02. Advancement of Expenses

The Corporation shall have the power and mandatory duty to pay the expenses (including attorneys' fees) incurred by an Indemnitee in defending any Proceeding in advance of its final disposition (an "Advancement of Expenses"); provided, however, that an Advancement of Expenses incurred by an Indemnitee shall be made only upon delivery to the Corporation of an undertaking, by or on behalf of such Indemnitee, to repay all amounts so advanced if it shall ultimately be determined by final judicial decision from which there is no further right to appeal that such Indemnitee is not entitled to be indemnified for such expenses under this Article VIII or under applicable corporate law.

Section 8.03. Non-Exclusivity of Rights

The rights to indemnification and to the Advancement of Expenses conferred in this Article VIII shall not be exclusive of any other right which any person may have or hereafter acquire under any statute, the Certificate of Incorporation, these Bylaws, agreement, vote of stockholders, or disinterested directors or otherwise.

Section 8.04. Insurance

The Corporation may purchase and maintain insurance, at its expense, to protect itself and any director, officer, employee, or agent of the Corporation or another corporation, partnership, joint venture, trust, or other enterprise against any expense, liability, or loss, whether or not the Corporation would have the power to indemnify such person against such expense, liability, or loss under the laws of the State of [State of Incorporation].

Section 8.05. Exculpation and Limitation of Liability

To the maximum extent permitted by the laws of the State of [State of Incorporation], no director or officer of the Corporation shall be personally liable to the Corporation or to its stockholders for monetary damages for breach of fiduciary duty as a director or officer. STEP-BY-STEP EXECUTION & FILING GUIDE

Step 1: Microsoft Word & Google Docs Configuration

  1. Open this file in Microsoft Word or Google Docs.
  2. Use the Find & Replace tool (Ctrl+H or Cmd+Shift+H) to locate and replace every bracketed field:
    • [Company Full Legal Name] $\rightarrow$ Your corporation's exact registered legal name.
    • [State of Incorporation] $\rightarrow$ State where the Certificate/Articles were filed (e.g., Delaware, California).
    • [Registered Agent Full Legal Name] and [Registered Agent Physical Street Address...] $\rightarrow$ Valid statutory agent details.
    • [Principal Address] $\rightarrow$ Primary business address.
    • [Effective Date] $\rightarrow$ Date the Board formally authorized and ratified these Bylaws.
    • [Authorized Signatory Name] $\rightarrow$ Secretary and Board Chair names.
  3. Apply standard legal formatting: 1-inch margins on all sides, standard typography (e.g., Times New Roman or Calibri, 10–12 pt), and formal dynamic page numbering ("Page X of Y").

Step 2: Signatory Authority Verification

  1. Ensure the individual signing as Corporate Secretary or Chair of the Board has been duly appointed via Initial Incorporator Resolutions or Organizational Board Minutes.
  2. Cross-reference the indemnification, stock certificate, and forum selection provisions against the filed Certificate of Incorporation to verify there are no conflicting provisions (as the Certificate supersedes Bylaws under corporate law).

Step 3: Formal Execution (Wet Ink or E-Signature)

  1. Digital Execution: If using Adobe Sign or DocuSign, set the fields to require digital certificate-backed signatures with a cryptographic timestamp and complete audit log.
  2. Physical Execution: Print the execution page, sign in blue ink, write the execution date, and scan at a minimum of 300 DPI into PDF format.

Step 4: Maintenance in Corporate Records & Minute Book

  • Do Not File with the State: Corporate bylaws are private internal operational instruments and are not filed with the Secretary of State.
  • Corporate Minute Book: Upload the executed, certified Bylaws into the permanent electronic minute book (e.g., Carta, Clerky, or encrypted corporate legal drive) and insert a physical copy into the permanent corporate binder kept at the principal executive office.
  • Bank & Regulatory Compliance: Retain a certified PDF copy for banking institutions, institutional investors, venture capital due diligence, and tax authorities requiring certified proof of corporate governance.
