ARTICLE I: OFFICES

The registered office of the Corporation within the State of [State of Incorporation] shall be maintained at [Registered Agent Street Address, City, State, Zip Code]. Section 1.2: Principal Executive Office

The Board is granted full power and authority to change said principal executive office from one location to another, whether within or outside the State of [State of Incorporation].

Section 1.3: Other Offices

The Corporation may establish and maintain such branch, subordinate, or regional offices at any location or locations, domestic or foreign, as the business of the Corporation may require and as the Board may determine from time to time.

ARTICLE II: STOCKHOLDERS

Section 2.1: Annual Meetings

An annual meeting of the stockholders shall be held each calendar year on such date, at such hour, and at such location, if any, as shall be designated by resolution of the Board. At each annual meeting, the stockholders shall elect directors to succeed those whose terms expire and transact such other corporate business as may properly be brought before the meeting pursuant to these Bylaws.

Section 2.2: Special Meetings

Unless otherwise provided by statute or the Certificate of Incorporation, special meetings of the stockholders may be called at any time exclusively by: (a) the Chairperson of the Board; (b) the Chief Executive Officer; (c) the President; or (d) the Board pursuant to a resolution adopted by a majority of the total number of authorized directors (whether or not there exist any vacancies). Stockholders shall not be entitled to call a special meeting unless specifically authorized by the Certificate of Incorporation. Business transacted at any special meeting shall be strictly confined to the purposes stated in the notice of the meeting.

Section 2.3: Notice of Stockholder Meetings

Written, printed, or electronic notice stating the place, if any, date, and hour of the meeting, the means of remote communications, if any, by which stockholders and proxy holders may be deemed to be present in person and vote at such meeting, the record date for determining the stockholders entitled to vote at the meeting (if such date is different from the record date for determining stockholders entitled to notice of the meeting), and, in the case of a special meeting, the purpose or purposes for which the meeting is called, shall be delivered not less than ten (10) nor more than sixty (60) days before the date of the meeting to each stockholder of record entitled to vote at such meeting.

Section 2.4: Quorum

Except as otherwise provided by law, the Certificate of Incorporation, or these Bylaws, the holders of a majority in voting power of the capital stock issued, outstanding, and entitled to vote thereat, present in person or represented by proxy, shall constitute a quorum for the transaction of business at all meetings of stockholders. If a quorum is not present or represented at any meeting of stockholders, the chairperson of the meeting or the holders of a majority of the voting power of the shares present in person or represented by proxy may adjourn the meeting from time to time until a quorum is obtained.

Section 2.5: Voting Entitlement and Proxies

Except as otherwise provided by statute or the Certificate of Incorporation, each stockholder of record shall be entitled to one (1) vote for each share of capital stock having voting power held by such stockholder on the record date. Each stockholder entitled to vote at a meeting of stockholders may authorize another person or persons to act for such stockholder by proxy, executed in writing or transmitted by valid electronic transmission, provided that no proxy shall be voted or acted upon after three (3) years from its date unless the proxy provides for a longer period.

Section 2.6: Vote Required

When a quorum is present at any meeting, the vote of the holders of a majority in voting power of the shares present in person or represented by proxy and entitled to vote on the subject matter shall decide any question brought before such meeting, unless the question is one upon which, by express provision of applicable law, the Certificate of Incorporation, or these Bylaws, a different or higher vote is required, in which case such express provision shall govern. Directors shall be elected by a plurality of the votes cast by the holders of shares present in person or represented by proxy and entitled to vote on the election of directors at any such meeting.

Section 2.7: Stockholder Action by Written Consent

Unless otherwise restricted by the Certificate of Incorporation, any action required or permitted to be taken at any annual or special meeting of stockholders may be taken without a meeting, without prior notice, and without a vote, if a consent or consents in writing or by electronic transmission, setting forth the action so taken, shall be signed by the holders of outstanding stock having not less than the minimum number of votes that would be necessary to authorize or take such action at a meeting at which all shares entitled to vote thereon were present and voted. Prompt notice of the taking of corporate action without a meeting by less than unanimous written consent shall be given to those stockholders who have not consented in writing or electronic transmission.

Section 2.8: Remote Communication

If authorized by the Board in its sole discretion, and subject to such guidelines and procedures as the Board may adopt, stockholders and proxyholders not physically present at a meeting of stockholders may, by means of remote communication: (a) participate in a meeting of stockholders; and (b) be deemed present in person and vote at a meeting of stockholders, provided that the Corporation implements reasonable measures to verify that each person deemed present and permitted to vote at the meeting by means of remote communication is a stockholder or proxyholder.

ARTICLE III: BOARD OF DIRECTORS

Section 3.1: General Powers and Fiduciary Authority

The business and affairs of the Corporation shall be managed by or under the direction of the Board. The Board may exercise all such powers of the Corporation and do all such lawful acts and things as are not by statute or by the Certificate of Incorporation or by these Bylaws directed or required to be exercised or done by the stockholders exclusively.

Section 3.2: Number, Tenure, and Qualifications

The authorized number of directors constituting the Board shall be determined exclusively by resolution of the Board, provided that the initial Board shall consist of [Number, e.g., 3] members. Each director shall hold office until the next annual meeting of stockholders and until such director's successor is duly elected and qualified, or until such director's earlier death, resignation, disqualification, or removal. Directors need not be residents of the State of [State of Incorporation] nor stockholders of the Corporation.

Section 3.3: Regular Meetings

Regular meetings of the Board may be held without notice at such time and at such place as shall from time to time be determined by resolution of the Board.

Section 3.4: Special Meetings

Special meetings of the Board may be called by the Chairperson of the Board, the Chief Executive Officer, the President, or by any two (2) or more directors. Notice of the time and place of special meetings shall be delivered to each director personally or sent by mail, courier, or electronic transmission to the director's address or electronic destination appearing on the records of the Corporation at least twenty-four (24) hours before the date and time of the meeting.

Section 3.5: Quorum and Action of the Board

At all meetings of the Board, a majority of the total number of authorized directors shall constitute a quorum for the transaction of business. Except as otherwise provided by applicable law, the Certificate of Incorporation, or these Bylaws, the act of a majority of the directors present at any meeting at which there is a quorum shall be the act of the Board. If a quorum is not present at any meeting of the Board, the directors present may adjourn the meeting from time to time, without notice other than announcement at the meeting, until a quorum is present.

Section 3.6: Action Without a Meeting

Any action required or permitted to be taken at any meeting of the Board or of any committee thereof may be taken without a meeting if all members of the Board or committee, as the case may be, consent thereto in writing or by electronic transmission, and the writing or writings or electronic transmissions are filed with the minutes of proceedings of the Board or committee.

Section 3.7: Telephonic and Remote Meetings

Members of the Board, or any committee designated by the Board, may participate in a meeting of the Board, or any committee, by means of conference telephone, video conference, or other communications equipment by means of which all persons participating in the meeting can hear each other, and participation in a meeting pursuant to this Section shall constitute presence in person at the meeting.

Section 3.8: Resignations

Any director may resign at any time by delivering written or electronic notice to the Corporation, directed to the Chairperson of the Board, the Chief Executive Officer, the President, or the Secretary. Such resignation shall take effect upon receipt thereof or at such later date as is specified in the notice. The acceptance of such resignation shall not be necessary to make it effective.

Section 3.9: Removal

Unless otherwise restricted by the Certificate of Incorporation or applicable statute, any director or the entire Board may be removed from office at any time, with or without cause, by the affirmative vote of the holders of a majority of the voting power of the issued and outstanding shares entitled to vote in the election of directors.

Section 3.10: Vacancies

Vacancies and newly created directorships resulting from any increase in the authorized number of directors may be filled exclusively by a majority of the directors then in office, though less than a quorum, or by a sole remaining director. Each director so chosen shall hold office until the next annual election and until a successor is duly elected and qualified, or until earlier death, resignation, or removal.

Section 3.11: Committees of the Board

The Board may designate one (1) or more committees, each committee to consist of one (1) or more of the directors of the Corporation. The Board may designate one (1) or more directors as alternate members of any committee. Any such committee, to the extent provided in the resolution of the Board or in these Bylaws, shall have and may exercise all the powers and authority of the Board in the management of the business and affairs of the Corporation, but no such committee shall have the power or authority in reference to the following matters: (a) approving or adopting, or recommending to the stockholders, any action or matter expressly required by applicable law to be submitted to stockholders for approval; or (b) adopting, amending, or repealing any bylaw of the Corporation.

Section 3.12: Director Compensation

Directors, as such, may receive such compensation for their services, and such reimbursement of expenses, as shall be determined by resolution of the Board. No such payment shall preclude any director from serving the Corporation in any other capacity and receiving compensation therefor.

ARTICLE IV: OFFICERS

The executive officers of the Corporation shall be chosen by the Board and shall include a Chief Executive Officer, a President, a Chief Financial Officer (or Treasurer), and a Secretary. The CEO shall see that all orders and resolutions of the Board are carried into effect.

Section 4.6: President

The President shall act in a general executive capacity and, in the absence or disability of the CEO (or if no CEO is designated), shall perform the duties and exercise the powers of the CEO. The President shall execute bonds, mortgages, deeds, and other contracts requiring a seal, under the seal of the Corporation, except where the signing and execution thereof shall be expressly delegated by the Board to some other officer or agent of the Corporation.

Section 4.7: Secretary

The Secretary shall attend all meetings of the Board and all meetings of the stockholders and record all votes and the minutes of all proceedings in a book to be kept for that purpose, and shall perform like duties for any standing committee when required. The Secretary shall give, or cause to be given, notice of all meetings of stockholders and special meetings of the Board. The Secretary shall keep in safe custody the seal of the Corporation and, when authorized by the Board, affix the same to any instrument requiring it.

Section 4.8: Chief Financial Officer

The Chief Financial Officer ("CFO") shall have custody of the corporate funds and securities, keep full and accurate accounts of receipts and disbursements in books belonging to the Corporation, deposit all moneys and other valuable effects in the name and to the credit of the Corporation in such depositories as may be designated by the Board, and disburse the funds of the Corporation as may be ordered by the Board.

Section 4.9: Officer Duties, Intellectual Property, and Confidentiality

Each officer of the Corporation shall owe an unqualified duty of loyalty, care, and good faith to the Corporation. Any discovery, invention, process, software, patent, trademark, or copyrightable work developed, created, or reduced to practice by any officer during the term of their service that relates to the current or demonstrably anticipated business of the Corporation, or results from work performed using corporate resources, shall be deemed the sole and exclusive property of the Corporation under the doctrine of work-made-for-hire and equitable assignment principles. Furthermore, every officer shall preserve in confidence all non-public, proprietary information concerning the Corporation's operations, finances, governance, intellectual property, and trade secrets, and shall not disclose or use such information except exclusively in the course of corporate duties.

Section 4.10: Officer Compensation

The salaries and overall compensation arrangements of all executive officers of the Corporation shall be fixed from time to time by the Board or by a designated committee thereof.

ARTICLE V: CAPITAL STOCK

Section 5.1: Certificates Representing Shares

Shares of the Corporation's stock may be certified or uncertificated, as provided under applicable law. Every holder of stock represented by certificates shall be entitled to have a certificate signed by or in the name of the Corporation by any two authorized officers, including the Chairperson, President, Vice President, Secretary, or Treasurer, certifying the number of shares owned by such stockholder in the Corporation. Any or all signatures on any certificate may be a facsimile.

Section 5.2: Uncertificated Shares

The Board may provide by resolution that some or all of any or all classes or series of the Corporation's stock shall be uncertificated shares. Within a reasonable time after the issuance or transfer of uncertificated stock, the Corporation shall send to the registered owner thereof a written notice containing the information required by applicable law to be set forth or stated on certificates.

Section 5.3: Stock Ledger and Record of Transfer

The Corporation or its designated transfer agent shall maintain a stock ledger containing the names and addresses of all stockholders, the number and class of shares held by each, and the dates when they respectively became the owners of record. Transfers of stock shall be made on the books of the Corporation only by the record holder thereof or by an attorney lawfully constituted in writing, and upon surrender of the certificate or certificates for such shares properly endorsed, or upon presentation of proper transfer instructions from the registered owner of uncertificated shares.

Section 5.4: Lost, Stolen, or Destroyed Certificates

The Corporation may issue a new certificate of stock or uncertificated shares in place of any certificate previously issued by it, alleged to have been lost, stolen, or destroyed, upon the making of an affidavit of that fact by the person claiming the certificate to be lost, stolen, or destroyed. When authorizing such issue of a new certificate or uncertificated shares, the Board may, in its discretion and as a condition precedent to the issuance thereof, require the owner of such lost, stolen, or destroyed certificate to give the Corporation a bond in such sum as it may direct as indemnity against any claim that may be made against the Corporation with respect to the certificate alleged to have been lost, stolen, or destroyed.

Section 5.5: Fixing Record Date

In order that the Corporation may determine the stockholders entitled to notice of or to vote at any meeting of stockholders or any adjournment thereof, or entitled to receive payment of any dividend or other distribution, or entitled to exercise any rights in respect of any change, conversion, or exchange of stock, or for the purpose of any other lawful action, the Board may fix, in advance, a record date, which shall not precede the date upon which the resolution fixing the record date is adopted, and which record date: (a) in the case of determination of stockholders entitled to vote at any meeting of stockholders, shall not be more than sixty (60) nor less than ten (10) days before the date of such meeting; and (b) in the case of any other lawful action, shall not be more than sixty (60) days prior to such action.

Section 6.2: Prepayment of Expenses

The Corporation shall advance to any Indemnitee the expenses (including attorneys' fees) incurred by the Indemnitee in defending any Proceeding prior to its final disposition; provided, however, that, to the extent required by law, such payment of expenses in advance of the final disposition of the Proceeding shall be made only upon receipt of an undertaking by the Indemnitee to repay all amounts advanced if it should be ultimately determined that the Indemnitee is not entitled to be indemnified under this Article VI or otherwise.

Section 6.3: Non-Exclusivity of Rights

The rights to indemnification and to the advancement of expenses conferred in this Article VI shall not be exclusive of any other right which any person may have or hereafter acquire under any statute, the Certificate of Incorporation, these Bylaws, agreement, vote of stockholders or disinterested directors, or otherwise.

Section 6.4: Insurance

The Corporation may purchase and maintain insurance on behalf of any person who is or was a director, officer, employee, or agent of the Corporation, or is or was serving at the request of the Corporation as a director, officer, employee, or agent of another corporation, partnership, joint venture, trust, or other enterprise against any liability asserted against such person and incurred by such person in any such capacity, or arising out of such person's status as such, whether or not the Corporation would have the power to indemnify such person against such liability under the provisions of applicable law.

Section 6.5: Contractual Nature and Survival

The provisions of this Article VI shall be deemed to be a contract between the Corporation and each director and officer who serves in such capacity at any time while this Article VI is in effect, and any repeal or modification of this Article VI shall not adversely affect any right or protection of a director or officer existing at the time of such repeal or modification with respect to any acts or omissions occurring prior to such repeal or modification.

ARTICLE VII: CORPORATE TRANSACTIONS, CONTRACTS, AND FINANCES

Section 7.1: Execution of Corporate Contracts

The Board may authorize any officer or officers, agent or agents, to enter into any contract or execute and deliver any instrument in the name of and on behalf of the Corporation, and such authority may be general or confined to specific instances. Unless so authorized by the Board, no officer, agent, or employee shall have any power or authority to bind the Corporation by any contract or engagement or to pledge its credit or to render it liable pecuniarily for any purpose or in any amount.

Section 7.2: Banking and Financial Disbursals

All checks, drafts, loans, or other orders for the payment of money, notes, or other evidences of indebtedness issued in the name of the Corporation shall be signed by such officer or officers, agent or agents of the Corporation and in such manner as shall from time to time be determined by written resolution of the Board. ARTICLE VIII: GENERAL PROVISIONS & NOTICES

Section 8.1: Form and Delivery of Notice

Without limiting the manner by which notice otherwise may be given effectively to stockholders or directors, any notice to stockholders or directors given by the Corporation under any provision of these Bylaws shall be effective if given by a form of electronic transmission consented to by the stockholder or director to whom the notice is given. Notice by mail shall be deemed to have been given when deposited in the United States mail, postage prepaid, directed to the stockholder or director at such person's address as it appears on the records of the Corporation. Notice by electronic transmission shall be deemed given: (a) if by facsimile, when directed to a number at which the recipient has consented to receive notice; (b) if by electronic mail, when directed to an electronic mail address at which the recipient has consented to receive notice; and (c) if by any other form of electronic transmission, when directed to the recipient.

Section 8.2: Waiver of Notice

Whenever notice is required to be given under any provision of applicable law, the Certificate of Incorporation, or these Bylaws, a written waiver thereof, signed by the person entitled to notice, or a waiver by electronic transmission by the person entitled to notice, whether before or after the time stated therein, shall be deemed equivalent to notice. Attendance of a person at a meeting shall constitute a waiver of notice of such meeting, except when the person attends a meeting for the express purpose of objecting, at the beginning of the meeting, to the transaction of any business because the meeting is not lawfully called or convened.

Section 8.3: Corporate Seal

The Corporation may have a corporate seal, which shall have inscribed thereon the name of the Corporation, the year of its organization, and the words "Corporate Seal, [State of Incorporation]." The seal may be used by causing it or a facsimile thereof to be impressed or affixed or reproduced or otherwise.

ARTICLE IX: DISPUTE RESOLUTION, FORUM SELECTION & GOVERNING LAW

Section 9.1: Exclusive Forum Selection

Unless the Corporation consents in writing to the selection of an alternative forum, the Court of Chancery of the State of [State of Incorporation] (or, if the Court of Chancery does not have jurisdiction, another state court located within the State of [State of Incorporation] or, if no state court located within the State of [State of Incorporation] has jurisdiction, the federal district court for the District of [State of Incorporation]) shall, to the fullest extent permitted by law, be the sole and exclusive forum for: (a) any derivative action or proceeding brought on behalf of the Corporation; (b) any action asserting a claim of breach of a fiduciary duty owed by any current or former director, officer, other employee, or stockholder of the Corporation to the Corporation or to the Corporation's stockholders; (c) any action asserting a claim against the Corporation or any director, officer, or other employee of the Corporation arising pursuant to any provision of the applicable Corporation Law of the State of [State of Incorporation], the Certificate of Incorporation, or these Bylaws; or (d) any action asserting a claim against the Corporation or any director, officer, or other employee of the Corporation governed by the internal affairs doctrine.

Section 9.2: Severability

If any provision or provisions of these Bylaws shall be held to be invalid, illegal, or unenforceable as applied to any person or entity or circumstance for any reason whatsoever, then, to the fullest extent permitted by law, the validity, legality, and enforceability of such provisions in any other circumstance and of the remaining provisions of these Bylaws (including, without limitation, each portion of any paragraph of these Bylaws containing any such provision held to be invalid, illegal, or unenforceable, that is not itself held to be invalid, illegal, or unenforceable) and the application of such provision to other persons or entities and circumstances shall not in any way be affected or impaired thereby.

ARTICLE X: AMENDMENTS

Section 10.1: Amendment by the Board of Directors

These Bylaws may be altered, amended, or repealed, or new bylaws may be adopted, by the affirmative vote of a majority of the authorized number of directors then in office at any regular or special meeting of the Board, provided that notice of such proposed amendment, alteration, repeal, or adoption is contained in the notice of such meeting or that all directors waive notice thereof.

Section 10.2: Amendment by the Stockholders

In addition to the power of the Board to alter, amend, or repeal these Bylaws, the stockholders shall also have the power to alter, amend, or repeal these Bylaws or adopt new bylaws by the affirmative vote of the holders of a majority of the voting power of all issued, outstanding, and entitled-to-vote shares of capital stock of the Corporation, voting together as a single class.

STEP-BY-STEP EXECUTION & FILING GUIDE

Follow this operational protocol to formalize, execute, and integrate these Corporate Bylaws into the Corporation’s institutional minute book:

  1. Software Formatting & Field Customization:

    • Open this document within a text editor, Microsoft Word, or Google Docs.
    • Use the Find & Replace function to replace all bracketed items (e.g., [Corporation Full Legal Name], [State of Incorporation], [Registered Agent Street Address], [Effective Date]). Ensure all capitalization and corporate naming conventions strictly mirror the Certificate of Incorporation filed with the state authorities.
  2. Verification of Authority & Initial Resolutions:

    • Verify that the initial Board of Directors was appointed by the Sole Incorporator via an "Action of Sole Incorporator" or that the Incorporator adopts these initial Bylaws prior to the election of the Board.
    • Draft and append a contemporaneous Board Resolution: "RESOLVED, that the Bylaws presented to the Board of Directors are hereby approved, ratified, and adopted as the Bylaws of this Corporation."
  3. Digital and Physical Execution:

    • Digital Execution (DocuSign, Adobe Sign, etc.): Set routing order to transmit the document to the Corporate Secretary first, followed by the Chief Executive Officer or Incorporator. Ensure the audit certificate includes verified email, cryptographic timestamps, and IP logs.
    • Physical Wet-Ink Execution: If executed in hard copy, the Corporate Secretary must sign in black ink, and the corporate seal (if ordered) should be affixed adjacent to the signature block.
  4. Internal Record Retention & Filing (Do NOT File with Secretary of State):

    • Crucial Filing Rule: Corporate Bylaws are internal governance documents; they are NOT filed with the Secretary of State or state commercial divisions (unlike the Certificate of Incorporation).
    • Place the original, fully executed Bylaws, along with the Certificate of Incorporation and organizational resolutions, into the Corporation’s official Corporate Minute Book.
    • Upload a searchable, high-resolution PDF copy to the Corporation's secure, restricted-access corporate records repository (e.g., virtual data room or secure cloud drive) accessible by external auditors, corporate counsel, and primary institutional investors during legal due diligence. Ensure retention throughout the entire corporate existence pursuant to corporate document retention schedules.
