This Financial Projection Reporting Mandate and Acknowledgment ("Agreement") is entered into by and between:

Definitions:

  • Agreement: This "Financial Projection Reporting Mandate and Acknowledgment" document.
  • Cash Flow Forecast(s) (or Forecasts): Detailed written or electronic projections provided by Contractor outlining anticipated cash inflows and outflows related to the Work.
  • Reporting Period: The specific duration (e.g., weekly, monthly, quarterly) covered by a single Cash Flow Forecast.
  • Submission Date: The specified deadline for Contractor to provide a Cash Flow Forecast to Client.
  • Work: All services, deliverables, and obligations performed or undertaken by Contractor under the Master Service Agreement (MSA) or any Statement of Work (SOW) between the Parties.
  • Underlying Agreement: Refers collectively to the Master Service Agreement, any Statements of Work, or other primary contractual agreements governing the relationship between Client and Contractor.

OPERATIVE CLAUSES & TERMS:

  1. Purpose of Forecasts: The primary purpose of the Contractor providing Cash Flow Forecasts is to facilitate mutual financial planning, resource allocation, and risk management related to the Work, ensuring Client has visibility into Contractor's projected financial liquidity and ability to meet its obligations under the Underlying Agreement. Forecasts are not for the purpose of altering payment terms or financial obligations unless a separate written amendment is duly executed.

  2. Scope of Cash Flow Forecasts: Each Forecast shall provide a detailed projection, covering a [e.g., 12-week rolling / 6-month fixed] horizon, broken down into [e.g., weekly / monthly] increments. At minimum, Forecasts shall include:

    • 2.1. Inflows:
      • Projected revenue from Client for the Work, clearly referencing specific invoices or milestones.

      • Projected labor costs (salaries, wages, benefits) directly attributable to the Work.

      • Projected operational overheads (rent, utilities, software, G&A) allocated to or impacting the Work.
      • Projected capital expenditures necessary for the execution of the Work.
    • 2.3. Net Cash Position: A calculation of anticipated net cash flow and ending cash balance for each Reporting Period.
    • 2.4. Key Assumptions: A clear, itemized list of significant assumptions underlying the Forecast (e.g., project timelines, payment receipt dates, resource availability, market conditions, foreign exchange rates).
  3. Format and Content Requirements:

    • 3.1. Format: All Forecasts shall be submitted in [e.g., Microsoft Excel (.xlsx)] format, utilizing the template provided in Appendix A, or if not provided, adhering strictly to the detailed requirements herein.
    • 3.2. Granularity: Financial data must be presented at the [e.g., weekly / monthly] level as specified in Section 2.

  4. Submission Schedule:

  6. Updates and Revisions: In the event of a significant change to Contractor's financial outlook or project parameters that materially impacts a previously submitted Forecast (e.g., a variance exceeding [e.g., 10%] in projected net cash flow for any Reporting Period), Contractor shall provide an updated Forecast within [Number] business days of becoming aware of such material change, along with an explanation of the variance.

  7. Client's Review and Feedback: Client shall have the right to review all submitted Forecasts, request clarification, and provide feedback to Contractor. Such review, feedback, or acceptance of a Forecast by Client shall not be construed as an approval of Contractor's underlying financial decisions, a guarantee of project success, or a waiver of any rights of Client under the Underlying Agreement.

  8. No Financial Obligation or Guarantee: The submission and review of Forecasts by Client shall in no way:

    • 8.1. Obligate Client to pay any amounts not otherwise due under the terms of the Underlying Agreement.
    • 8.2. Alter the payment terms, schedules, or conditions set forth in the Underlying Agreement.
    • 8.3. Constitute an approval or endorsement of Contractor's costs, expenses, or financial strategy.
    • 8.4. Create any express or implied warranty or guarantee of project funding, continuity, or success by Client.
  9. Confidentiality: All Forecasts and any related financial information exchanged between the Parties pursuant to this Agreement shall be considered "Confidential Information" and subject to the confidentiality provisions of the Underlying Agreement. Both Parties agree to maintain the strict confidentiality of such information and use it solely for the purposes outlined in this Agreement.

  10. Consequences of Non-Compliance: Failure by Contractor to submit timely, complete, or reasonably accurate Forecasts as required by this Agreement may, at Client's sole discretion, constitute a material breach of the Underlying Agreement. Client reserves the right to [e.g., withhold future payments until compliance is achieved / request a remediation plan / invoke dispute resolution procedures] as provided in the Underlying Agreement.

  11. Integration with Underlying Agreement: This Agreement shall be deemed an addendum to and an integral part of the Underlying Agreement between the Parties. In the event of any conflict between the terms of this Agreement and the Underlying Agreement regarding financial projections and reporting, this Agreement shall prevail specifically on matters of financial forecasting requirements, while other contractual terms shall be governed by the Underlying Agreement.
