12. STEP-BY-STEP EXECUTION AND FILING GUIDE

  1. Drafting: Open this template in a word processor. Use the “Find and Replace” function to identify all bracketed text (e.g., [Company Full Legal Name]) and input the relevant data points.
  2. Review: Ensure the "Scope of Services" (Exhibit A) is exhaustive. Ambiguity here is the leading cause of litigation in consulting contracts.
  3. Signatory Authority: Before signing, verify that the person signing for the other party has the actual or apparent authority to bind that legal entity. If the counterparty is a corporation, ensure the title is at the Director level or higher.
  4. Digital Execution: Use a secure platform (DocuSign, Adobe Sign, or HelloSign). These platforms provide an audit trail of the IP address and email verification, which is critical for enforcing the contract in court.
  5. Record Retention: Save a finalized PDF/A version of the signed agreement in a centralized legal repository. Maintain the executed copy for a minimum of seven (7) years following the expiration of the agreement to satisfy tax and statute of limitations requirements.
