1. PARTIES AND RECITALS
This Master Consulting Services Agreement (the "Agreement") is entered into as of the Effective Date by and between:

Each SOW shall incorporate the terms of this Agreement by reference. In the event of a conflict between the terms of this Agreement and an SOW, this Agreement shall prevail unless the SOW explicitly identifies the conflicting clause and states the parties' intent to supersede it for that specific engagement.
3. COMPENSATION AND PAYMENT TERMS
3.1 Fees. Client shall pay Consultant for the Services as set forth in the applicable SOW at the rate of [Amount in USD] per [hour/project/month]. 3.2 Invoicing. Consultant shall submit monthly invoices to Client. 3.3 Payment. Payment shall be due within thirty (30) days of the invoice date ("Net 30"). 3.4 Late Payments. Any undisputed amounts not paid when due shall accrue interest at the rate of 1.5% per month, or the maximum rate permitted by law, whichever is less. 3.5 Expenses. Either party may terminate this Agreement immediately upon written notice if the other party breaches any material term and fails to cure such breach within ten (10) days of receiving written notice specifying the breach. 4.4 Effect of Termination. Upon termination, Client shall pay Consultant for all Services rendered and expenses incurred through the effective date of termination.
5. INTELLECTUAL PROPERTY OWNERSHIP
All deliverables, reports, software, and other materials created by Consultant specifically for the Client under this Agreement ("Work Product") shall be deemed "work made for hire" to the extent permitted by law. To the extent any Work Product does not qualify as work made for hire, Consultant hereby assigns to Client all right, title, and interest in and to the Work Product, excluding any pre-existing intellectual property of the Consultant used in the performance of the Services.
6. MUTUAL CONFIDENTIALITY
"Confidential Information" means any non-public business or technical information disclosed by one party to the other. Receiving party shall: (a) protect the disclosing party’s Confidential Information with the same degree of care it uses for its own similar information; and (b) use such information only to perform its obligations under this Agreement. Obligations of confidentiality survive for three (3) years after the termination of this Agreement.
7. REPRESENTATIONS AND WARRANTIES
Consultant represents and warrants that: (a) it has the full right and authority to enter into this Agreement; (b) the Services will be performed in a professional and workmanlike manner consistent with industry standards; and (c) the Services do not infringe upon the intellectual property rights of any third party.
8. LIMITATION OF LIABILITY AND INDEMNIFICATION
8.1 Limitation. Except for breaches of confidentiality or gross negligence, neither party shall be liable for any indirect, incidental, or consequential damages. The total aggregate liability of either party shall not exceed the total fees paid by Client to Consultant in the twelve (12) months preceding the claim. 8.2 Indemnification. Each party shall indemnify and hold the other party harmless from and against any third-party claims, losses, or damages arising out of the indemnifying party’s gross negligence or willful misconduct.

- Drafting: Replace all bracketed
[ ]information. Ensure the "Scope of Services" is drafted with sufficient specificity to avoid "scope creep." - Verification of Authority: Before signing, confirm the signatory has "Bidding and Contracting Authority" under the company’s internal corporate bylaws or an active Power of Attorney.
- Digital Execution: Utilize a secure platform (e.g., DocuSign, Adobe Sign, or HelloSign) to maintain a complete audit trail (IP address, timestamp, email verification) of the signing process.
- Exhibit Attachments: Always attach the specific "Statement of Work" as an exhibit. Do not rely on oral agreements for project deliverables.
- Record Retention: Store a fully executed PDF copy in a secure, encrypted cloud repository (e.g., SharePoint, Box, or Google Drive) with restricted access rights. Retain the contract for at least seven (7) years following the termination of the engagement for tax and audit purposes.
