3. OPERATIVE CLAUSES & TERMS

1. Grant of Rights

Participant hereby irrevocably grants to the Company, its legal representatives, licensees, successors, and assigns, the absolute, worldwide, perpetual, royalty-free, and unrestricted right and permission to record, capture, photograph, digitize, broadcast, exhibit, distribute, edit, alter, and otherwise use Participant’s name, likeness, voice, image, performance, biographical material, and any statements made by or attributed to Participant (collectively, the "Likeness"), in whole or in part, in any and all media formats now known or hereafter devised, including without limitation digital, print, television, radio, and all social media channels (e.g., Instagram, TikTok, LinkedIn, YouTube, Facebook, X) (the "Media").

2. Scope of Commercial & Social Media Use

Participant acknowledges and agrees that the Media may be used by the Company for promotional, commercial, advertising, educational, and public relations purposes. The Company expressly reserves the right to overlay text, apply digital filters, crop, composite, adapt, and modify the Media at its sole discretion, without prior inspection or approval by Participant. Participant waives any right to inspect or approve the finished product, including written or electronic copy, wherein Participant’s Likeness appears.

3. Release of Claims & Covenant Not to Sue

Participant, on behalf of themselves, their heirs, executors, administrators, and assigns, hereby knowingly and intentionally releases, acquits, and forever discharges the Company, its officers, directors, employees, agents, licensees, and assigns from any and all claims, demands, liabilities, actions, causes of action, damages, costs, or expenses (including reasonable attorneys' fees) of any kind or nature whatsoever, whether known or unknown, arising out of or in connection with the use of the Media or Likeness, including without limitation any claims for defamation, invasion of privacy, right of publicity, copyright infringement, or economic loss.

4. Ownership and Intellectual Property

Participant acknowledges and agrees that all right, title, and interest (including all copyrights and moral rights) in and to the Media, recordings, and derivative works created by or for the Company shall be the sole and exclusive property of the Company. Participant retains no ownership rights in the final social media assets or promotional materials and shall not use, license, or exploit the Media without the express prior written consent of the Company.

5. Compensation Waiver

Participant explicitly acknowledges that they shall receive no financial compensation, royalties, residuals, or other monetary consideration, now or in the future, in exchange for the grant of rights and releases contained herein. The receipt of adequate consideration is hereby acknowledged via participation in the underlying event, program, or commercial engagement.

6. Representations and Warranties

Participant represents and warrants that:

1. They are of legal age ([18] years or older) and possess full legal capacity to execute this Agreement, or are executing this Agreement as the parent or legal guardian of a participating minor.
2. They have not granted exclusive rights to their Likeness to any third party that would conflict with the terms of this Agreement.
3. The execution of this Agreement does not violate the terms of any other agreement to which Participant is a party.

7. Governing Law and Severability

This Agreement shall be construed, interpreted, and governed by the laws of the State of [State], without regard to its conflict of laws principles. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
