NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree to the operative provisions set forth below.
3. COMPLETE OPERATIVE PROVISIONS
SECTION 1: NATURE AND PURPOSE OF TELEHEALTH SERVICES
1.1 Definition: Telehealth Services involve the use of secure electronic information, communication technologies, and remote platforms by the Provider to facilitate health care services, including assessment, diagnosis, consultation, treatment, and education regarding a Patient’s clinical condition.
1.2 Technological Modalities: Telehealth Services may include real-time video conferencing, store-and-forward digital images, secure text messaging, and asynchronous audio communications.
1.3 Clinical Equivalency & Limitations: The Patient acknowledges that while Telehealth Services afford convenient access to healthcare professionals, such services may differ from in-person clinical encounters. The Provider makes no guarantees or assurances regarding the final diagnosis or treatment outcome derived exclusively through Telehealth Services.
SECTION 2: RISKS, BENEFITS, AND UNFORESEEN CONDITIONS
2.1 Anticipated Benefits: Enhanced accessibility to clinical expertise, reduced travel time and associated costs, and expedited evaluation of acute or chronic conditions.
2.2 Inherent Risks: The Patient acknowledges potential risks associated with electronic health modalities, which include, but are not limited to:
- Technological Disruptions: Failures, interruptions, or delays in electronic communication equipment, software, or network connectivity resulting in distorted transmissions or abrupt termination of the session.
- Information Security Vulnerabilities: Despite the implementation of administrative, physical, and technical safeguards compliant with federal standards, unauthorized electronic intrusions or data breaches may occur.
- Clinical Limitations: The absence of a physical examination, vital sign acquisition, or immediate diagnostic testing may restrict the Provider's ability to detect certain conditions, potentially necessitating an in-person referral.
SECTION 3: PATIENT RIGHTS, PRIVACY, AND CONFIDENTIALITY
3.1 Privacy Protections: Existing federal and state laws governing the privacy, security, and confidentiality of health information apply to Telehealth Services. All electronic transmission of patient data shall be conducted via encrypted, HIPAA-compliant platforms.
3.2 Right to Withhold or Withdraw Consent: The Patient retains the absolute right to withhold or withdraw consent to the use of Telehealth Services at any time prior to or during the course of treatment, without affecting the right to future care or treatment, and without compromising any contractual or legal insurance entitlements. Withdrawal of consent must be communicated explicitly to the Provider in writing or via verbal confirmation recorded in the clinical record.
3.3 Record Keeping: A permanent medical record documenting the Telehealth Services rendered shall be maintained by the Provider and accessible to the Patient in accordance with applicable medical records statutes.
SECTION 4: EMERGENCY PROTOCOLS AND GEOGRAPHIC PARAMETERS
4.1 Physical Location Disclosure: The Patient certifies that they are physically located within the jurisdiction of [Jurisdiction, e.g., State of New York] at the time of each Telehealth session, to ensure Provider licensure compliance.
4.2 Emergency Protocol: Telehealth Services are unsuited for emergency medical conditions. In the event of a medical emergency, acute crisis, or life-threatening situation during a Telehealth session, the Patient is instructed to immediately disconnect, call 911, or proceed to the nearest emergency department.
4.3 Emergency Contact Designation: The Patient designates the following individual as their local emergency contact:
- Name: [Emergency Contact Name]
- Relationship: [Relationship to Patient]
- Telephone Number: [Emergency Contact Phone Number]
SECTION 5: FINANCIAL TERMS AND INSURANCE ASSIGNMENT
5.1 Fee Structure: The Patient agrees to be financially responsible for all charges associated with Telehealth Services rendered by the Provider, pursuant to the Provider's standard fee schedule.
5.2 Insurance Coverage & Reimbursement: While many third-party payors and insurance providers cover Telehealth Services, the Patient is solely responsible for verifying coverage limitations, co-pays, co-insurance, and deductibles with their respective insurance carrier prior to service delivery.
SECTION 6: MISCELLANEOUS PROVISIONS
6.1 Governing Law: This Agreement shall be interpreted, construed, and enforced in accordance with the laws of the State of [Jurisdiction], without regard to its conflict of law principles.
6.2 Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
