SECTION 2: SUBSTANTIVE TERMS & OBLIGATIONS
2.1. Duty of Loyalty and Performance. The Covered Person shall at all times act with utmost good faith, loyalty, and fidelity toward the Company. The Covered Person shall dedicate their professional efforts to the advancement of the Company’s business objectives and shall refrain from engaging in any activity, enterprise, or employment that interferes with the proper performance of their duties or compromises the Company's commercial standing.
2.2. Mandatory Disclosure Obligations. (a) The Covered Person has an affirmative, ongoing legal duty to promptly disclose in writing any actual, potential, or perceived Conflict of Interest immediately upon becoming aware of such circumstance. (b) Disclosure must be made using the Company’s official Conflict of Interest Disclosure Form submitted to the [Chief Compliance Officer / General Counsel / Board of Directors]. (c) Annually, or upon structural changes in personal or financial holdings, the Covered Person shall execute a compliance attestation confirming adherence to the terms of this Policy.
2.3. Prohibition on Corporate Opportunities. (a) Covered Persons are strictly prohibited from taking personal advantage, or directing any third party to take advantage, of any Business Opportunity that is discovered through the use of Company position, resources, information, or property, unless the Company has formally declined to pursue such opportunity in writing. (b) Any diversion of a Corporate Opportunity in violation of this Section 2.3 shall be deemed a misappropriation of corporate assets and a direct breach of the duty of loyalty.
2.4. Gifts, Gratuities, and Entertainment. (a) Covered Persons shall not solicit, demand, accept, or receive any gift, gratuity, favor, entertainment, loan, or fee from any vendor, supplier, competitor, customer, or regulatory body that does business with or seeks to do business with the Company, if such item has a fair market value exceeding [Dollar Amount, e.g., $100.00], or if it is intended to or reasonably appears to influence official business judgment. SECTION 3: DEFAULT, TERMINATION, AND REMEDIES
3.1. Classification of Breach. Any failure by the Covered Person to disclose a known Conflict of Interest, any intentional circumvention of the provisions of this Policy, or any engagement in prohibited self-dealing shall constitute an immediate material breach of this Agreement and the underlying terms of employment or contractual engagement.
3.2. Notice of Default and Cure Period. (a) Upon the identification of a remediable material breach of this Policy, the Company shall provide the Covered Person with written notice specifying the nature of the default. (b) The Covered Person shall have a period of [thirty (30)] business days from the receipt of such notice to fully cure the default, divest the conflicting interest, or eliminate the underlying source of the Conflict of Interest to the reasonable satisfaction of the Company. (c) Notwithstanding the foregoing, if a breach is determined by the Company in its sole discretion to be willful, fraudulent, or incapable of cure, the Company may proceed with immediate termination pursuant to Section 3.3 without affording a cure period.
3.3. Legal Recourse and Remedies. In the event of an uncured material breach, or a willful violation of this Policy, the Company reserves all rights at law and in equity, including, but not limited to: (a) Immediate termination of employment, directorship, or contractual engagement for "Cause." (b) Immediate forfeiture, clawback, or cancellation of any unvested equity grants, bonuses, or incentive compensation directly tied to transactions tainted by the undisclosed Conflict of Interest. (c) Injunctive relief, specific performance, and equitable accounting to recover any secret profits, kickbacks, or illicit financial gains realized by the Covered Person. (d) Pursuit of civil damages for breach of fiduciary duty, corporate waste, and breach of contract.
