1. STATUTORY & LEGAL COMPLIANCE NOTICE

This document is a legally binding Commercial Quotation and Services Agreement. It is designed for general commercial application. Parties are advised that this template does not account for industry-specific regulatory requirements (e.g., HIPAA, GDPR, FINRA). Execution of this document constitutes an acknowledgment that the parties have reviewed these terms with independent legal counsel. The enforceability of these clauses is subject to the statutes and common law of the designated Governing Jurisdiction.

2. PARTIES & RECITALS

This Agreement is entered into by and between: Provider: [Company Full Legal Name], a corporation organized under the laws of [State], with its principal place of business at [Provider Address] ("Provider"). Client: [Client Full Legal Name], a corporation organized under the laws of [State], with its principal place of business at [Client Address] ("Client").

The parties hereby agree to the provision of services as detailed in the attached Scope of Work, subject to the following terms and conditions.

3. OPERATIVE CLAUSES

3.1 Scope of Services

Provider shall perform the services described in Exhibit A (the "Services"). Provider shall perform the Services in a professional, workmanlike manner, consistent with industry standards and in compliance with all applicable laws.

3.2 Compensation & Payment Terms

Client shall pay Provider the sum of [Amount in USD] (the "Fee"). Invoices shall be issued [Monthly/Upon Completion]. Payment is due within thirty (30) days of the invoice date. Late payments shall accrue interest at a rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower.

3.3 Term & Termination

This Agreement commences on the Effective Date and continues until completion of the Services, unless terminated earlier. Either party may terminate this Agreement upon thirty (30) days' written notice for convenience. In the event of a material breach, the non-breaching party may terminate this Agreement if the breach remains uncured for fifteen (15) days following written notice of said breach.

3.4 Intellectual Property

All deliverables created under this Agreement shall be considered "Work Made for Hire" to the extent permitted by law. Upon full payment of the Fees, all right, title, and interest in the deliverables shall vest in the Client. Provider retains ownership of its pre-existing intellectual property and methodology.

3.5 Confidentiality

The parties agree to hold all non-public, proprietary information ("Confidential Information") in strict confidence. Neither party shall disclose such information to third parties without prior written consent, except as required by law or to professional advisors under a duty of confidentiality.

3.6 Representations & Warranties

Each party represents that it has the full power and authority to enter into this Agreement. Provider warrants that the Services will be performed by qualified personnel and will conform to the specifications set forth in Exhibit A.

3.7 Limitation of Liability & Indemnification

Neither party shall be liable for any indirect, incidental, or consequential damages. The total liability of Provider under this Agreement shall not exceed the total Fees paid by Client in the twelve (12) months preceding the claim. Each party agrees to indemnify and hold harmless the other from third-party claims arising from the indemnifying party's gross negligence or willful misconduct.

3.8 Dispute Resolution

Any dispute arising from this Agreement shall be resolved through binding arbitration in [City, State] under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

3.9 Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of [State], without regard to its conflict of law provisions.

3.10 Miscellaneous

This Agreement constitutes the entire understanding between the parties. No modification shall be binding unless in writing and signed by both parties. If any provision is found unenforceable, the remainder of the Agreement shall remain in full force and effect. This Agreement may be executed in counterparts.

FOR [CLIENT COMPANY NAME]: Signature: _____________________________________ Printed Name: [Authorized Signatory Name] Title: [Title / Role] Date: [Date]

5. STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Drafting: Use the "Find and Replace" function in your word processor to swap all bracketed terms (e.g., [Client Full Legal Name]) with actual party data. Ensure the Scope of Services in Exhibit A is granular to prevent "scope creep."
  2. Verification of Authority: Before circulating, verify that the signatory for the Client holds the title of "Authorized Signatory," "CEO," "CFO," or "General Counsel" to ensure the contract is binding upon the entity.
  3. Digital Signature: Upload the final PDF to a secure e-signature platform (e.g., DocuSign, Adobe Sign, or HelloSign). Ensure the "Audit Trail" feature is enabled to capture IP addresses and timestamps for each signature.
  4. Finalization: Once fully executed, circulate a PDF copy to all signatories.
  5. Record Retention: File the signed original in a secure, encrypted document management system (DMS) or a centralized contract repository. Retain for a minimum of seven (7) years post-termination to satisfy statutory audit requirements.
