COMMERCIAL PROPERTY LICENCE AGREEMENT

THIS LICENCE AGREEMENT (the "Agreement") is made and entered into this [Day] day of [Month], [Year] (the "Effective Date").

BETWEEN:

RECITALS:

1. OPERATIONAL DEFINITIONS

2. SUBSTANTIVE TERMS AND OBLIGATIONS

This Agreement does not create a relationship of landlord and tenant. 2.2 Payment Obligations: The Licensee shall pay the Licence Fee and Service Charge via electronic bank transfer to the Licensor’s nominated account without deduction, set-off, or counterclaim. 2.3 Repair and Maintenance: The Licensee shall keep the Premises in a clean and tidy condition and shall be responsible for any damage caused to the Premises by the Licensee or its agents, employees, or invitees. 2.4 Compliance: The Licensee shall comply with all applicable laws, regulations, and health and safety requirements relevant to the Permitted Use. 2.5 Non-Assignment: The Licensee shall not assign, sub-licence, or otherwise part with possession of the Premises or any part thereof.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1 Events of Default: It shall constitute an Event of Default if the Licensee: (a) fails to pay any sum due under this Agreement within 7 days of the due date; (b) commits a material breach of any obligation herein; (c) enters into liquidation, receivership, or administration. 3.2 Cure Period: In the event of a remediable breach, the Licensor shall provide written notice to the Licensee. The Licensee shall have 30 Business Days to remedy said breach. 3.3 Termination: If the breach remains uncured following the 30-day notice period, the Licensor may terminate this Agreement immediately upon written notice, without prejudice to any other rights or remedies available under law. 3.4 Surrender: Upon termination, the Licensee shall immediately vacate the Premises and restore them to the condition required under Clause 2.3.

4. BOILERPLATE LEGAL PROVISIONS

4.1 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 4.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or agreements, whether written or oral. 4.3 Force Majeure: Neither party shall be liable for any failure to perform its obligations under this Agreement due to events beyond its reasonable control, including acts of God, war, or governmental restrictions. 4.4 Governing Law: This Agreement and any dispute or claim arising out of it shall be governed by and construed in accordance with the laws of [England and Wales/Scotland/Northern Ireland]. 4.5 Dispute Resolution: Any dispute arising out of this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
