If Tenant defaults in the full and timely performance of any provision hereof, Landlord may, but shall not be obligated to, use, apply, or retain all or any portion of the Security Deposit to the extent necessary to compensate Landlord for any loss, damage, injury, expense, or liability resulting from such default.

3.4 Permitted Use and Operational Restrictions

  1. Permitted Use: The Premises shall be used and occupied exclusively for [Specific Commercial Purpose, e.g., general professional office operations, software development, light warehousing] and for no other purpose whatsoever without the prior written consent of Landlord.
  2. Compliance with Laws: Tenant shall, at its sole cost and expense, promptly comply with all applicable local, state, and federal laws, ordinances, rules, regulations, codes, and orders (including the Americans with Disabilities Act and Virginia building codes) affecting the Premises, the use thereof, or the Building.

3.5 Maintenance, Repairs, and Alterations

  1. Landlord's Obligations: Landlord shall maintain, repair, and keep in good structural condition and working order the roof, foundation, exterior walls, structural columns, and the common building systems (plumbing, electrical, HVAC serving the core building) of the Building, except to the extent such maintenance is made necessary by the negligence or willful misconduct of Tenant, its agents, employees, or invitees.
  2. Tenant's Obligations: Except for those maintenance items expressly designated as Landlord's responsibility under Section 3.5(1), Tenant shall, at its sole cost and expense, keep and maintain the interior of the Premises, including non-structural interior walls, flooring, doors, windows, and fixtures, in a clean, safe, sanitary, and good working condition.
  3. 3.6 Utilities and Services

Landlord shall provide customary utilities and Building services, including electricity, water, HVAC during standard business hours ([e.g., 8:00 AM to 6:00 PM, Monday through Friday]), and waste disposal, subject to reasonable interruption for maintenance or Force Majeure events. Tenant shall pay directly to the utility provider or to Landlord (as Additional Rent) all charges for telephone, data, and any specialized or excess utility consumption attributable exclusively to Tenant’s operations within the Premises.

3.7 Insurance, Indemnification, and Waiver of Subrogation

  1. 3. Waiver of Subrogation: Landlord and Tenant mutually release each other and their respective agents, employees, and successors from any liability for damage to the Building, Premises, or personal property caused by fire or other perils insured against under standard property insurance policies, to the extent covered by such insurance, regardless of any negligence of the released party.

4. DEFAULT, TERMINATION, AND REMEDIES

4.1 Events of Default

The occurrence of any one or more of the following events shall constitute an immediate and material "Event of Default" by Tenant under this Lease:

  1. Failure to Pay Rent: Failure by Tenant to pay any installment of Base Rent, Additional Rent, or any other monetary obligation due hereunder within five (5) business days after the same is due and payable.
  2. Breach of Covenants: Failure by Tenant to observe, perform, or comply with any other material covenant, agreement, or condition of this Lease (other than the payment of money) for a period of thirty (30) business days after written notice thereof from Landlord to Tenant; provided, however, that if such non-monetary default is of a nature that it cannot be reasonably cured within thirty (30) business days, Tenant shall not be in Default if it commences to cure within said period and thereafter diligently and continuously prosecutes the same to completion.
  3. Insolvency and Bankruptcy: The filing of a petition by or against Tenant under any chapter of the United States Bankruptcy Code; the appointment of a receiver, trustee, or custodian for all or a substantial portion of Tenant's assets; the making of a general assignment for the benefit of creditors; or the adjudication of Tenant as insolvent.
  4. Abandonment: The actual and continuous abandonment or vacation of the Premises by Tenant for a period exceeding fifteen (15) consecutive days without prior written notice to Landlord and without maintaining required security and utilities.

4.2 Landlord Remedies

Upon the occurrence of any Event of Default, Landlord shall have the right, at its election, to pursue any one or more of the following remedies without notice or demand (except as expressly required herein):

  1. Termination of Lease: Terminate this Lease and Tenant's right to possession of the Premises, whereupon Tenant shall immediately surrender possession of the Premises to Landlord. Landlord may recover from Tenant all damages incurred by reason of such default, including the worth at the time of award of the unpaid rent that would have been payable under the balance of the Term.
  2. Acceleration of Rent: Declare the entire balance of Base Rent and Estimated Additional Rent for the remainder of the unexpired Term immediately due and payable.
  3. Self-Help and Cure: Enter the Premises, by legal process or otherwise, to cure any default of Tenant, and charge Tenant the reasonable costs and expenses incurred in connection therewith, plus an administrative fee of fifteen percent (15%), which sums shall be immediately due as Additional Rent.
  4. Statutory Remedies: Exercise any and all other rights and remedies available to Landlord under the laws of the Commonwealth of Virginia, including commercial distress and unlawful detainer actions.

4.3 Late Charges and Interest

If Tenant fails to pay any installment of Base Rent or Additional Rent within five (5) business days of its due date, Tenant shall pay to Landlord a late charge equal to five percent (5%) of the overdue amount to cover administrative processing costs. In addition, any delinquent sums shall bear interest from the date due until paid at the rate of twelve percent (12%) per annum or the maximum legal rate permitted under Virginia law, whichever is less.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision of this Agreement, or the application thereof to any person or circumstance, shall be held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remainder of this Agreement, and the application of such provision to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected thereby, and each separate provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law.

5.2 Entire Agreement

This Agreement, together with any exhibits, addenda, and schedules attached hereto, constitutes the entire agreement between Landlord and Tenant pertaining to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties. 5.4 Governing Law and Forum Selection

This Lease shall be interpreted, construed, governed, and enforced in accordance with the internal laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. Any legal action, proceeding, or arbitration arising out of or relating to this Agreement shall be instituted exclusively in the state courts located in [County/City Name], Virginia, or the United States District Court for the [Eastern/Western] District of Virginia, and each Party irrevocably submits to the exclusive personal jurisdiction of such courts.

5.5 Dispute Resolution and Arbitration

In the event of any dispute, controversy, or claim arising out of or relating to this Lease, the Parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute is not resolved within thirty (30) days of written notice by either Party, the controversy shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, Virginia], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

5.6 Notices

All notices, demands, requests, consents, or approvals required or permitted under this Lease shall be in writing and shall be deemed duly given if delivered personally, sent by a nationally recognized overnight courier service (with tracking and signature required), or transmitted via certified or registered mail, postage prepaid, return receipt requested, addressed to the respective Parties at the addresses set forth in Section 1, or to such other address as either Party may designate by written notice.
