STATUTORY & LEGAL COMPLIANCE NOTICE

This document is an institutional-grade template designed for commercial real estate leasing within the Republic of South Africa. It incorporates standard protections under South African law, including common law principles governing letting and hiring (locatio conductio operis), statutory implications of the Consumer Protection Act No. 68 of 2008 (CPA) where the Tenant is a juristic person falling below the statutory asset/turnover threshold, and the Prevention of Illegal Eviction from and Unlawful Occupation of Land Act No. 19 of 1998 (PIE) where applicable. Parties acknowledge that commercial leases require precise legal drafting regarding escalation rates, municipal charges, deposit holdings, and breach mechanics. Legal counsel should be retained to review local municipal bylaws and specific property encumbrances prior to execution.

2.2. The Tenant acknowledges that it has inspected the Leased Premises prior to the signature of this Agreement and accepts the same in their current "voetstoots" (as-is) condition, fair wear and tear excepted, unless a written defect list is agreed upon by both Parties within 7 (seven) days of the Commencement Date.

3. DURATION AND TERM

3.1. This Agreement shall commence on the Commencement Date and shall endure for a fixed period of [Number] ([Written Number]) months, expiring unconditionally on the Termination Date, without the necessity for notice unless otherwise agreed in writing.

3.2. Any holding over by the Tenant after the Termination Date without the express written consent of the Landlord shall not constitute a renewal of this Agreement, but shall be deemed to be a monthly tenancy terminable on one calendar month's notice, during which time the Tenant shall pay a monthly occupational rental equal to 150% (one hundred and fifty percent) of the prevailing monthly Rental, plus all operating costs and utilities.

4. RENTAL AND PAYMENT TERMS

4.1. Monthly Rental: The Tenant shall pay to the Landlord a starting monthly Rental of [Amount in ZAR] ([Written Amount in ZAR]), exclusive of Value-Added Tax (VAT), municipal consumption charges, and operational costs.

4.2. Payment Mechanics: The Rental shall be paid monthly in advance, without deduction or set-off, on or before the first (1st) day of each and every calendar month, by electronic funds transfer (EFT) into the designated bank account of the Landlord:

4.5. VAT: All amounts payable under this Agreement are exclusive of VAT. The Tenant shall pay to the Landlord, concurrently with each payment of Rental, any VAT levied thereon at the applicable statutory rate.

5. SECURITY DEPOSIT

5.1. Upon signature of this Agreement, the Tenant shall deposit with the Landlord the sum of [Amount in ZAR] as the Deposit.

5.2. The Landlord shall hold the Deposit in an interest-bearing account with a registered financial institution for the duration of this Agreement. Any interest accrued thereon shall accrue to the Tenant, less any statutory administration fees.

5.3. The Landlord shall be entitled to apply the Deposit or any portion thereof toward the payment of any arrears Rental, utility charges, or the cost of repairing any damage to the Leased Premises caused by the Tenant, its employees, agents, invitees, or contractors, beyond fair wear and tear.

5.4. Subject to the deduction of any lawful amounts pursuant to Clause 5.3, the Landlord shall refund the Deposit (plus accrued interest, less lawful deductions) to the Tenant within 14 (fourteen) Business Days after the expiration or lawful termination of this Agreement and the physical vacation of the Leased Premises by the Tenant.

6. UTILITIES, MUNICIPAL CHARGES, AND OPERATING COSTS

6.1. The Tenant shall be solely responsible for and shall pay all consumption charges relating to electricity, water, gas, refuse removal, and sanitation services supplied to the Leased Premises, whether metered directly or apportioned by the Landlord on a pro-rata floor-area basis.

6.2. In addition to the Rental, the Tenant shall pay a monthly operational cost contribution ([Amount in ZAR]) toward the maintenance, security, cleaning, and administration of the common areas of the building, which contribution shall escalate annually by [Operational Cost Escalation Percentage]%.

7. USE OF LEASED PREMISES

7.1. The Leased Premises shall be used strictly and exclusively for [Permitted Commercial Use] purposes and for no other purpose whatsoever without the prior written consent of the Landlord.

7.2. The Tenant shall not permit any act or omission that constitutes a nuisance, disturbs other tenants or occupants of the building, or invalidates the Landlord’s insurance policies covering the property.

7.3. The Tenant shall, at its own cost, obtain and maintain all necessary trade licenses, municipal permits, and statutory authorizations required for the lawful operation of its business from the Leased Premises.

8. MAINTENANCE, REPAIRS, AND ALTERATIONS

8.1. Landlord Obligations: The Landlord shall maintain the structural integrity of the Leased Premises, including the foundations, exterior walls, roof, and main building systems (plumbing and electrical mains up to the distribution board), fair wear and tear excepted.

8.2. Tenant Obligations: The Tenant shall, at its own expense, maintain the interior of the Leased Premises in good, clean, and tenantable order and condition. This includes the maintenance of interior lighting, carpets, glass, doors, locks, air-conditioning units installed by or for the Tenant, and partitioning.

8.3. Alterations: The Tenant shall not make any structural alterations, additions, or improvements to the Leased Premises without the prior written consent of the Landlord, which consent shall not be unreasonably withheld. Any unauthorized alterations shall, at the option of the Landlord, either become the property of the Landlord without compensation or be removed by the Tenant at its own expense upon termination of this Agreement, restoring the Leased Premises to its original condition.

9. INSURANCE AND RISK

9.1. The Tenant occupies the Leased Premises entirely at its own risk. The Landlord shall not be liable for any loss, damage, injury, or death suffered by the Tenant, its employees, agents, customers, or invitees upon the Leased Premises, howsoever arising, unless caused by the gross negligence or willful misconduct of the Landlord.

9.2. The Tenant shall, at its own expense, maintain comprehensive public liability insurance with a reputable insurer, covering claims for injury, death, or property damage arising out of the Tenant's occupation and operations, in an amount of not less than [Liability Insurance Amount in ZAR].

10. INDEMNIFICATION

10.1. The Tenant hereby indemnifies and holds harmless the Landlord, its directors, employees, and agents against any claims, demands, losses, damages, liabilities, costs, and expenses (including legal fees on an attorney-and-client scale) arising out of:

  • Any breach of this Agreement by the Tenant;
  • Any negligent or wrongful act or omission of the Tenant, its employees, agents, or invitees on or about the Leased Premises; or
  • Any failure by the Tenant to comply with applicable municipal bylaws, statutory enactments, or environmental regulations.

11. BREACH AND TERMINATION

11.1. If the Tenant commits a breach of any material term of this Agreement—including failure to pay Rental or utility charges on the due date—the Landlord shall give the Tenant written notice requiring the Tenant to remedy such breach within 7 (seven) calendar days of receipt of such notice.

11.2. If the Tenant fails to remedy the breach within the 7-day period, the Landlord shall be entitled, without prejudice to any other rights it may have under this Agreement or at law, to:

  • Cancel this Agreement, retake possession of the Leased Premises, and claim immediate payment of all arrear Rentals and damages resulting from the unexpired portion of the lease term; or
  • Claim specific performance of all the Tenant's obligations, together with immediate payment of all arrear amounts.

11.3. Notwithstanding anything to the contrary herein, if the Tenant is placed into business rescue, liquidation (provisional or final), or compromises with its creditors, the Landlord shall be entitled to terminate this Agreement with immediate effect.

12. DISPUTE RESOLUTION

12.1. In the event of any dispute or difference arising out of or relating to this Agreement, including its implementation, execution, interpretation, rectification, termination, or cancellation, the Parties shall first endeavor to resolve the dispute amicably through senior executive negotiation within 10 (ten) Business Days of notification of the dispute.

12.2. If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA) by a single arbitrator appointed in accordance with such rules. The arbitration shall be held in [City, e.g., Johannesburg], South Africa, and conducted in the English language.

12.3. Nothing in this clause shall preclude either Party from seeking urgent interim relief from a court of competent jurisdiction.

13. GOVERNING LAW AND JURISDICTION

13.1. This Agreement, its validity, construction, and performance, shall be governed by and construed in accordance with the laws of the Republic of South Africa.

13.2. The Parties hereby consent to the non-exclusive jurisdiction of the [High Court / Magistrate's Court] of South Africa, [Division/District Name], in respect of any legal proceedings arising from this Agreement.

14. MISCELLANEOUS PROVISIONS

14.1. Entire Agreement: This Agreement constitutes the entire record of the agreement between the Parties in relation to the subject matter hereof. No Party shall be bound by any express or implied term, representation, warranty, promise, or the like not recorded herein.

14.2. No Waiver: No latitude, extension of time, or indulgence which may be given or allowed by either Party to the other shall constitute a waiver of any of the Party’s rights under this Agreement, nor shall it estop the Party from enforcing strict and punctual compliance with each and every term hereof.

14.3. Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable by any court of competent jurisdiction, such provision shall be severed from the remaining provisions, which shall continue in full force and effect as if the invalid provision had never been included.
