3.4 Use and Statutory Compliance
- The Tenant shall use the Subjects solely for the Permitted Use and shall not permit any nuisance, annoyance, or disturbance to the Landlord or the occupiers of neighboring properties.

- The Tenant shall, at its own expense, keep the interior of the Subjects in good and substantial repair, order, and condition (damage by Insured Risks excepted, unless insurance is vitiated by the act or omission of the Tenant).
- The Tenant shall not make any structural alterations, additions, or external changes to the Subjects without the prior written consent of the Landlord, not to be unreasonably withheld or delayed. Any non-structural internal alterations shall require the Landlord's prior written consent.

3.6 Alienation (Assignment and Subletting)
- The Tenant shall not assign, sublet, charge, or part with possession of the whole of the Subjects without the prior written consent of the Landlord, which consent shall not be unreasonably withheld or delayed, subject to standard commercial preconditions (including financial standing of the assignee and clearance of arrears).

- The Tenant shall reimburse the Landlord for the Insurance Rent within fourteen (14) days of demand.

4. DEFAULT, TERMINATION, AND REMEDIES
4.1 Events of Default
The occurrence of any of the following events shall constitute a material breach and "Event of Default" under this Agreement:

- The Tenant shall have a cure period of thirty (30) Business Days from the date of receipt of such notice to rectify the specified breach to the reasonable satisfaction of the Landlord (or, in the case of a breach incapable of remedy within thirty days, to commence and diligently pursue remedial steps acceptable to the Landlord).
4.3 Landlord’s Remedies and Irritancy
- If the Tenant fails to remedy the Event of Default within the 30-day cure period, or if an Event of Default under Clauses 4.1.1, 4.1.3, or 4.1.4 occurs, the Landlord shall be entitled to exercise its legal rights of irritancy (forfeiture) under Scottish law, or to terminate this Lease by serving written notice of termination.
- Upon termination via irritancy or otherwise, this Lease shall immediately determine, but without prejudice to any antecedent claims, rights of action, or remedies the Landlord may have against the Tenant in respect of any preceding breach of covenants.
- The Landlord reserves the right to enter the Subjects, resume possession, and recover all outstanding sums, damages for breach, and legal expenses (on an agent-and-client, full indemnity basis) incurred in enforcing the terms of this Agreement.

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by any court or tribunal of competent jurisdiction, such provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect as if this Agreement had been executed without the invalid provision.
5.2 Entire Agreement
This Agreement constitutes the entire agreement and understanding between the parties relating to the subject matter hereof and supersedes all prior drafts, agreements, arrangements, and understandings, whether oral or written. Each party acknowledges that it has not entered into this Agreement in reliance upon any representation, warranty, or undertaking not expressly set forth herein.
5.3 Force Majeure
Neither party shall be held liable for any failure or delay in fulfilling the terms of this Agreement (excluding the obligation to pay Rent, Insurance Rent, or Service Charge) if such failure arises from acts of God, war, terrorism, civil commotion, pandemic, statutory restrictions, or other extraordinary events beyond the reasonable control of the affected party, provided that prompt notice is given to the other party.
5.4 Governing Law and Jurisdiction
This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the law of Scotland. The parties irrevocably submit to the exclusive jurisdiction of the Scottish courts.
5.5 Dispute Resolution
- In the event of any dispute arising out of this Agreement (other than rent reviews under Clause 3.3 or non-payment of rent), the parties shall first attempt in good faith to resolve the dispute through executive negotiation.
- If the dispute is not resolved within fourteen (14) days of commencement of discussions, either party may refer the matter to formal arbitration in accordance with the Arbitration (Scotland) Act 2010 before a single arbitrator agreed upon by the parties or appointed by the Law Society of Scotland.
