3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: LEASE OF PREMISES & TERM

1.1 Demise of Premises. Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, the Premises, situated within the Building, together with the non-exclusive right to use the Common Areas (as defined herein) in common with other tenants, occupants, and invitees of the Building.
1.2 Initial Term. The initial term of this Lease shall commence on [Lease Commencement Date] (the "Commencement Date") and shall expire at 11:59 p.m. local time on [Lease Expiration Date] (the "Expiration Date"), unless sooner terminated or extended pursuant to the provisions of this Lease.
1.3 Holding Over. If Tenant retains possession of the Premises or any part thereof after the expiration or termination of this Lease without Landlord’s express written consent, such tenancy shall be deemed a tenancy at sufferance only, at a monthly rental equal to [150% or 200%] of the Base Rent applicable during the final month of the Term, subject to all other terms and conditions of this Lease. Nothing contained herein shall constitute Landlord’s consent to such holding over.

SECTION 2: RENT, SECURITY DEPOSIT, & FINANCIAL TERMS

2.1 Base Rent. Tenant covenants and agrees to pay to Landlord, without demand, deduction, or offset, base rent ("Base Rent") in the initial amount of [Amount in USD] per month, due and payable on the first (1st) day of each calendar month during the Term. The Security Deposit shall be held by Landlord as security for the faithful performance by Tenant of all terms, covenants, and conditions of this Lease. Landlord may apply all or part of the Security Deposit to cure any default of Tenant. If Landlord applies any portion of the Security Deposit, Tenant shall, within ten (10) days after written demand, deposit with Landlord cash sufficient to restore the Security Deposit to its original amount.
2.4 Late Charges & Interest. If Tenant fails to pay any installment of Rent within [Number, e.g., five (5)] days after the date due, Tenant shall pay to Landlord a late charge equal to [Percentage, e.g., five percent (5%)] of the overdue amount to compensate Landlord for administrative costs. In addition, all delinquent Rent and late charges shall bear interest from the date due until paid at the lesser of [Interest Rate, e.g., eighteen percent (18%)] per annum or the maximum rate permitted by applicable law.
2.5 Payment Instructions. All payments of Rent shall be made payable to Landlord and delivered to [Lockbox Address or Bank Wire Instructions], or such other address or account as Landlord may designate in writing from time to time.

SECTION 3: USE OF PREMISES & COMPLIANCE WITH LAWS

Except for services provided by Landlord under Section 4.1, Tenant shall, at its sole cost and expense, maintain the interior of the Premises in a clean, safe, and sanitary condition, including interior non-structural walls, flooring, fixtures, and internal electrical and data wiring.
4.3 Alterations. Tenant shall not make or permit any alterations, additions, or improvements to the Premises without the prior written consent of Landlord, which consent shall not be unreasonably withheld for non-structural interior alterations. All alterations made by Tenant shall remain the property of Landlord upon the expiration or termination of this Lease, unless Landlord requires their removal pursuant to Section 4.4.
4.4 Mechanic's Liens. Tenant shall keep the Premises and the Building free from any liens arising out of any work performed, materials furnished, or obligations incurred by Tenant. Tenant shall discharge any such lien within twenty (20) days of notice thereof.

SECTION 5: INSURANCE, INDEMNIFICATION, & WAIVER

5.1 Tenant's Insurance. Tenant shall, at its sole cost and expense, maintain throughout the Term: (a) Commercial General Liability insurance naming Landlord and Landlord's managing agent as additional insureds, with a combined single limit of not less than [Amount in USD, e.g., $2,000,000] per occurrence; (b) property insurance covering all personal injury, trade fixtures, inventory, and leasehold improvements on an "All Risk" basis; and (c) statutory workers' compensation insurance.

5.3 Indemnification. Tenant agrees to defend, indemnify, and hold harmless Landlord, its officers, directors, agents, and employees from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Tenant's use or occupancy of the Premises; (b) any breach or default by Tenant under this Lease; or (c) any negligent act or omission of Tenant, its agents, employees, or invitees.

SECTION 6: DAMAGE OR DESTRUCTION

SECTION 7: CONDEMNATION

If the whole or any material part of the Premises shall be taken or appropriated by any public or quasi-public authority under the power of eminent domain, this Lease shall terminate as of the date possession is taken by the condemning authority, and Rent shall be apportioned as of such date. Tenant shall have no claim against Landlord for the value of any unexpired term or leasehold estate.

SECTION 8: DEFAULT & REMEDIES

    (b) Failure by Tenant to observe or perform any other covenant, agreement, or condition of this Lease for thirty (30) days after written notice from Landlord;
    (c) The filing of a petition by or against Tenant under any bankruptcy or insolvency law, or the appointment of a receiver for Tenant's assets.
8.2 Landlord's Remedies. Upon the occurrence of an Event of Default, Landlord may, at its option, pursue any one or more of the following remedies without notice or demand:
    (a) Terminate this Lease and Tenant's right to possession of the Premises;
    (b) Re-enter and take possession of the Premises, removing all persons and property;
    (c) Recover from Tenant all damages incurred by Landlord, including past-due Rent, the present value of future Rent for the remainder of the Term, and reasonable attorneys' fees.

SECTION 9: ASSIGNMENT & SUBLETTING

Tenant shall not voluntarily or by operation of law assign, transfer, mortgage, pledge, or encumber this Lease, nor sublet the whole or any part of the Premises, without the prior written consent of Landlord, which consent shall not be unreasonably withheld, conditioned, or delayed. Any attempted assignment or subletting without such consent shall be void ab initio and shall constitute an immediate Event of Default.

SECTION 10: DISPUTE RESOLUTION & ARBITRATION

10.1 Negotiation & Mediation. In the event of any dispute, controversy, or claim arising out of or relating to this Lease, the Parties shall first attempt in good faith to resolve the matter through senior management negotiations. This Lease shall be governed by, construed, and enforced in accordance with the substantive laws of the State of [State], without regard to its conflict of laws principles.
